HomeMy WebLinkAboutbocc.res.026.2001 A RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS OF PITKIN COUNTY, COLORADO, APPROVING SALE OF HY-MOUNTAIN TRANSPORTATION, INC., DBA HIGH MOUNTAIN TAXI. Resolution# 026, Series of 2001 RECITALS 1. Pitkin County, a Colorado home-rule county, is the owner, sponsor and operator of the Aspen/Pitkin County Airport, located in the vicinity of Aspen, Colorado. 2. Pitkin County Ordinance 456, Series 1999, (expiring October 31, 2001) licenses Hy- Mountain Transportation, Inc., dba High Mountain Taxi, to operate in Pitkin County and at the Pitkin County Airport. Ordinance #56 , paragraph 25 indicates that the owner of the company shall not assign more than 30% of issued and outstanding stock "without first obtaining the written consent of the County." 3. David Hyman, the owner of Hy-Mountain Transportation, Inc, has entered into a contract to sell the company, via a stock transfer, to Todd Gardner. The Colorado Public Utilities Commission has investigated the transaction and subsequently issued a temporary approval to Gardner to assume operations of Hy-Mountain Transportation, dba High Mountain Taxi. The PUC anticipates issuing a permanent approval by 02/23/01. 4. Hyman and Gardner have submitted letters of explanation and a copy of the Stock Purchase Agreement to the Airport. The Public Utilities Commission has provided a copy of the approval of Temporary Operations to the Airport. Both Airport staff and the County Attorney's office have reviewed the documents and have no objections to the transfer. I am seeking approval by the board of county commissioners for the transfer of the lease granted to High Mountain Taxi by the Aspen/Pitkin County Airport. I have extensive knowledge of the transportation business. In 1995 I started Eagle Transportation, serving the Eagle County Airport and Vail/Beaver Creek Resorts. In our third year of operations, Eagle Transportation had grown to a fleet size of 26 vans, 2 mini-buses, and employed four full time and sixty seasonal drivers. In September 1999, Eagle Transportation was sold to Colorado Mountain Express. I feel that my qualifications are more than adequate to operate High Mountain Taxi in a manner that will serve the best interests of both consumers and Pitkin County. Sincerely, Todd Gardner HIGH MOUNTAIN 0 O February 15, 2001 Mr. Carrington Brown Aspen/Pitkin County Airport 0233 East Airport Road Aspen, Colorado 81611 Re: Transfer of ownership of Hy-Mountain Transportation, Inc. dba High Mountain Taxi Dear Carrington: It was very generous of you and Peter to meet with Todd and me yesterday, especially on such an impromptu basis. Thank you. I enjoyed the visit and was pleased for the three of you to meet. Todd Gardner and I signed a stock Purchase Agreement on February 7, 2001. Todd and I are both very enthusiastic about his anticipated purchase of High Mountain Taxi and are hoping for a smooth transition to be completed in the very near future. The Colorado Public Utilities Commission has already granted Approval for Temporary Authority for the transfer(see attachment# 1), and we anticipate the granting of Permanent Authority for the transfer in accordance with the PUC's procedural protocol. All this should be completed by the 1 s`part of March and we are hoping to Close by the middle of March. As discussed, we are seeking the written consent of the County for transfer of control as is required by our Use and License Agreement(p. 33, Section 25). As I understand the requirement, this request may be handled as a"Consent Agenda Item" and it would be beneficial for all involved if this item could be decided by the Board of County Commissioners at their next meeting (which I believe is February 28). The new dynamic and enthusiastic leadership that Todd Gardner will provide is exactly what High Mountain needs, and exactly what the community deserves from its taxicab company. Todd proved himself to be a successful and innovative operator in his role as founder and general manager of Eagle Transportation, a PUC licensed Shuttle Company which operated out of the Eagle airport. (He sold Eagle Trans. in 1999). He has the skills, commitment and energy to improve the company and enhance the services it provides to the City and County, the citizenry and our visitors. I trust that you agree and that you can recommend to the Commissioners that written consent of the transfer be given. Both Todd and I will be available and would be happy to attend the Commissioners' meeting to answer any questions that they may have, or simply to introduce Todd.
