RECITALS: 1. The MAA is the owner of the Aspen Music School Castle Creek Campus, as described and and shown on the Amended Final Plat bearing that name recorded in Plat Book jT at Page _351 under Reception No. of the records of the Clerk and Recorder of Pitkin County on I'ha -yc�j 1�-, Zo t 2. , (the "Final Plat "). 2. The MAA, as Grantor, desires by this instrument (i) to establish and to grant to the County a perpetual and irrevocable easement and right -of -way for a public road over and along that alignment depicted as "New Location of Music School Road" on the Final Plat at Plat Book _qj_ at Page 3", said Final Plat sheet being entitled "Final Plat Replacement Easements." 3. The County desires by this instrument to accept said easement and right of way for a public road. 4. Grantor and Grantee further wish to assume certain responsibilities in connection with the public road easement granted herein. NOW, THEREFORE, for and in consideration of the mutual covenants and agreements set forth herein, and for other good and valuable considerations, the receipt and sufficiency of which are hereby acknowledged, Grantor and the County agree as follows: AGREEMENT 1. Grant of Easement. The MAA, on behalf of itself and its successors and assigns, hereby grants unto the County and its successors and assigns, with warranties of title, a perpetual and irrevocable easement and right -of -way for a public road over and along that alignment depicted as "New Location of Music School Road" on the Final Plat at Plat Book 79 at Page 3'7 , said Final Plat sheet being entitled "Final Plat Replacement Easements." The easement and right -of -way shall be sixty (60) feet in width, and shall provide unrestricted County and public access along its entire length. The following list of allowed uses is descriptive only and is not intended to impose a limitation on the County's or the public's rights of use: a. By the County and other federal, state and local governmental agencies for official administrative uses, law enforcement, firefightine. emereency medical, construction, maintenance and all other official business purposes. By the public for motorized and non - motorized ingress and egress to and from the MAA Campus and points beyond. C. By the public for parking and special events as may be allowed by the County in its sole discretion. d. By the public for all uses recognized as proper uses of a public road, street, highway, or right -way by applicable law. e. As used in this Agreement, the "public" shall include the general public, the County and all other governmental agencies. 2. Relocation of Existing Music School Road. The existing easement for Music School Road shall remain in effect until the MAA has completed all construction activities required to relocate Music School Road to the easement alignment granted herein. The MAA shall complete all such construction necessary to relocate Music School Road at its own expense, and must do so to the satisfaction of the County Engineer and in compliance with any and all design and permit requirements of the Pitkin County Asset Management Plan. 3. MAA Covenants. The MAA, in behalf of itself and its successors and assigns, covenants and agrees as follows: a. Neither it nor its contractors shall undertake activities on Music School Road that would create a barrier, impediment, or hazard to motorized or non - motorized travel without first obtaining the written consent of the County Engineer. This includes, without limitation, parking or staging of vehicles, or of any other material or substance, on Music School Road. Absent prior authorization of the County Engineer, the MAA may use Music School Road only for purposes of ingress and egress in the same manner allowed to other members of the public. b. The MAA shall have a continuing obligation to maintain the new alignment of Music School Road granted herein; provided, however, that it shall not undertake construction, repair, or maintenance of Music School Road (other than plowing snow, crack sealing, and pit -hole repair) without obtaining prior written consent of the County Engineer and all applicable permits. Nothing in this Agreement shall be deemed to exempt the MAA from full compliance with the Pitkin County Land Use Code, the Pitkin County Asset Management Plan, or other laws relating to land or road use, management, or maintenance. C. The MAA shall install, and properly maintain for the longest period allowed by applicable law, fencing or other barriers in the locations shown as "Snow Fencing/Barrier Area" on the Final Plat at Plat Book qz% at Page 31 , said Final Plat sheet being entitled "Final Plat Replacement Easements." The fencing or other barriers installed shall be to the reasonable satisfaction of the County Engineer, and shall be sufficient to prevent snow, rock, and other debris from entering the new location of Music School Road providing for herein. 4. County Construction and Maintenance. The County may, but shall have no obligation to: construct, reconstruct, repair, maintain, improve, or otherwise alter Music School Road and all of its associated facilities, including but not limited to drainage facilities. This right of construction and maintenance specifically entitles the County to undertake all actions appropriate for a public road, including without limitation the installation of facilities or structures identified in the Colorado Department of Transportation's Standard Plans and Specifications for Road and Bridge Construction and any other public highway design or construction manual that is generally accepted in the field of public road or highway design or construction. 5. No Effect on Castle Creek Road. Nothing herein shall be deemed to vacate or otherwise affect the right of way for Castle Creek Road, which the parties recognize was not affected by the vacation of the Newman Tunnel Spur as provided in Pitkin County Board of County Commissioners Resolution No. 050 -2008 and Ordinance No. 034 -2008. 6. No Waiver of Approval Requirements. Nothing herein shall be construed to exempt the MAA from full compliance with applicable land use approvals or requirements, including without limitation those set forth on the Final Plat. 7. Attorney's Fees. In the event the interpretation or enforcement of this Easement Agreement should ever become the subject of litigation between the parties hereto, the prevailing party shall be entitled to an award of its reasonable costs and attorney fees incurred in connection therewith. 8. Binding Effect. ffect. This Easement Agreement shall run with the land, and shall be binding upon and shall inure to the benefit of the parties hereto and their respective heirs, personal representatives, successors and assigns forever, including all future owners of the (Castle Creek Campus) or any portions thereof. 9. Miscellaneous. This Easement Agreement may not be modified except in writing signed by the authorized representatives of the parties hereto. This Easement Agreement does not create or give rise to any confidential or fiduciary relationship between or among the Grantor on the one hand and Grantee on the other. In addition, this Easement Agreement does not constitute any party hereto the agent of any other party hereto for any purpose whatsoever, nor does any party hereto have the right or authority to assume, create or inure any liability of any kind, express or implied, against or in the name or on behalf of any other party. Music Associates of Aspen Inc, (" Applimnf') has initiated the procedure under the Pitkin County Land Use Code for vacation and conveyance of the portion of the Newman Tunnel Spur Railroad Right - of -Way that traverses thew property. The right -of -way is described in Exhibit A, and was conveyed to Piddn County in 1938 by the Denver and Rio Grande Western Railroad Company by quit claim deed recorded in Book 167 at Page 32. The portion of the Newman Tunnel Spur to be vacated and conveyed also traverses property owned by RRF Corporation (Richard Furman); Mr. Furman has consented to the application, and his legal access would not be affected by the vacation. 2, in addition, the Applicant is requesting to vacate an access easement that was granted to the "v County in Book 476 at page 402, in anticipation of granting a replacement easement to the County to Y maintain access to public and private lands above the AMFS campus. J3 This read vacation application is governed by the standards set forth in Pitkin County Land Use Code § 2- 30- 30(h)(7) and by CRS § 43-2-303. 4, The BOCC considered the application at a duly noticed public hearing on October 22, 2008, and on second reading at a regular meeting on November 5, 2008, 5. The BOCC finds that the proposal complies with the applicable criteria set forth in the Pi &m County Land Use Code. �S 6. This vacation shall not leave any land adjoining the roads without an established public or private access easement eounecting said land with another established road. The amended plat shall show the portion of the railroad right-of-way to be vacated and the location of the replacement easements. The owners of the affected lots shall sigh the mylar copy of the amended plat prior to submittal for recording. The plat shall also reflect the amended easement for Music School Road on the Applicant's property. Replacement easement documents shall be finalized prior to submission of the amended plat or plats. 4. The Chairman or his designee is authorized to sign a deed and other such documents that may be necessary to complete the vacation and conveyance ofthe Newman Tunnel Spur railroad right -of -way to the Music Associates of Aspen Inc. and RRF Corporation, and the acceptance of the replacement easements. 5. The County Attorney shall not approve a replacement easement that does not include provisions acceptable to the County Engineer for addressing snow, rock, and other debris that may enter the replacement easements from Castle Creek Road. The right -of -way conflicts with the location of several existing structures and buildings approved as part of the Master Plan. The campus was subdivided from property to the north in 1973. Vacation shall be approved if it is demonstrated that upon vacation there shall remain suitable access to public and private land presently accessed by the street or easement proposed for vacation. The amended plat is necessary in order to replace the previously - platted trail easement through the property and the previously - granted easement for Music School Road, to consolidate the parcels shown on previously recorded plats, and to correct the property boundary shown on previous plats. A draft copy of the amended plat has been included with this application. While working through some of the details of the plat with County staff, the applicant was informed by the County Engineer of the presence of a deed to a right -of -way held by the County across a portion of the property. This right -of -way is for the Newman Tunnel Spur, a railroad line that once crossed the property to serve the Newman Mine. The right - of -way was conveyed to Pitkin County in 1938 by the Denver and Rio Grande Western Railroad Company (see Exhibit #5). The applicant had been unaware of the existence of this right -of -way because it had not appeared on any commitments for title insurance issued to the applicant, was not depicted on previous plats for the property or on the County Assessor's maps, and had not been raised as an issue by the County or any member of the public during any of the prior land use reviews for the Campus. However, even though it has not been previously identified in any of the forums, extensive research through the County's records conducted by the applicant has not uncovered any evidence to indicate that the County ever formally abandoned or vacated that right -of -way. The configuration of the railroad right -of -way is depicted on the draft amended final plat. It shows that the right -of -way generally coincides with Music School Road as it enters the Campus, then extends across Castle Creek and continues along the base of the mountain to the back portion of the Campus. As a result, it conflicts with the location of several existing structures and several approved buildings on the Campus Master Plan. The applicant has discussed these conflicts with County staff and we are in agreement that the appropriate way to address it is to request that the County vacate the railroad right -of -way and convey the property to the applicant. This application makes that request of the Board of County Commissioners. The applicant is also requesting that the County vacate the easement for Music School Road that was granted to the County in 1984 in Book 476 @ Page 402. The applicant requests that this easement be vacated in anticipation of granting a replacement easement to the County for the re- alignment of Music School Road, as shown on the draft amended plat. We have directed our project design team to address and resolve these concerns as safety is of utmost concern. Our project team has spoken with G.R. Fielding and requested a meeting to review some potential solutions and review a proposed monitoring plan to occur this Winter 2008 -2009. After gathering additional data for the area of concern we would plan to meet with GR and staff again in February/March 2009 and identify the most efficient solution to alleviate the identified area of concern. We have suggested the following ideas as proposed solutions for consideration: 1. Seasonal /Permanent posts with snow fence /barrier in the area to be identified to prevent large amounts of blown snow to dump 2. In areas to be identified as snow dump hazard concern, if there is any real- estate in the shoulder to grade out a larger shoulder to help slow, eliminate a big dump 3. Explore vegetation options 4 Signage warning pedestrian & vehicle traffic 5. Continue to research other methods throughout this winter as we collect data (see "LOCATION" below) 6 Combination of ideas above We do not foresee this being able to resolve in the next few days, before the BOCC meeting on 10/22/08, but if it is agreeable to County Staff, we can reach agreement on conditions to allow us to explore further and resolve the issue prior to construction. The attached diagram indicates the area of potential concern. We believe through monitoring this, we may be able to identify the exact area and determine the best solution.
