LICENSE AND INDEMNITY AGREEMENT

THIS LICENSE AND INDEMNITY AGREEME NT is made as of
the 9th day of July, 1973, between PITKIN COUNTY~ COLOftADO
(Pitco) acting by and through THE BOARD OF COUNTY C~MMISSIONERS
OF THE COUNTY OF PITKIN, STATE OF COLORADO, and SNOWMASS SKIING
CORPORATION, a Colorado corporation (Ski Corp),
W I T N E S S E T H:
WHEREAS, Ski Corp operates the Snowmass Ski Area in
Pitkin County and proposes to construct a new chair lift to
be numbered and known as Lift No. 11, The Wood Run Lif't; and
WHEREA~, Ski Corp desires to construct, maintain and
operate two of its stationary lift towers f or Lift No, 11
within the right of way boundaries of a dedicated county
road known as Wood Road; and
WHEREAS, Pitco is willing to grant Ski Corp a license
to so construct, maintain and operate said two lift towers
within the county road right of way provided satisfactory
indemnity ~s given by Ski Corp to Pitco.
NOW, THEREFORE, Pitco and Ski Corp agree as follows:
1. Pitco grants to Ski Corp, its successors and assigns,
the full and free license and right to enter upon and to
construct, maintain and operate two stationary lift towers
within the dedicated right of way of Wood Road at the
approximate locations depicted and identified as "Tower 4"
and"Tower 24" on the Location Map attached hereto as Exhibit
A and by this reference made a part hereof, provided, however,
that such towers shall not be constructed an the existing
paved surface portions of Wood Road.
2. Ski Corp sha11 not, except so far as may be reasonably
necessary for laying out, c onstructing, maintaining and operating
, said lift towers, disturb, damage or destro~ the land within
the Wood Road right of way and , following construction, shall
repair any damage done and shall regrade and restore the sur-
face as nearly as possible to its former condition.
3. Ski Corp assumes all risk of loss, damage or injur~
! to person or property by reason of the construction of the
said lift towers within the Wood Road right of wa~, or b~
, reason of the condition of the premises before, during or
~ after such construction, or by reason of the management,

control or operation of Lift No. 11, and releases Pitco from
all claim for such loss, damage or injury sustained b~ Ski
~ Corp, or b~ any agent or emplo~ee of Ski Corp, or by any person
whomsoever, whether caused by the negligence of Pitco, its

agents or employees, or otherwise; and Ski Corp agrees to
indemnify Pitco against all claims for such loss, damage or
, injury sustained b~ Ski Corp, or b~ an~ agent or emplo~ee of
Ski Corp, or by any person whomsoever, whether the same be

caused by the negligence of Pitco or of its officials, agents,
employees or otherwise.
' 4. Pitco may by notice in writing cancel this agreement
and revoke the license hereby granted, if at any time Pitco in

the bona fide exercise of its sole discretion, determines that it
is necessary to use the land on which the two lift towers, or
~ either of them, are situated for road widening or road irnprove-
ment purposes; or if Ski Corp shall break any of the conditions
! herein contained; but, except as aforesaid, this Agreement and

f, the license herein granted ~ha11 remain in force and effect
i for so long as Ski Corp, its successors or assigns, shall

;, continue to use, operate and maintain said lift No. 11 or
' any substitute or replacement facility for the uphill trans-
i
portation or conveyance of skiers or others over and across the
; lands shown in Exhibit A hereto. Upon expiration or termination
i
of this Agreement, Ski Corp, at its own cost risk and expense,

shall remove i~s lift towers from the Wood ftoad right of way
and shall restore the surface thereof and make good all damage
done thereby.
5. This Agreement shall be binding upon and shall inure
to the benefit of the parties hereto and their respective
successors and assigns.
IN WITNESS WHEREOF, the parties hereto have executed
this License and Indemnity Agreement as of the day and ~ear
first above written.
