WHEREAS, the Aspen Valley Hospital District (hereinafter
"Applicant") has applied to Pitkin County for PMH Rezoning,
Detailed and Final Plat and Subdivision Exemption approvals to
construct a 17 unit employee housing project located on a 1.05
acre parcel of land (as described in Exhibit "A" attached); and
WHEREAS, the Board of County Commissioners (hereinafter
"Board") reviewed this application at their regularly scheduled
public meeting on June 13, 1989, at which time evidence and
testimony was presented with respect to this project; and
WHEREAS, the Board finds that the Applicant has adequately
addressed the conditions of General Submission approval and that
this project continues to meet or exceed the requirements of the
PMH zone district.
NOW, ~'RF:FORE, SE IT RESOLVED by the Board that it hereby
grants approval of this project subject to the following
conditioner
1. Submittal of a Subdivision Improvements Agreement
acceptable to the Planning Office and County Attorney,
prior to Final Plat approval and the issuance of a
complete building permit, to guarantee the following.
improvements:
a. Landscaping, revegetation of disturbed areas and
associated irrigation systems;
b. Provision of pedestrian links to the Hospital and

RFTA including both temporary and estimated final
design costs;
c. .Drainage improvement;
d. Water line construction, including provisions for
a "looped" system as approved by the Water
Department;
e. Sewer line construction;
f. Re-alignment of the existing trail. Said re-
alignment shall be deemed to satisfy the park
dedication requirements of Section 5-501.11(h) of
the Land Use Code.
2. This project shall be rented at the Moderate Income
level as set by the Aspen/Pitkin County Housing
Authority, however, Hospital employees whose income
levels exceed this level may be housed in this project.
Non-Hospital employees housed in this project shall be
required to comply with the Authority's Moderate Income
Guidelines.
3. Completion of an amended plat for the City Thomas
Subdivision property.
4. Submittal of a Final Plat for recording which meets the
approval of the Planning Department and County
Attorney. This plat shall also show an easement for
the "nordic" trail acceptable to the County.
5. Dogs shall be prohibited in this project. The
Applicant shall incorporate this prohibition into its
lease agreement with tenants.
6. Fire hydrants and interior sprinkler systems shall be
provided as approved by the Fire Marshall.
7. Improvements to the bus stop, the provision of
pedestrian "links" and the realignment of the
intersection of Doolittle road and Castle Creek Road
shall be provided in conjunction with the Health and
Human Services building and are not specifically
required for this project.
8. The Applicant shall make provisions in its lease
agreement with tenants to control the outside storage
of material, equipment or junk to insure that visual
impacts to adjoining properties are minimized.

RESOLUTION OF THE PITICIN COUNTY PLANNING AND ZONING COMMISSION
APPROVAL OF THE ASPEN VALLEY HOSPITAL, DISTRICT'S
PMH REZONING AND GENERAL SUBMISSION APPLICATION
TO THE BOARD OF COUNTY COMMISSIONERS

WHEREAS, the Aspen Valley Hospital District (hereinafter
"AVHD") has applied for rezoning to PMH and General Submission
approvals to construct a 17 unit employee housing project on a
1.33 acre parcel of land (as described in Exhibit "A" attached)
adjacent to the existing Aspen Valley Hospital; and
WHEREAS, the Pitkin County Planning and Zoning Commission
(hereinafter "Commission") reviewed this application at their
regularly scheduled public meeting on February 14, 1989, at which
time evidence and testimony was presented with respect to this
application; and
WHEREAS, the Commission finds that the proposed rezoning
conforms to adopted land use plans and policies; and
WHEREAS, the Commission finds that the proposal conforms to
the requirements of the PMH zone district contained within
Section 3-1.7 and the General Regulations contained in Article 5
of the Land Use Code.
NOW, THEREFORE, BE IT RESOLVED by the Commission that it
hereby recommends that the Board of County commissioners approve
the AVHD application for rezoning and General Submission subject
to the following conditions:

1. Prior to Detailed Submission, AVHD shall meet with the
Aspen Water Department to develop an acceptable water
service plan.
2. Prior to Detailed Submission, AVHD shall meet with the
Aspen Consolidated Sanitation District to develop a
sewage disposal utility plan.
3. Prior to Detailed Submission, the AVHD shall develop a
fire protection plan which is acceptable to the Aspen
Fire Protection District.
4. The entrance drive to the proj ect should be redesigned
so that it is directly across from the driveway to
Castle Ridge.
5. Prior to Detailed Submission, the Applicant shall work
with the Housing Authority to develop appropriate
employee deed restrictions.
6. A detailed drainage plan shall be submitted at Detailed
Submission.
7. The Detailed Submission shall contain a landscaping
program which details plant species, number, size and
irrigation methods. This program shall also detail the
costs for the proposed landscaping.
8. A referral shall be sent to the Roaring Fork Transit
Agency at Detailed Submission to request their
assessment of the existing and proposed bus stop at the
Castle Creek road intersection.
9. At Detailed Submission, AVHD shall provide a plan for
the permanent location of the cross-country ski and
hiking trail which traverses the site.
10. To minimize disruption to the deer and elk which winter
in this area, dogs shall be prohibited from this
project.
ll. The provision of pedestrian links between this project,
the bus stop and the hospital shall be addressed by
AVHD at Detailed Submission.
12. This approval is subject to the Applicant obtaining all
necessary approvals from the City of Aspen.

PROPOSAL: The Applicants are applying for General Submission,
Subdivision Exemption, and Rezoning (to PMH) approvals to
construct a 17 unit employee housing project. The AVHD will
control nine units which will be used to house up to 14
employees. The APHA will control 8 units which will house up to
12 employees. The project site consists of 1.33 acres located
between the Castle Ridge Apartments and the Hospital.
This application was reviewed by the Pitkin County Planning and
Zoning Commission on February 14, 1989. The Planning Commission
has recommended approval of this project subject to the
conditions outlined in their Resolution No. PZ-89-7 (attached).
The staff supports the Planning Commission recommendation.
ALTERNATIVES:
1) The Board may approve this application subject to the
conditions outlined in the Planning Commission resolution.
2) The Board may approve this application with modifications
based on today's presentation.
3) The Board may deny this application if you find that it is
inconsistent with adopted policies or regulations.
RECOMMENDATION: The Planning Commission and the staff recommend
that the Board direct us to draft a resolution approving this
project with conditions as outlined in the Planning Commission
Resolution No. PZ-89-7.

APPLICANTS: Aspen Valley Hospital District (AVHD) and the
Aspen/Pitkin Housing Authority (APHA)
PROPOSAL: The Applicants are applying for General Submission,
Subdivision Exemption, and Rezoning (to PMH) approvals to
construct a 17 unit employee housing project. The AVHD will
control nine units which will be used to house up to 14
employees. The APHA will control 8 units which will house up to
12 employees.
LOCATION: The project site consists of 1.33 acres located
between the Castle Ridge Apartments and the Hospital.
ZONING: The property consists of Parcel "D" owned by the City
and Parcel "C" owned by the County. It contains a total of 1.33
acres. The City of Aspen Parcel "D" is currently zoned Public
and contains 0.738 acres. Pitkin County Parcel "C" is currently
zoned AF-1 and contains 0.595 acres.
ISSUES AND CONCERNS
I. Referral Agency Comments.
1. Aspen Fire Protection District: In a memo dated January 10,
1989 (attached) Wayne Vandemark submitted the following
comments
A) All structures must be supplied the required fire flow
which is 1,000 gallons per minute for two hours.
B) When any portion of a building is located in excess of
150 feet from a water supply on a public street, on-
site fire hydrants and mains capable of•supplying the
required fire flow must be provided.
2. County Engineer: In a memo dated February 2, 1989
(attached), Bud Eylar submitted the following comments:
A) A detailed drainage plan with the appropriate
supporting data should be submitted during detailed
submittal.
B) if credit for the reconfiguration of the intersection
of Dolittle and the Hospital Drive and the Hospital
Drive and Castle Creek Road is to be given to this
applicant then a commitment should be made for the
completion of the improvements.
C) If the improvements in (B) are made a specific pavement
design should be submitted based upon specific soil
conditions and taking into consideration the impact
loads of starting and stopping buses.
D) Landscaping and grading plans should be reviewed so
that there are no sight distance problems created.
E) It is unclear from the submittal if Dolittle Drive is
part of the de-annexation. If so, is it to become a
private road or is it expected to become a County road?
My recommendation is that it remain in the City.
F) If it is possible the driveway to this development
should be aligned with the drive to Castle Ridge to
make a 4-way intersection.
3. Aspen Water Department: In a memo dated January 1, 1989
(attached) Jim Markalunas submitted the following comments:
A) The water system for this project and future AVHD
projects should be designed as a looped system to
insure adequate water supplies.
B) At Detailed Submission, the applicant should provide a
water utility plan for review by the Water Department.
C) The Water Department has sufficient capacity to serve
this project.
4. Aspen Consolidated Sanitation District: In a letter dated
January 31, 1989 (attached) Bruce Matherly submitted the
following comments:
A) On page 18 the applicant mentions that sewer service
has been provided by means of an extension from
Dolittle Road, this extension does not exist now and an
extension would need to be built according to District
standards at the applicant's expense.
B) On page 20 the applicant lists the costs of providing
sewer service at $45,000, this figure is estimated by

the applicant and is not a detailed estimate from the
District.
C) On page 31 the applicant states that the 8" sewer line
extension is shown on the site development plan, our
copy didn't show the extension so we are unable to
comment on this.
Thanks for the opportunity to review the general submission
for this project. As usual, any line extensions built within the
District, must be coordinated with and managed by the District in
compliance with the District's Rules and Regulations.
II. Staff Comments: The Aspen Valley Hospital District (AVHD)
and the Aspen/Pitkin County Housing Authority (APHA) have jointly
submitted an application to construct two buildings housing
employee dwelling units.
The AVHD will control one building of 9 units to house up to 14
employees. The APHA will control the other building which will
contain 8 units and house up to 12 employees.
The project site contains approximately 1.33 acres. The City of
Aspen owns 0.7 of an acre and the County owns 0.6 of an acre.
The present zoning of the City property is Public. The present
zoning of the County property is AF-1.
The following County review approvals are required for this
project:
1) PMH Rezoning - A rezoning to PMH is being requested. The
PMH zone requirements are set out in Section 3-1.7 of the
Land Use Code. The intent of this zone district is to
provide for the production of bona fide employee housing.
2) General Submission - Pursuant to PMH and Subdivision
regulations, this project must be reviewed as a subdivision
through General, Detailed and Final Plat reviews.
3) Subdivision Exemption - Subdivision Exemption approvals may
be required for the transfer of parcels from the County to
the Hospital.
4) GMP Exemption - Section 5-510.2(e) provides an exemption
from the Growth Management Quota System for all housing
units constructed within the PMH zone category. This
exemption requires no action by the P&Z or Board. The staff
notes that units produced through the PMH process do get
deducted from future GMP allotments.
The following comments will discuss this project's compliance

with PMH, General Submission and Subdivision Exemption
requirements.
PMH REZONING
This PMH rezoning proposal has been submitted pursuant to Section
3-1.7 of the Land Use Code. It contemplates creating 17 units in
two buildings to house up to 26 employees. Section 3-1.7(c)
provides evaluation criteria for proposed PMH projects. Those
criteria and the staff evaluation follow:
(c) Evaluation Criteria: The evaluation criteria for P.M.H.
rezoning applications shall be those outlined by Section 17-3.5
and any relevant criteria of Article 5 of the Land Use Code.
Staff: Section 17-3.5 contains the procedure for Board action on
a development proposal. This application and review will be
processed according to those procedures. The relevant criteria
in Article 5 will be discussed in the General Submission section
of this memo.
Criteria (c)(1): Contributes to the annual housing projection
goal and unit mix established by any housing plan;
Staff: The Housing Authority controlled building will contribute
to the housing supply for moderate income residents of the
County. The Hospital District controlled building is intended
for Hospital employees.
The staff is concerned about the management of the Hospital owned
portion of this project. Appropriate deed restrictions should be
developed which meet the approval of the Housing Authority. We
are also concerned that a mechanism should be provided to insure
that employees can continue to reside in the project for a
reasonable time if their Hospital employment ends.
Criteria (c)(2): Meets the low-, moderate- and middle-income
housing guidelines established pursuant to Section 5-
510.5(a)(2)(D).
Staff: This project is designed to meet the moderate income
rental guidelines.
Criteria (c)(3): Maximizes construction quality and unit size
given the price constraints.
Staff: The architectural design information in the application
presents a product of good quality and size given price
constraints.
Criteria (c)(4): Geographically disperses new construction

activity while concentrating new residential construction near
existing density centers.
Staff: The intent of this provision is not clear, however, the
staff opinion is that this is an excellent site for housing due
to its close proximity to services and the City of Aspen.
Criteria (c)(5): Minimizes the adverse environmental and social
impacts of any increased density.
Staff: The project site is located between the Castle Ridge
Apartments and the Hospital. It is in close proximity to public
roads, trails and bus routes. The staff opinion is that this
project will have minimal environmental and social impacts.
Criteria (c)(6): Assures that the PMH housing produced will
inure to the benefit of low-, moderate- and middle-income,
locally employed persons.
Staff: The Applicants will be required to restrict the project
to employee use according to the Aspen/Pitkin County Housing
Authority's standard deed restrictions.
Criteria (c)(7): Allows, if possible, local utilization of
federal or state housing assistance programs to reach low-income,
handicapped, or elderly persons.
Staff: While the use of Federal or State funds is not proposed,
this project does not preclude the use of these funds should they
become available.

GENERAL
General Submission review is required for this project pursuant
to Section 3-1.7 and Article 6 of the Land Use Code. The General
Submission review is intended to insure a project's compliance
with the policies (Article 2) and regulations (Article 5) of the
Code.

The staff concurs with Bud Eylar, that the access into the
proposed parking lot should be aligned directly across from the
Castle Ridge driveway to create a safer intersection.
This project discusses improvements to the intersection of
Dolittle Road, the Hospital Road and Castle Creek Road, however,
no improvements have been committed as part of this project. The
staff opinion is that the proposed improvements will be necessary
in the future, but that this project can function without them.
Section 5-205 - Adequate Provision for Water Needs.
The Aspen Water Department indicates that it has sufficient
capacity to serve this project. The Water Department continues
to recommend that a looped water system be provided to serve the
area. The application seems to discuss providing for a looped
system by committing to extend a water line to the property
boundary. The Applicant should describe these plans in greater
detail at the meeting. Prior to Detailed Submission the
Applicant should meet with the Water Department to define an
acceptable utility extension plan. The water utility plan should
also incorporate fire protection as recommended by the Aspen Fire
District. A plan acceptable to the Water Department and Fire
District should be presented at Detailed Submission.
SUBDIVISION EXEMPTION
Because the division of County owned land may be required for
this project, subdivision or subdivision exemption approvals may
be necessary. The staff recommendation is that the Board of
County Commissioners address the subdivision of this property as
an exemption for essential community facilities (Section 4-2.2(a)
(a)). Alternatively, The Planning Commission may recommend
subdivision approval (or denial) to the Board for this project.
SUMMARY
The staff opinion is that this is an excellent project. The
Applicants have not proposed to "overdevelop" the site. The
proposed density of this site - 17 units on 1.3 acres is
reasonable for this location between Castle Ridge and the
Hospital. This project is located close to trails, bus routes,
the Hospital and the City. The staff recommends approval of this
application.
RECOMMENDATION: The staff and the Planning Commission recommend
approval of this application to the Board of County Commissioners
subject to the conditions outlined in the Planning Commission's
Resolution PZ-89-7.

After review of the application it is apparent that fire hydrants
need to be installed in the area per Fire Code. All structures
must be supplied the required fire flow which is, in this case,
1,000 GPM for two hours. When any portion of the buildings
protected is in excess of 150 feet from a water supply on a
public street, there shall be provided on-site fire hydrants and
mains capable of supplying the required fire flow. The Fire
Department response time to this area is approximately 4 minutes.

I have reviewed the above refrenced submittal and have the following
comments. 1) Generally I have no opposition to the PMH rezoning but
the folowing condition should be attached to further submittals. A) A
detailed drainage plan with the appropriate supporting data should be
submitted during detailed submittal. B) If credit for the
reconfiguration of the intersection of Dolittle and the Hospital
Drive and the Hospital Drive and Cstle Creek Road is to be given to
this applicant then a committment should be made for the completion
of the improvements.
C) If the improvements in (B) are made a specific pavement design
should be submitted based upon specific soil conditions and taking
into considerationothe impact loads of starting and stopping buses. D)
Landscaping and grading plans should be reviewed so that there are no
sight distance problems created. E) It is unclear from the submittal
if Dolittle Drive is part of the deannexation. If so, is it to
become a provate road or is it expected to become a county road? My
recommendation is that it remain in the City.

We have review a general submittal application for employee housing
at Aspen Valley spiral, and wish to reiterate our previous concern
regarding water utilities for the project. We have previously stated that it
is essential for the hospital to provide some type of looping in order that
the hospital have two(2) sources of supply in the event it becomes
necessary to shut one source of supply down for maintenance or
emergency purposes. The proposed project presents an opportunity to
effect this looping to provide a dual source of water supply for the
hospital.
There are several methods by which the loop can readily be achieved since
there are several large mains in close proximity to the site development.
We note that to the west of the project there is a building envelope for a
future H & HS The water utility plans should incorporate a supply for
this future facility. Therefore, it is our recommendation that prior to final
submittal, a preliminary utility drawing be prepared incorporating our
recommendations.
There is sufficient capacity from nearby water mains to provide service to
this facility. (Refer to our letter pg 83, exhibit 11)

Dear Francis:
In review of the above submission we have the following comments:
a. On page 18 the applicant mentions that sewer service has been
provided by means of an extension from Doolittle Road, this extension
does not exist now and an extension would need to be built according to
District standards at the applicant's expense.
b. On pag:20 the applicant lists the costs of providing sewer service
at $45,000, this figure is estimated by the applicant and is not a detailed
estimate from the District.
c. On page 31 the applicant states that the 8" sewer line extension is
shown on the site development plan, our copy didn't show the extension so
we are unable to comment on this.

As usual, any line extensions built within the District, must be coordinated
with and managed by the District in compliance with the District's Rules and

APPLICANTS: The applicant is the Aspen Valley Hospital District.
The properties are owned by the City of Aspen (Parcel "D") and
Pitkin County (Parcel "C").
REQUEST: This application is a request for approval of a lot
line adjustment pursuant to Section 7-1003 of the Land Use Code.
The purpose of the lot line adjustment is to enable the City of
Aspen to convey approximately one half of an acre to Pitkin
County to enable the construction of a 17 unit employee housing
project.
REFERRAL COMMENTS:
Engineering Department: In a memorandum dated March 8, 1989,
Elyse Elliott, submitted the following comments:
1. Plat - We have to have an amended plat to the City Thomas
Property to illustrate the lot line adjustment. This must
comply with our plat requirements.
2. Design Standards - The new development should conform to the
City's Design Standards in Section 7-1004.c.4 of the Aspen
Municipal Code in case it is re-annexed by the City.
3. Improvement Districts - The applicant should agree to join
any future improvement districts.
PLANNING STAFF COMMENTS: Section 7-1003 of the Land Use Code
provides criteria for the review of Lot Line Adjustments. The
criteria, the applicant's response and staff comments follow:
Criteria a. It is demonstrated that the request is to correct an
engineering or survey error in a recorded plat or is to permit an
insubstantial boundary change between adjacent parcels; and
Applicant: The revised lot line is represented on the Site
Survey and the existing lot line is represented on the Existing
Conditions Plan attached herein. This application requests that
the lot line be adjusted so that Parcel D be included in Parcel
C. This is an insubstantial boundary change due to the size of
Parcel D and the intended use for the parcel.
Staff: The adjustment parcel contains approximately .42 of an
acre. This parcel is a portion of lot 4 of the City Thomas
Property Subdivision which contains 54.36 acres. The staff
opinion is that this application represents an insubstantial
boundary change.
Criteria b. Both landowners whose lot lines are being adjusted
provide written consent to the application; and
Staff: Both landowners (the City of Aspen and Pitkin County)
have provided written consent.
Criteria c. It is demonstrated that the request is to address
specific hardship; and
Applicant: This project falls under specific hardship in that it
is 100$ employee housing project under current PMH zone district
guidelines.
Staff: The specific hardship is created by the peculiar
configuration of the County property. With the addition of the
City parcel, a much better site design can be developed.
Criteria d. The corrected plat will meet the standards of this
division, and conform to the requirements of this chapter,
including the dimensional requirements of the Zone District in
which the lots are located, except in cases of an existing
nonconforming lot, in which the adjustment shall not increase the
non-conformity of the lot; and
Applicant: An application for rezoning of the parcel to PMH has
been filed with the County. The adjusted parcel will meet all
standards of this zone district.
Staff: If this application is approved, the applicant should be
required to submit an amended plat of the City Thomas Subdivision
to reflect the new lot configuration.
Criteria e. It is demonstrated that the lot line adjustment will
not affect the development rights or permitted density of the
affected lots by providing the opportunity to create a new lot
for resale or development.
Applicant: The development rights or permitted density of the
affected lots will not be affected by this lot line adjustment.
This parcel of land is unique in that it is undevelopable in its
present configuration. Castle Ridge Apartments could not expand
to this parcel due to its size and configuration. The adjacent

County parcel is proceeding through a zoning change from a non-
conforming AF-1 to Public for the accommodation of the County
Health and Human Services building and Aspen Valley Hospital
expanded parking and relocated helipad. These program elements
have been designed in conjunction with the proposed employee
housing project. Therefore, the ultimate development rights and
permitted density of the two original parcels will not be
affected.
Staff: This lot line adjustment does not create a new lot for
development or resale purposes.
In summary, the staff opinion is that the proposed lot line
adjustment conforms to the requirements of the Land Use Code, in
addition we support the recommendations made by the City
Engineering Department.
RECOMMENDED MOTION: The Planning staff recommends approval of
the proposed lot line adjustment with the following motion:
"I move to grant approval of a Subdivision Exemption for a Lot
Line Adjustment between the City of Aspen and Pitkin County
subject to the following conditions:
1. Submission of an amended plat of the City Thomas
Subdivision.
2. The new development should be designed in accordance
with Section 7-1004.c.4 of the City Land Use Code.
3. The applicant shall submit a statement of subdivision
exemption, to the satisfaction of the City Attorney,
which shall include an agreement to join any future
improvement districts formed which affect this
property.

renewal can be initiated as soon as a conflict in ownership can be
resolved between Mr. Auger and a Mr. Cecil Lewitz.
Francis Krizmanich called my office on April 3, 1989, to inform me

information submitted today for the Aspen Valley Hospital (AVH)
Master Plan. At the Planning and Zoning Commission meeting of
November 22, 1988 it was our understanding that information
addressing the numerous questions and conditions on the AVH
Master Plan would be provided prior to a drafting of a
resolution. Having just received the information it will require
some time to review in-house and with other agencies. As
indicated to you it will be difficult to meet this week. I
recommend meeting on Friday the 10th of February, since you will
be gone all next week this will allow us time to review the new
information. If all the comments are received and the
information is reviewed prior to February 10, I will call you
for an early meeting. If you have.any questions regarding the

Colorado (the "County") and the Aspen Valley Hospital District (the
"District").

elected by qualified electors of Pitkin County, Colorado; and
WHEREAS, the Pitkin County Board of County Commissioners is
authorized to execute this Agreement on behalf of the County and
the Aspen Valley Hospital District Board of Directors is authorized
to execute this Agreement on behalf of the District; and
WHEREAS, the County and the District have determined that they
share mutually certain objectives, including the creation of a
health and human services campus on the District property; the
creation of a master plan for the development of the District
property and adjacent County property; the improvement of living
conditions for those people living at the Community Center who
would qualify for admission to the District's Assisted Living
Facility; and the freeing of the Community Center for County use
other than housing; and
WHEREAS, the District agrees that it will construct a Senior
Activities Center, consisting of approximately 3,976 square feet,
to be provided to the County rent-free, to be used by the County
for the County's senior programs and the County agrees that as
consideration for the provision of such Senior Activities Center
by the District it will convey a portion of its property located
south of the Aspen Valley Hospital campus to the District for use
by the District for hospital purposes; and
WHEREAS, the County and the District have determined it is in
the best interests of the citizens of the County and the District
to enter into this Agreement;
NOW, THEREFORE, the County andt,he District, for good and
valuable consideration, the receipt of which is hereby
acknowledged, do hereby agree as follows:
I. Subdivision. The County shall consent to an application
for the subdivision of the real property it owns adjacent to the
southern boundary of the District Property, consisting of
approximately .9 acres plus, any real property which might be
conveyed by the City of Aspen to the County for employee housing
purposes, consisting of approximately 1 acre, (the "County
Property"), -into two parcels as shown on the attached site plan,
a copy of which is attached hereto as Exhibit "A" and the joint
Master Plan prepared by the County and the District and approved
pursuant to the provisions of the Pitkin County Land Use Code (the

"Land Use Code'!). The District shall assume the reasonable costs
of the submission of such land use application, including:
a. Preparation of the land use application;
b. Processing of the application pursuant to the
provisions of the Land Use Code;
c. Payment of the filing fees attributable to the
applications unless such fees are waived, as provided by law;
d. Preparation of a survey sufficient for submittal with
the land use application and preparation of a survey of the
Eastern Parcel resulting from the subdivision (the "Eastern
Parcel") to be conveyed to the District.
If such land use application is not approved by the County
pursuant to the Land Use Code, this Agreement shall be terminated.
2. Rezoning. In conjunction with the District's application
to subdivide the County Property into two parcels, the District
shall also apply to rezone the Eastern Parcel to PUB, Public-Zone
District, as such zone is described in Section 3-1.10 of the Land
Use Code. Notwithstanding the foregoing, should the Master Plan
provide for construction of employee housing on the Eastern Parcel,
the parcel may be rezoned to include a permanent moderate housing
(PMH) zone area in accordance with the provisions of the Land Use
Code, if necessary. The District shall also apply to rezone the
western parcel resulting from the subdivision ("Western Parcel")
to R-30, as such zone is described in Sections 3-2 and 3-3 of the
Land Use Code.
3. Conveyance. Following the completion of the land use
approval process, the County shall convey by general warranty deed
the resulting Eastern Parcel to the District free and clear of any
liens or encumbrances or other matters of record that would render
title unmarketable or would interfere with the District's intended
use of the Eastern Parcel. Should the County be unable to convey
the Eastern Parcel to the District under these conditions for any
reason, this Agreement shall be terminated, at the option of the
District.
4. Title Commitment. The County shall furnish at its expense
an owner's policy of title insurance, in a form acceptable to the
District in the amount of TWENTY-FIVE THOUSAND AND NO/100 DOLLARS
($25,000:00) per acre, for the Eastern Parcel to be conveyed to the
District pursuant to this Agreement. Should the District desire
to secure title insurance for all of its property, the District
shall contribute the amount necessary to pay for the cost of the
premium for such insurance which exceeds the amount of the premium
for the insurance which the County is obligated to provide
hereunder.

5. Easements. Simultaneously with the conveyance of the
Eastern Parcel of the County Property to the District, the District
will convey, at no cost to the County, perpetual easements to the
County for:
a. a Health and Human Services building proposed to be
constructed by the County on the Eastern Parcel consisting of
approximately 14,825 square feet, as shown on Exhibit "A";
b. access to the proposed County Health and Human
Services building; and
c. parking for the proposed County Health and Human
Services building.
The form of the easements set forth in this paragraph which
are to be granted the County by the District, is set forth in
Exhibit "B", attached hereto.
The conveyance of the footprint for the Health and Human
Services building shall be accomplished in accordance with the
provisions of the Land Use Code and shall be included in the
District's application for subdivision of the County property, as
necessary. The access and parking for the County Health and Human
Services building shall be as designated on the Master Plan but may
be relocated by the District with the consent of the County
Manager, which consent shall not be unreasonably withheld, if
relocation is necessitated by unforeseen circumstances, at the
District's expense, so long as such relocation does not adversely
affect the County's use of its Health and Human Services building.
6. Master Plan. The District and the County shall prepare
a joint Master Plan for the Eastern Parcel of the County Property
conveyed by the County to the District addressing all current and
known future uses of the parcel. The Master Plan shall provide
that all development of the Eastern Parcel shall be subject to the
provisions of the Master Plan or an amendment to the Master Plan
as well as to the relevant provisions of the Land Use Code in
effect at that time, and all such development shall be subject to
the approval of the District and the County, which approval shall
not be unreasonably withheld. Should any proposed development be
disapproved by either party, such development shall not occur.
Any plans for development of the parcel by one of the parties to
this Agreement which have been submitted to the other party for
approval under this Section shall be deemed approved by that party
within 45 days of submittal unless reasonably disapproved within
that time. Following such 45 day period, the party proposing the
development may submit a land use application seeking approval for
such development.
7. District Property. Other than the Eastern Parcel, the
District shall continue to have complete authority and discretion
for any development of the property it owned as of the date of this
Agreement and prior to the conveyance of the Eastern Parcel of the

County Property provided for herein, subject only to the applicable
provisions of the Land Use Code.
8. County Property. The County shall continue to have
complete authority and discretion for any development of the
western parcel resulting from the subdivision of the County
Property provided for herein, subject only to the applicable
provisions of the Land Use Code.
9. Health and Human Services Building. The County, as of
the date of this Agreement, proposes to construct a county Health
and Human Services building on the Eastern Parcel on the footprint
conveyed to it by virtue of the easement granted it pursuant to
this Agreement. The building design shall be architecturally
compatible with the buildings located on the District's campus at
the time a building permit is sought for the Health and Human
Services building. The County shall only use the proposed Health
and Human Services building for those health and human service uses
which are compatible with the Aspen Valley Hospital campus, the PUB
zone district, if applicable, and the Master Plan prepared jointly
by the District and the County for the Eastern Parcel. Such uses
may include Social Services, Community Health Services, Mental
Health Services, Child Care, Veterans' Services, Senior Services,
Extension Services and other community functions located in the
Pitkin County Community Center as of the date of this Agreement.
The construction of such building is the sole responsibility of
the County and the District shall have no obligation to construct
the building or to contribute to the building in any way, except
as may be contemplated by this Agreement. If the parties agree
upon an expansion of the County improvements located on the Eastern
Parcel, the parties agree to revise the Easement to reflect such
expansion.
10. Senior Activities Center. The District hereby agrees
that it shall construct a Senior Activities Center (the "Center")
in conjunction with its construction of an Assisted Living Facility
on the District's hospital campus. The Center shall be at least
3,000 square feet but no more than 4,000 square feet and shall
contain a recreation area, dining area, kitchen and an office for
the County Senior Services Coordinator. The Center will be
provided rent-free to the County for so long as the County proposes
to use the Center for senior activities or for the period of time
which ends upon the death of the last surviving member of the Board
of County Commissioners as of the date of this Agreement plus
twenty-one (21) years, whichever period is less. The County shall
be deemed to have ceased using the Center for senior activities
upon the failure by the County to conduct any senior activities in
the Center for a period of six (6) consecutive months, all
obligations of the Hospital with respect to the Center shall cease
and the Center shall revert to the sole use of the Hospital unless
the Hospital and the County mutually agree on another use for the
building.
a. The District shall:

i. Consult with the County Senior Services Coordinator
regarding the interior design of the Center;
ii. Provide utilities, including electricity, heat and
water, to the Center at no cost to the County;
iii. Provide housekeeping services to the Center at no
cost to the County;
iv. Provide building maintenance, including exterior
maintenance and landscaping, to the Center at no cost to the
County;
v. Provide tenant finish work to the Center, including
drywall and carpeting; and
vi. Maintain structural insurance for the Center building
in an amount reasonably deemed adequate by the District and
general public liability insurance in connection with its use
of the Center, naming the County as an additional insured.
b. The County shall:
i. Provide all fixed equipment for the Center, including
any kitchen fixtures, exhaust systems, hoods, and such
additional fire protection devices as may be required by the
installation of the kitchen, a preliminary budget for which
is attached hereto as Exhibit C;
ii. Pay the proportionate amount of kitchen consultants'
and architects' fees attributable to the installation of the
Center's kitchen and pay one-half of the costs of the
dishwashing equipment;
iii. Provide all furnishings, and replace such
furnishings as necessary, including, but not limited to,
office equipment and furniture, other furniture, recreational
equipment, audio-visual equipment and draperies, an estimate
of which is attached hereto as Exhibit D;
iv. Pay salaries of all County personnel utilizing the
Center; and
v. Maintain general liability insurance in connection
with its use of the Center, naming the District as an
additional insured, personal property insurance and public
official liability insurance in amounts reasonably deemed
adequate by the County.
11. Use of Senior Activities Center. The County shall have
first priority for use of the Center for County senior activities
administered by County personnel. The District shall have the
right to use the Center for meetings or other purposes so long as
such use does not interfere with County senior activities. The
District shall coordinate its use of the Center with the County
Senior Services Coordinator to avoid conflicts in use of the
Center.
12. Senior Meals Programs. A senior meals program is
currently provided by federal funding which is administered by the
Northwest Colorado Council of Governments (NWCCOG). The federal
program currently provides a cook/site manager's salary in the
amount of FIVE AND 50/100 DOLLARS ($5.50) per hour and NWCCOG

accepts food orders from the cook and delivers such food to the
County at no cost to the County. The County currently collects a
contribution of ONE AND 50/100 DOLLARS ($1.50) per meal per senior
over 60 years of age and a THREE AND 25/100 DOLLARS ($3.25) charge
per meal for others and pays such funds to NWCCOG. The County acts
as the local coordinating body by providing cooking and dining
facilities and currently TWO THOUSAND THREE HUNDRED TWENTY-TWO AND
NO/100 DOLLARS ($2,322) per year to supplement the cook's salary
in order to bring such salary in line with local wage levels.
Should any change in this program occur, whether because of a
change in NWCCOG participation or otherwise, the District and the
County shall negotiate to determine how to continue provision of
the senior meals program and to provide for the appropriate costs
of the program.
13. Nordic Trail. As of the date of this Agreement a public
nordic trail exists on the County Property as shown on the site
plan attached hereto as Exhibit A. Any development of the County
Property, whether by the County, the District or otherwise, shall
preserve the nordic trail across the County Property.
Notwithstanding the foregoing, the County shall relocate the nordic
trail, if necessary, at its discretion so long as the relocation
does not unreasonably interfere with the use of such nordic trail
and so long as any relocated trail does not exceed an approximately
five percent (5%) grade.
14. Termination of Aareement. This Agreement shall terminate
and its provisions shall be null and void if the District has not
submitted plans and an application for a building permit to the
Aspen/Pitkin Building Department for the Center (as described
herein), the ultimate size of which will be determined in the
Master Plan, and an Assisted Living Facility, the size of which
facility will be determined in the sole discretion of the District
and approved by the Board of County Commissioners of Pitkin County
as an amendment to the District's Detailed Submission Approval of
the Assisted Living Facility, by no-later than May 1, 1990. No
obligations established by this Agreement, other than those
applying to the creation of a Master Plan, if appropriate, shall
arise prior to the submission of such plans and application.
Following submission by the District of such plans and application,
the District shall comply with all applicable provisions of the
Uniform Building Code, including those relating to the time in
which a permit must be granted (Section 303[d]) and those relating
to the expiration of a permit (Section 302[d]).
15. Entire Aareement. This Agreement and the Exhibits
attached hereto contain the entire understanding of the parties.
There are no representations, warranties, covenants or undertakings
other than those expressly set forth herein. This Agreement may
not be modified or amended except by a writing signed by both of
the parties hereto.
16. Counterparts. This Agreement may be executed in
counterparts and, as executed, shall constitute one agreement

binding on all the parties hereto notwithstanding that all said
parties are not signatory to the original or same Agreement.
17. Recordation. Upon full execution of this Agreement, the
Agreement shall be placed of record in the real property records
of the Clerk and Recorder of Pitkin County, Colorado.
18. Binding Effect. This Agreement shall be binding upon
and shall inure to the benefit of the parties hereto and their
respective heirs, successors and assigns.
19. Unenforceable Provision. If any provisions of this
Agreement shall be determined to be void by any court of competent
jurisdiction, such determination shall not effect any other
provision hereof, all of which other provisions shall remain in
full force and effect so long as all the material provisions hereof
can be performed_ _It is the intention of the parties hereto that,
if any provision of this Agreement is capable of two constructions,
one of which would render the provision void and the other of which
would render the provision valid, the provision shall have the
meaning which renders it valid.
20. Governing Law. The interpretation, construction and
performance of this Agreement shall be governed by the laws of the
State of Colorado. In the event of any litigation, jurisdiction
and venue shall be with the Courts of Pitkin County, Colorado.
21. Captions. Paragraph headings are inserted for
convenience only and they shall in no way define, limit or
prescribe the scope or intent of this Agreement.

EASEMENT
THIS AGREEMENT is made this day of ,
19_, by the Aspen Valley Hospital District, whose address is 0200
Castle Creek Road, Aspen, Colorado 81611 ("Grantor") and Pitkin
County Colorado, whose address is 506 East Main Street, Aspen,
Colorado 81611 ("Grantee").
WHEREAS, Grantor represents and warrants that it owns and
has fee simple title to that certain parcel of real estate located
in the County of Pitkin, State of Colorado, (the "Property") more
particularly bounded and described on Exhibit "A" attached hereto
and incorporated herein by this reference.
AND, WHEREAS, Grantee desires to use a portion of said
Prooertv for a building envelope and parking;
NOW, THEREFORE, it is mutually agreed as follows:
GRANTOR, for good and valuable consideration, the receipt
and sufficiency of which is hereby acknowledged, does hereby grant,
assign and set over to Grantee an easement for a portion of the
Property located in the general location as indicated on the site
plan attached hereto as Attachment 1, the precise legal description
of which location will be inserted and approved by Grantor and
Grantee upon completion of any architectural plans for improvements
to be constructed by Grantee on the Property, the use of which
improvements shall be determined as provided for in that certain
Intergovernmental Agreement between Grantor and Grantee, as
approved by Ordinance 88-16; and, in addition, Grantor grants, sets
aside and assigns to Grantee the right of ingress and egress across
lands of Grantor to access such building envelope and accessory
parking.
EXCEPT AS HEREIN GRANTED, Grantor shall continue to have
full use and enjoyment of the Property.
GRANTEE shall bear full responsibility for the use and
enjoyment of the portion of the Property subject to this Easement
and shall maintain general liability insurance in connection with
its use of the Property, naming the Grantor as an additional
insured, as well as public official liability insurance in amounts
reasonably deemed adequate by the Grantee.
TO HAVE AND TO HOLD said easement unto Grantee, its
successors and assigns, together with all rights and privileges
appertaining thereto, forever.
