CONTRACT FOR PROVISION OF SERVICES
THIS CONTRACT is made and entered by and between the Pitkin County Board of
County Commissioners ("County") 530 East Main Street, Aspcn, Colorado and Grassroots
Television Inc. 110 East Hallam Street Suite 132 (hereinafter "Coniractor").
1. Term. The term ofthis contract is from March 1, 2010 to December 1, 2014.
2. Contractor's Obligations. Pursuant to the Policy for Use of the county's
Government Channel attached hereto as Exhibit "A" contractor sha11 provide the filming, cditin~
broadcasting and re-broadcasting of Cowity meetings, and technical assistance and engineering and
bulletin board management of any a~tive PEG channel for which they are the Designated Acxess
Provider and as described in detail in the Scope of Services attached hereto as Exhibit "B" to this
contracK.
3. Compensa~ion and Ext~~s Invoicing Pa~rnent and Offset. The County shall
pay the contractor an annual station management fee of $19,831.00 plus a pre-paid meeting
coverage fce of ~10,412.00 based on 76 meetings (regulat, worksession, special) at $137.00 per
five-hour mecting for a total of $~0,243.00 in ZO10, and adjrasted for inflation in the subsequent
four years of the contract not to ext~l 2"lo ea+ch y+~ar as follows: ~30,847.86 in 2011, ~31,4b4.81

right to: 1) reproduce the work; 2) prepare derivative works; 3) distribute copies to the public; 4)
perform the works publicly; and S) to display the work publicly. Contractor shall have right to
use materials produced in the cowse of this contract for marketing purposes and professional
presentations, articles, speeches and other business purposes.
5. Pitkin Countv's Obli~ations. Pitkin County sha11 administer this contract through
a County Representative. Pat Bingham will manage the pmject as the County's Representative.
In the event that Pat Bingham is not available, Phylis Mattice shall asswne the County
Representative's duties. The services provided and products delivered by the Contractor under
this contract will be subject to review by the County's Representatives, or a designee, for
compliance with Contractor's obligations prior to final payment.
6. Termin~tion Prior to Ex~iration of Contract Term. The County has the right to
terminate this contract, with or without cause, by giving written notice to the Contractor of such
termination and specifying the effective date thereof. Such notice shall be given at least ten (10)
days before~ the effective date of such termination. In such event a11 fuushed or unfinished
docwnents, data, studies and reports prepared by the Contractor pursuant to this contract shall
become the County's property. Contractor sha11 be entitled to receive corapensation in
accordance with the contract for any satisfactory work complet~d pursuant to the terms of this
contract prior to the date of termination. Notwithstanding the above, Contractor shall not be
relieved of liability to the County for damages sustained by the County by virtue of any breach
of the contract by the Contractor.
7. Indeuendent Contractor Status.
A. The parties to this contract intend that the relationship between them
contemplated by the contract is that of independent Contractor. Contractor, and any agent,
employee, or servant of Contractor shall not be deemed to be an employee, agent, or servant of
Pitkin County.
B. Contractor is not tequired to offer his services exclusively to Pitkin County under
this contrac~. Contractor may choose to work for other individuals or entities during the term of
this contract, provided that the basic serviees and deliverable ptoducts required under this
contract ar~e submitted in the rnanner ~nd on thG schedule defined under this contract.

8. ~indin~ Arbitration. Any disputes arising out of this contract shall be subject to
binding arbitration. The parties agree that any disputes conceming the terms and conditions of
this contract shall be submitted and finally settled by arbitration. Arbitration shall bc conducted
pursuant to the rules of the American Arbitration Association and shall be presided over by the
Pitkin County Hearing Officer appointed to arbitrate Pitkin County contract disputes. Costs of
the arbitration shall be awarded to the substantially prevailing party.
9. eve ' i. In the event that any provision of this contract shall be held to be
invalid or unenforceable, the remaining provisions of this contract shall remain valid and binding
upon the parties hereto
14. Inte~ration and Maiification.
A. This contract represents the entire and integrated contract between the County and
the Contractor and supeisedes all prior negotiations, representations, or contract, eithcr written or
oral. This contract may be amended only by written contract signed by both the County and the
Contractor.
B. The County may, from rime to time, request changes in the scope of services of
the Contractor to be performed hereunder. Such changes, including the increase or decrease in
the amount of the Contractor's compensation, which are mutually agrced upon between the
Couniy and the Contractor, shall be in writing and upon execution sha11 become part of this
contract.
11. Indemniri.
The Contractor (including, by definition here and hereinaf~cr, its officials, empioyees, agents and
representatives, subcontractors and suppliers), shall and hereby dces releasc, discharge, ind~mnify
and hold hannless the County of Pitkin and its officials, employee.s, agtnts and representatives from
and against liability for any claim, demand, loss, dama8~~ P~tY, .l~Sment, expenses, costs (in-
cluding costs of inv~estigation and defense), f~ees (including reasonabk attorncy and expert witness
fees) or compensation in any form or kind whatsoev+er for any bodily injury, doath, personal injury
or property dam~age arising out of or in connection with any negligent act, intentional act, ernor or
omission by the Contractc~r, and for any consequential liability alleg~d t~ accrue against the County
on ac~ount ofth+~ Contractor's acts, ern>rs or omissi~ns; provided, hovirevcr, that such indemnity

County's Risk Department). (For purposcs of this provision, "materially altered" shall
mean a change affecting thc covcrage's required herein, including a change to policy

Simultaneously with the Certificates of Insurance, the Contractar sha11 file with the
Courny's Risk Department (and promptly upda.te, as nece.ssary) a certified statement as to
claims pending against the required coverages, reserves established on account of such
claims, defensc costs expended and amounts remaining on policy limits.
2. In addition, these Certificates of Insurance sha11 contain the following
clauses:
a. The clause "other insurance provisions," in a policy in which the
County of Pitkin holds a Certificate, shall not apply to the County of Pitkin.
b. The insurance companies issuing the policy or policies hereunder
sha11 have no recowse against the County of Pitkin for payment of any premiums or
for assessments under any form of policy.
a Any and all deductibles in the above-described insurance policies
sha11 be assumed by and be for the amount o~ and at the sole expense of the
Contractor.
d. Locaiion of operations shall be: "all operations and locations at
which work for the referenced Project is being done"
3. Certificates of Insurance for all renewal policies shall be delivered to the
Co~mty's Representative at least fifteen (15) days prior to a policy's expiration date except
for any policy expiring on the expiration date of this conlract or thereafter.
4. The County reserves the right to request and receive a copy of any policy
and any policy endoisement at any time during the term of this coa~act.
13. Ex~m~ations ~d P~efer~nc~es. All purchases of construction or building or any
othe~ mat~erials for this contract shall not include Federal Excise Ta~ces or Colorado State c~r local

16. Attorncv's Foes. In the event that legal action is necessary to enfarce any of the
provisions of this contract beyond the arbitration described in Parag~aph 9, the substantially
prevailing perty shall bc cntitlod to its costs and reasonable attorney's fees.
17. Governmental Immunitv. Contracttor agrees and understands that Pitkin County is
relying on and does not waive, by any provision of this contract, the monetary limitations or
terms (preser-tly $154,400.00 per person and $600,OOQ per occurrence) or any other rights,
immunities, and protections provided by the Colorado Governmental Immunity Act, 24-10-101,
et. Seq., C.R.S., as from time to time amended, or otherwise available to Pitkin County or any of
its officers, agents or employees. Further, nothing in this contract shall be construed or interpreted
to require or provide for indemnification of the Contractor by the County for any injury to any
person or any pmperty damage whatsoever which is caused by the negligence or other misconduct
of the County or its agent or employees.
18. Cwxent Year Obli~ations. The parties acknowledge and agree that any payments
provided for hereunder or requirements for future appropriations sha11 constitute only currently
budgeted expenditures of Pitkin County. Pitkin County's obligadons under this contract are
subject to Pitkin County's annual right to budget and appropriate the sums necessary to provide
the services set forth herein. No provisions of the contra.ct sha11 constitute a mandatory charge or
requirement in any ensuing fiscal year beyond the then current fiscal year of Pitkin County. No
provision of the contract shall be construed or interpreted as creating a multiplc-fiscal year direct
or indirect debt or ather financial obligation of Pitkin County within the meaning of any
constitutional or stahrtory debt limitation. This contract shall not directly or indirectly obligate
Pitkin County to make any payments beyond those appropriated for Pitkin County's then current
f scal year. No provisions of this contract shall be construed to pledge or ereate a lien on any
class or source of Pitkin County's moneys, nor shall any pmvision of this contract restrict the
future issuance of Pitkin County's bonds or any obligations payable from any class or source of
Pitkin County's maney.

A. In compliance with House Bi1106-1343 and House Bi1107-1073 amending Title 8
of the Colorado Revised Statutes by the addition of Article 17.5, Illegal Aliens-Public Contract
for Services, enacted by the General Assembly of the State of Colorado, the Contraacttor sha// /1ot`.
1. Knowingly employ or contract with an illegal alien to perform work under
this contract or;
2. Enter into a contract with a subcontractor that fails to certify to the
Contractor that the subcontractor sha11 not knowingly employ or contract
with an illegal alien to perform work under this contract.
B. In compliance with House Bill 06-1343 and House Bill 07-1073 enacted by the
General Assembly of the State of Colorado:
1. The Contractor has confumed or attempted to confirm the employment
eligibility of all employees who are newly hired for employment in the United Statcs
through participation in the Basic Piloi Program [created in Public Law 208,104th
Congress, or its successor and expandcd in Public Law 156, 108~ Congress, or its
successor, that is administered by the United States Department of Homeland Security]
and, if the Contractor is not accepted into the Basic Pilot Program prior to entering into
this contract, the Contractor shall apply to participate in the Basic Pilot Program every
three months until the Contractor is accepted or this contract has been completed,
whichever is earlier. This provision shall not be required or effective if the Basic Pilot
Program is discontinued.

illegal aliens; except that the Contractor shall not terminate the contract with the
subcontractor if during such three days the subcontractor provides information to

Department of Labor and Employment made in the course of an investigation that the
Department of Labor and Employment is undertaking pursuant to the authority established
in Subsection (5) of C.R.S. § 8-17.5-102.

SCOPE OF SERVICES
Grassroots Television tnc. ("Contractor") shall:
A. Provide a broadcast quality signal, in compiiance with all Federal Communications
Commission (FCC) standards.
B. Operate and manage PEG Access Channels 11 and 12 with all applicable rules and
regulations; and , if Comcast of Colorado/Fiorida Inc. provides any additional PEG
access channeis pursuant to the franchtse agreement, Contractor may operate and
manage additional PEG channel for term of this agreement, as approved by the
County.
C. Brqadcast up to 76 meetings (Board of County Commissioner (BOCCj regular,
worksesstons or special meetings) annually. The county agrees to provide Contractor
with two weeks' nottce for changes in regular meetings or special meeting dates
when possible.
D. Provide the County with a semiannua) report due on the 15th of May and the i5th of
October. This report will Include the actual number of ineetings filmed and
broadcast, and an expla~ation of services provided and any challenges associated
with them.
E. Provide the County with a b~oadcast quallty DVD original of each meeting of the
BOCC. Provide one additianal DVD copy of any meeting on request by the County.
F. Provide access for the designated county representative, as designated tn paragraph
5 of the County's contrad with Grassroots television, to check signal quality at the
studio on request by the County.
G. Keep an accurate and comprehensive file for any and al) written complaints
regarding the broadcasttng of PEG programming, public access and contractor
actions in response tn those complair~ts. Contractor shall, wtthin 10 d~ys of written
request from the County provide the County a yearly summary report as part of the
semiannual reporting requlr~d in par~~r~ph D abov~, which shail inciude the n~ture
and typ+e of cnmplaints and actlon taken by tc,ntractor in response to those

While there are other operating televfsfon stations in the Aspen area, there are none
that are currently "cannected" to the COMCAST "head end" with our 3 channels
~~(12, 11 and 8) the way Grassroots is. They not only pick up our signal from Lower Red
with an antenna, they have the fber connection back to COMCAST to broadcast it. If
other stations were interested in taking over management of our N station, a
significant investment in equipment would have to be made.
2. No "western slope" distributors - Expiain Why
While it would be in the realm of possibility for our N station to be managed and
operated by~an organization not located in Aspen, It would be unrealist(c, unwieidy and
expensive for that to happen.
3. Parts/Equipment are not interchangeable, this is the only known service that will
meet the specialized needs of CGN and the equipment from this source is required to
manage our statlon - Exp{ain Why
! hlred an independent engineer for advice on the possibility of Pitkin County taking over
responslbility of housing and operating our television station. He advised that while
doing that is not impossible, there may be some ecanomies of scale derived from
combining the two (channels 11 and 12j broadcast operations. There are also technical

conciusion was that we would have to make a signiflcant investment in equipment
($50,000 +) and in training and employing staff to manage the stailon, its programming,
troubleshooting, etc. ~

Basod on our conversations of last week~ you've asked me to spend some time
considering issues relating to Fitkin County TV operations for Channel8, 11 and 12. I
have spent some additional dme learning about Grassroots TV, its' history, mission
statement, programming schedule and the like.
Here's what I do know for sure....
1) Channel8 content originates from the electrical closet at Sardy Field and is
transportcd to the COMCAST head-end via a fiber optic transmission link
from the airport to the COMCAST facilities located at Aspen Airport
Business Center (AABC). The audio portion of the channel is live broadcast
of Aspen Public Radio - KAJX - that is der~ved from an audio receiver
located in the airport. The video portion is current airline arrival and
• depazlure, information that is generated by a local computer at the airport.
2) Channel 11 content consists primarily of live and re-played, broadcasts of local
governrnent public meetings for Pitkin County Board of County
Commissioners (BOCC), Town of Snowmass Village (TOS~, the City of
Aspen, and Aspen School Board m+xtings, Live meetings are fed to
COMCAST via single mode fiber optic links from the Plazal facility on Main
street, the Asp~n Town hall and the Town of Snowmass Village municipal
center.
3) Recor~iings of each meeting are mada nn DVD's at the wne the meetings are

surrounding the broadcast of content for Channel l l. Much of what I recommend can be
extended to Channe112 programming as well, however, there may be some economies of
scale derived from combining the two broadcast operations. My rasearch to date has
indicated some.complexity regarding the Channel 12 programming and I have
uncertainty regarding the sources of funding for Grassroots TV and who is responsible
for coordination and production of independent community oriented pmgramming.
As for the idea of transferring all pmgramming responsibilities for Channel 11 away
from Grassroots TV, there are technical issues and operational issues.
The technical issues are relatively straightforward and easy to aecommodate. In order
to create a"TV station" these days, there is reasonably cost effective equipment available
that will serve as the repository of programming content and give you the scheduling
functionality to program your broadcast day/week and air the events your cover now: In
fact, I have already quoted you the basic equipment that will accomplish this task for you.
Last year, I prepared a quotarion for upgrading equipment for the Channel8 broadcast
that included a LEIGHTROI~IIX Nexus MPEC3 recorder/player/event controller system.
Such a product with sufficient storage capacity will give you all the sophistication you
need to generate the programming content for Channel 11. T would estimate that the
basic components required today - with enhanced storage capacity in excess of 1
TeraByte (TB) - would cost about $20,000 installed. This is the same equipment that is
used by The Colorado Channel - COMCAST #165 - that broadcasts the affairs of the
Colorado House of Representatives.
There may also be neeci for additional components depending upon how sophisticated
you want to gat with certain pmgramrning elements. The Nexus will ~chedule and play
live full motion video segments. It will switch to a"live" source corning fmm a r~mote
prociuction location (like Plaaal}~ transmit that pmgramming to COMCAST fnr
broadcasty and simnltan~ously permit you to rccord an MPE(32 data fila pf the event for
subs~equcnt s~heduling end playback. Tha Nexus will also play a s+equence of gr~phics

All the equipment would reside in a tall vertical equipment rack (like the one in Pazal
now...). You would also want some monitoring eyuipment so you can see your various
sources, as well as some nominal test equipment to assurc broadcast compliance. But
some of that equipment could be re-purposed fmm what you have in Plazal now.
Thero are other issues, however, that relate to the connectivity of the signals from
the TOSV facility and the City of Aspen. At the present time, the TOSV signal is routed
to COMCAST direcfly fmm Snowmass and the City of Aspen signals are routed to
COMCAST via the Grassroots TV offices. In order to take advantage of the new
scenario that T have described, the Nexus would need to be located at the COMCAST
head-end facility where it would serve as the central switcher for those sources.
Otherwise, those signals would need to be muted to your location at Main Street bofore
they go out to COMCAST - an unlikely and very castly task. ••
At.present, there are a series of Video Loss Detection relays that automatically
switch signals from certain locations when a certain switch is made at each respective
location. This is somowhat crude but it gets the job done. The new scenario would
require active switching of the Nexus via the Internet or perhaps time-dependcnt program
control. Not a big deal, but it would need to be thought ttuough and designed in from the
start. Locating this equipment at COMCAST is not a complex matter. It does require a
cabk modem installation at the head-end and some fixed IP addressing that your TT
department would need to be in on, but aIl this has already b~en done by other
COMCAST clients and this scenario is already in place at the AABC head-cnd and
working on a daily basis. James Martin at COMCAST has also indicated their
coopration in helping this happen if you decide to pursue this solution.

2) Program production of indepcndent segmcnts currently in your program line-up -
Senior Perspectives, City Matters, County Connecrions, Town Tallc, etc. (At the
present time, you have no means to shoot, edit and produce video programs other
than your "live" shows. That would require approx. $25~000 extra investment.)
3) Production and pmgramming of graphic and text information presented in the
crawling text portion of the screen as well as graphic slates that may be presented
in the Ncxus.
4) Coordination and planning of special events and/or new contcnt as the need
arises.
These are the kinds of tasks and responsibilities that would be ostensibly handled by
the "contractor" hirod by the County. It is what Grassroots TV dces for you now, as I
understand it.
Overall, it is a~ery doable task to migrate the technology back into the fold of Pitkin
County responsibility. But I am not sure that there aren't other things that Grassroots TV
brings to the table at the present time that benefit you. Granted, pursuing this option
certainly holds their feet to tht fire to make sure you are getting a competitive services
contract, but there is an additional capital investment that is required to make it happen.
I also believe that one of your interim steps is to get an aecurate current accounting of
what equipment is in the possession of Grassroots TV that is actually owned by the
county. That, if for no other reason, will put Grassroots TV on notice t(~at you are
perhaps contemplating some changes down the road that they will. need to be responsive
to.
