CONTRACT FOR PROVISION OF S�RVICCS

THIS CONTRACT is made and entered by and between the Pitkin County Board of County
Commissioneis ("County") and Ennovate Coivoradon, 10650 E. Bethanv Dr, Suite A, Aurora,
Colorado (303) 309-6223 (hereinafter "Contractor").
Term. The term of this contract is from Mav 25. 2010 to November 10. 2010.
2. Cont�•actor's Oblieations. Conuactor shall provide Engineering Design and
Commissioning Services for the Pitkin County Data Center Praject, Scope of seivices described in
GXHIBIT A, Dated May 17, 2010.
3. Compensation and �xvenses, Invoicing, Pavment and Offset The County shall
compensate Contractor for its services ii� accordance with the Budget and Schedule set out in
Paragraph 2. It is expressly understood and agt�eed that in no event will the total compensation and
reimbursement to be paid hereunder exceed the sum of 2$ 0,000 for all seivices rendered. By conu•act or
amendment, the County and Coutractor may reallocate the budget among project tasks if the total
budget amount remains unchanged. Contractor shall invoice for tUe p�roject monthly based on hours
worked, with payment expected within thirty (30) days of invoice, but any payment by the County may
be offset by any amount the Conh•actor owes the County For any reason.
4. Counfds Exclusive Ownershin of Work Product. Drawings, specifications,
guidelines and other documents prepared by Contractor in connection with this conh•act shall be the
property of the County. However, Contractor shall have the right to utilize such documents in the
cowse of its marketing, professional presentations, and for other business purposes. Contractor
assigns to County the copyrights to all work prepared, developed, or created pui�suant to this
contract, including the right to: 1) reproduce the work; 2) prepare derivative works; 3) dish•ibute
copies to the public; 4} perfonn the works publicly; aud 5) to display the work publicly. Contractor
shall have right to usa materials produced in the course of this contract for marketing purposes and
pc•ofessional presentations, aiticles, speeches and otlier business purposes.
5. Pitkin Countv's Oblieations. Pitkin County shall administer this contr�act tlunugh a
County Representative. Jodi Smith, Facilities Manager will manage the project as the County's
Representative. In the event ttiat Jodi is not available, Brian Pettet, Public Works Director shall
assume the County Representative's duties, The seivices provided a��d products delivered by the
Contractor under this contract will be subject to review by the County's Representatives, a• a
designee, for compliance with Contractor's obligations prior to final payment.

u , a 6. Termination Prior to Exniration of Contcact TetYn. The County has the right to
terininate�this conG•acf, with or wiUiout cause, by giving written notice to the Contractor of such
termination and specifying the effective date thereof. Such notice shall be given at least ten (10)
days befoie the effecrive date of such termination, In sucli event all finished or unfinished
documents, data, studies and reports prepared by the Contractor pursuant to d�is cont��act shall
become the County's pcoperty, ContracYor shall be entitled to receive compensation in accordance
with the cont�•act for any satisfactoiy work completed pursuaut to the terms of this contract prior to
tUe date of tetmination. Not withstanding the above, Contractor shall not be relieved of liability to
the County for damages sustained by the County by virtue of any breach of the contract by the
Contractor.
7. Independent Contractor Status.
A. The parties to this contract intend that the relationship between them
contemplated by the contract is that of independent Contractor. Contractor, and any agent,
employee, or servant of Contractor shall not be deemed to be an employee, agent, or seivant of
Pitkin County.
B. Contractor is not required to offer his services exclusively to Pitkin County under
this contract. Confractor may choose to work for other individuals or en6ties during the term of this
contract, provided that the basic services and deliverable products required mider diis conU�act are
submitted in the manner and on the schedule defined under this contract.
C. Contractor warrauts that all work produced will conform to all applicable industry
standard of care, skill and diligence in the performance of Contracto�'s obligations under this contract.
D. Conri�actor sl�all not attempt to oversee or supeivise the work or actions of any
Pitkin County employee, servant or agent in the course oF completiug work under this contr•act.
E. Contractor is not entitled to any Workers' Compensation benefits through
Pitkin County and is responsible for payment of sny Federal, state, FICA and other income taxes.
8. Assienabililu. This contract is not assignable by either paiTy. Any use of subcontractors by
the Conh•actor for perfoimance of this contract must be accepted in writing by the County.
9. Bindina Arbitration. Any disputes arisiug out of tl�is cond•act shall be subject to
binding arbitra6on. The parties agi•ee that any disputes concerning d�e terms a�id conditions of this
contract shall be submitted and finally settled by arbitration. Arbitration shall be coiiducted pursuant
to the rules of the American Arbitration Association and shall be presided over by the Pitkin County
Hearing Officer appointed to arbiu•ate Pitkin County contract disputes. Costs of the arbivation shall be
awarded to the substautially prevailing party.
(0. Severabilitv. In the event that any provision of tl�is contract shall be held to Ue
invalid or unenforceable, the remaining provisions of this contract shall remain valid and binding
upon the paities hereto

A. This contract represents the entire and integrated cont�'act between the County and
the Conri•actor and supersedes all pdor negotiations, representations, or contract, either written or oral.
This contract may be amended only by written contract signed by bod� Yhe County and ihe Contractor.
B. The County may, fi•om time to time, cequest changes in tlie scope of servicas
of lhe Contractor to Ue performed hereuuder. Such cl�anges, iucluding the increase or decrease in
tlie amount of the Contracto�'s compensation, which are mutually agreed upon betweeii the County
and die Contractor, shall be in writing and upon execution shall bacome part oPthis contract.
12. Indemni .
A. The Cont��actor (including, by definition here and hei�einafter, its of�'icials,
employees, agents and representatives, subcontractois and supplieis), shall and hereby does release,
discharge, indemnify and hold harmless the Com�ty of Pitkin and its officials, employees, agents and
representatives from and against liability for any olaim, demand, loss, damages, penalry, judgment,
expenses, costs (including costs of investiga6on and defense), fees (including reasonable attocney and
expert witness fees} or compensatioii in any fotrn or kind wliatsoever for any bodily injury, death,
pe�sonal injury or property damage arising out of or in connection with any negligent act, intenHonal
act, ennr or omission by the Contractor, and for any consequential liability aileged to accrue against
the Counry on account of the Contractor's acts, errors or omissions; provided, however, that such
indemnity shall not be conshved as a�i indemnity for bodily injury or property damage arising 1'rom the
sole negligence ofthe County or its employees.
B. The Contractor further shall investigate, process, respond to, adjust, provide
defense for and defend, pay or settle all claims, demands, or lawsuits relateci hei�eto at its sole expense
and shall bear all other costs and expenses related thereto, even if the claim, demand or lawsuit is
gioundless, false or fraudulent.
13. Insurance.
A. In whole or in part, the Coniractor shall secui�e and maintain for the term of its
caih•actual relationship with the County such insurtmce policies, finm companies licensed iu the State
of Colorado, as will pmtect itself, the County and others as specified from claims for bodily injw•ies,
death, personal injuiy or property damage, wluch may arise out of or result fiom the Conh•actor's acts,
enrors or omissions. The following insm•ance coverage, at or above the limits indicated and including
such endorsements as are indicated by a�i "X", are reyuired:

B. Proof of Insurance:
I. To provide evidence of the requit�ed insurance coverage, copies of
Certificates of Insurauce in a form acceptable to tlie County shall be filed with the County tlu•ough
the representative identified in Paragraph 5, no later than ten (10) calendar days prior to com-
mencement of operations affecting the County. Failure to file or ruaintain acceptable Ceitificates of
Insurance with the County is agreed to be a material breach of any contract. These Certificates of
Insurance shall contaiu a provision that coverage afforded under the policies will not be canceled or
materially altered unless at least thirty (30) calendar days prior written nntice by certified mail, retwn
receipt requested (effective upon proper mailing), has been sent to tlie Procnrement Officer. (For
purposes of this provision, "materialiy altered" shall mean a change affecting the coverage's required
herein, including a cliange to policy limits as set out in the then-current policy declarations page).
Simultaneously with the Ceitificates of Insurance, tlie Contractor shall file
with the Procw�ement Officer a certified statement as to claims peuding against the reGuired coverages,
reserves established on account of such claims, defense wsts expended aud amouuts remaining on
policy limits.
2. In addition, these Certificates oFInsurance shall contain tlie follownig clauses:
a. The clause `bther insurance provisions;' in a policy in which the
County of Pitkin holds a Ceitificate, sliall not apply to the County of Pitkin.
b. The insurance companies issunig the policy or policies hereunder shall
have no recourse against the County of Pitkin for payment of any premiwns or
for assessinents under any forin of policy.
c. Any and all deductibles in the above-described insurance policies shall be
asswned by and be for d�e amount of, aud at tlie sole expense of the Contractor.

3. Certificates of Ivsui�ice for a11 renewal policies shall be delivered to
the Counly's Represeniative at least fifteen (15) days prior to a policy's expiration date except for any
policy expiriug on the expirntion date of this contract or thereafter.
4. Tl�e County reserves the ri�;ht to request and receive a copy of any
policy and any policy endorsentent at any dme during the term of this contract.
14. Exemptions. All pw•chases of construction, building or any other materials for this
contract shall not include Federal Excise Taxes or Colorado State or 1oca1 sales or use taxes. Pitkin
County is exempt fi•om such taxes under registration numbers 98-02624 and 84-78000-SK.
15. Records The Contractor shall maintain comprehensive, complete and accurate
books, records, and documents concerning its performance relating to this contract for a period of
tliree (3) years after 6na1 payment under the contract and tl�e County shall have the ri�ht within the
three (3) year period to inspect and audit these books, records and documents, upon demand, in a
reasonable inanner and at reasonable times, for the purpose of detetmining, by accepted accowidng
and auditing standards, compliance with all provisions of the contract and applicable law.
16. Contract Made in Coloiado. The parties agree that this contract was made in
accordance with the laws of the State of Colorado and shall be so construed. Venue is agreed to be
exclusively in the courts of Pitkin County, Colorado.
17. Attornev's Fees, In the event that legal action is necessaiy to enforce any of the
provisions of this contract beyond the �u•biiration described in Paragraph 9, the substantialiy prevailing
party shall be entitled to its costs and i�easonable attorney's fees.
1 S. Governmental Bnmunitv. Contractor agrees and understands that Pitkin County is
relying on and does not waive, by any provision of this contract, the monetary limitations or terms
(presently $150,000.00 per person and $600,000 per occurrence) or any other rights, immunities,
and protections provided by the Co3orado Governmental lmmunity Act, 24-10-101, et, Seq., C.R.S.,
as fi•om time to time amended, or otl�erwise available to Pitkin County or any of its officers, agents
or employees. rurther, uothing in this contract shall be consuued or interpreted to t�equiie or provide

damage whatsoever whicl� is caused by the negligence or other misconduct of the County or its agent
or employees.
19. Current Year Oblieations. The parties acknowledge and agi•ee that any payments
provided for hereunder or reyuirements for f'uture appropriations shall constitute only currently
budgeted expenditures of Pitkin County. Pitkin County's oUligations under this contract are subject
to Pitkin County's annual right to budget and appropriate the sums necessary to provide the services
set forth herein. No provisions of the conhact sha(1 constitute a mandatoiy cliarge or requirement in
any ensuing fiscal year beyond th� then current fiscal year of Pitkin County. No provisiou of the

Conh•actor is not accepted into the Basic Pilot Pingram prior to entering into U�is contract,
the Contractor shall apply to participate in the Basic Pilot Program every three months until
the Contractor is accepted or this contract has been coinpleted, whichever is earlier. This
provision shall not be requii�ed or eflective if the Basic Pilot Program is discaitinued.
2. Tlie Contractor shall be prohibited from using Basic Pilot Program
procedures to undertake pre-employment screening of job applicants wl�ile this contract is
being performed.
3. If the Conu•actor obtains actual knowledge that a subcontractor performing
work under this coi�tcact knowin�ly employs or contracts witl� an illegal alien, the
ConU•actor shall be required to:
a. Notify the subconh�ACtor and the Couniy within tlu�ee days that the
Contractor has actual knowledge that the subconiractor is employin6 or contracting
with an illegal alien; and
b. TeiYninate the subconUact with the subcontractor if within three days
of receiving the notice reyui��ed pursuant to subparagraph (a) of this paragraph (3) the
subcontractor does not stop employing or contracting with the illegal aliens; except
that the Contractor shall not terminate the conh•act with the subcontcactor if during
such three days the subconu•actor provides information to establish that tl�e
subcontractor has not knowingly employed or contracted with an illegal alien.
4. The ConU•actor shall comply with any reasonable request by the Depai1ment of
Labor and Employment made in the course of an investigation that the Department of Labor
and Employment is unde�taking pursuant to tl�e authority established in Subsection (5) of
C.R.S. § 8-17.5-102.

AND COMMISSIONING $EBVICES
A. Prnnnsal for l�/VAC Svstems EnQineerinn Deslen Servlces
Ennovate Corporation proposes to provide HVAC Systems Design Engineering Services for Pitkin
County relative to the Pitkin County new Data Center Project. The primary purpose of these HVAC
Systems Engineering Design Services is to desi�n the HVAC systems; select the HVAC equipment
including chiller, pumps, waterside economizer system, HVAC equipment electrica] wiring, ete.
�l-1: HVAC Svstems Desien Eneineerine Services include the Sollowina:
1. Calculation of the HVAC system heating and cooling design loads. The anaiysis of the design
loads wi11 be based on the data provided by Pitkin County on the proposed building desi�n and
associated server equipment.
2. Specification of the HVAC equipment including chiller, pumps, waterside economizer, and
associated piping and electrical components,
3. Mechanical and Electrical drawings for permitting and construction of HVAC systems
4. Specifications and statements of work fa• soliciting Mechanical Conu•actor, Electrical
Contractor, and Conttrols Contractor bids for the Data Center HVAC systems
5. This does not include any on-site meetings or actual site reviews.
