(hereinafter "Vendor"). 1. GOODS PURCHASED. Vendor shall provide Buyer the following goods conforming to the stated description and any Technical Specifications attached to this contract: Purchase, supply and install American Power Conversion (APC) UPS and InRow Chilled Water units for a new Pitkin CounTy data center. The data center power and cooling equipment will support up to 40KW of racked computer and network related equipment. The solution proposed will be a full turnkey solution in which the vendor or distributor will provide a11 necessary hardwaze, software, installation services and warranty for the Bill of Materials below. Vendor or distributor will submit a proposal that includes the total bid price for all materials, installation services and warranty. Vendor or distributor will submit a proposal matching the Bill of Materials below, and describe any variations or exceptions between this RFP Bill of Materials and Vendor's proposed Bill of Materials. The chosen vendor or distributor will work closely with Pitkin County Facilities, Information Technology and other personnel to ensure a successful implementation. InRow RC units aze assumed to be supplied with chilled water at 45F (7C) with flow rates set to achieve a 10 F(6 C) water temperature difference and 85 F DB / 64.SF WB (29.4 C DB / 18.1 C WB) return air temperature to achieve a Net Sensible Capacity of 17 kW. InRow RC airflow is assumed to be at the maa�imum 2900 CFM (1369 L/s). Assumptions - There aze no gaps or empty spaces between racks and cooling units - Blanking panels aze assumed to be installed in all unused rack locations - Racks are assumed to be generally loaded from bottom to top. This Solution is approved based on above cooling performances. SCOPE OF WORK 1. For the delivery we will perform an inside delivery, meaning we will de-palletize the equipment and move all pieces into the data center. 2. Bay all of the cabinets and cooling units together; 3. Run power whips from the UPS/PDU to each cabinet and in-row cooling unit; 5. We will mount all rack PDUs in the back of the equipment cabinets and attach the power whips from the UPS to them; 6. Installation a11 of the environmental probes in the equipment cabinets; 7. Installarion the APC Infrastructure Central Monitoring device; 8. Install the 6 port chilled water, wall mounted manifold; 9. Assemble the PEX-aI-PEX piling from the wall mount ports to the in-row cooling units; 10. Insulate the PEX-aI-PEX piping; 11. Goods, together with all warranties, guarantees, manuals, support information and notice of any extended warranties, sha11 be delivered by Vendor to the Buyer at the following place and time: Pitkin Countv Facilities Deoartment. 485 Rio Grande Place #101. Asoen Colorado 81611. • Complete order will ship in 4-5 weeks form date of Notice to Proceed • 1 week for transit • 1-2 weeks for assembly and start up • Furnishing and assembly sha11 be completed by Februazy 1, 2011. 3. RISK OF LOSS. At all times prior to delivery and Buyer's acceptance of the goods, Vendor shall bear any and all risk of loss of or damage to the goods. During such period, Vendor shall insure the goods for loss or damage in amounts and under appropriate terms. 4. TIME IS OF THE ESSENCE. Vendor acknowledges that time is of the essence for delivery of goods. 5. LIOUIDATED DAMAGES. Vendor hereby agrees to be responsible to Buyer for liquidated damages for failure to deliver goods on time, (for delay and not as Penalty) in the amount of $100.00 per calendar day for each day or part of a day that goods aze not delivered on the date and time established in accordance with this contract. The parties agree that the stated sum is a reasonable forecast of fair compensation for the anticipated damages for delay and that they genuinely intend to liquidate such damages. Any such damages aze to be deducted from purchase price. 6. ACCEPTANCE OF GOODS. Delivery of goods sha11 be complete only upon acceptance by Buyer. Buyer shall have a minimum of 48 hour notice of delivery and CFT shall be present to accept and complete a joint inspection of goods with the county. At delivery and after inspection and acceptance, Vendor shall tender a Bill of Sa1e to the goods, together with any and all other documents evidencing such ownership and tide to the goods. The goods shall be delivered to Buyer free and cleaz of any liens, clauns or encumbrances, and Vendor shall wazrant the same, which warranty shall survive closing of this contract. 7. REJECTION OF GOODS. If goods aze not delivered according to the specificarions and descriptions of this contract, Buyer may reject goods. Upon failure of Vendor to deliver goods, Buyer may terminate this contract or declaze Vendor to be in default and pursue remedies contained in this contract. 8. Deliverv of Warrantv. Upon delivery of the goods, Vendor shall simultaneously tender to Buyer all wananties, guazantees, manuals and other documents specified by the contract documents or in possession of Vendor. B. Terms of Wazrantv and Renair. The Vendor hereby warrants that far a period of 1-yeaz from date of Final Acceptance by the County for installation, Vendor will, at Vendor's own expense, without any cost to the Buyer, replace all defective parts and make any repairs to the goods that may be required or made necessary by reason of defective material or worlananship. Where practicable, warranty repairs aze to be made in the field; however, in the event of major repairs, the goods may be transported to Vendor's facility at no cost to the Buyer. C. Extended Warranties. In addition to the above, the Buyer may avail itself of the Vendor's standazd and/or extended warranties. The Vendar sha11 offer to the Buyer any extended warranties, which may be available from the manufacturer at the time of delivery, or any subsequent extended warranties, for which the Buyer may be eligible, which become available thereafter. The Buyer is under no obligation to accept and pay for these extended warranties however. 9. PAYMENT. Full payment shall occur upon acceptance of goods delivered in compliance with this contract. In consideration of delivery and acceptance of the goods to Buyer in accordance with this contract, Buyer shall pay Vendor, and Vendor agrees to accept as its full and only compensation, the stated sum of $126.975.00 for all goods and services rendered, but any payment by the Buyer may be offset by any amount the Vendor owes the Buyer for any reason. 10. TERMINATION PRIOR TO EXPIRATION OF CONTRACT TERM. Buyer has the right to ternunate this contract, with or without cause, by giving written notice to the V endor of such termination and specifying the effecUve date thereof. 11. BUYER'S REMEDIES UPON DEFAULTOF VENDOR. Whenever Vendor shall default in performance of this contract in accordance with its terms, Buyer shall be entitled to suit for damages, specific performance or other relief in law or equity. 12 ASSIGNABLILITY. This contract is not assignable by either party. Any use of subcontractors by the Vendor for performance of this contract must be accepted in writing by the Buyer. 13. BINDING ARBITRATION. Any disputes arising out of this contract sha11 be subject to binding azbitration. The parties agree that any disputes concerning the terms and conditions of this conh�act sha11 be submitted and finally settled by arbitration. Arbitration shall be conducted pursuant to the rules of the American Arbitration Association and shall be presided over by the Pitkin County Hearing Officer appointed to azbitrate Pitkin County contract disputes. Costs of the arbitration shall be awarded to the substantially prevailing party. SEVERABILITY. In the event that any provision of this contract shall be held to be invalid or unenforceable, the remaining provisions of this contract shall remain valid and binding upon the parties hereto 15. INTEGRATION AND MODIFICATION. This contract represents the entire and integrated contract between the Buyer and Vendor and supersedes all prior negotiations, representafions, or contract, either written or oral. This wntract may be amended only by written contract signed by both the Buyer and Vendor. 16. EXEMPT'IONS. All purchases of conshuction or building or any other materials for this contract shall not include Federal Excise Taxes or Colorado State or local sales or use taxes. Pitkin County is exempt from such taxes under registration numbers 98-02624 and 84-'�8000-SK. 17. CON1'RACT MADE IN COLORADO. The parties agree that this contract was made in accordance with the laws of the State of Colorado and shall be so construed. Venue is agreed to be exclusively in the courts of Pitkin County, Colorado. 18. ATTORNEY'S FEES. In the event that legal ac6on is necessary to enforce any of the provisions of this contract beyond the azbitration described in Paragraph 13, the substantially prevailing party shall be entitled to its costs and reasonable attorney's fees. 19. GOVERNMENTAL IMMiJNITY. Vendor agrees and understands that Buyer is relying on and does not waive, by any provision of this contract, the monetary limitafions or terms (presently $150,000.00 per person and $600,000 per occurrence) or any other rights, immunities, and protections provided by the Colorado Governmental Immunity Act, 24-10-101, et. Seq., C.R.S., as from time to time amended, or otherwise available to Buyer or any of its officers, agents or employees. Further, nothing in this contract shall be conshued or interpreted to require or provide for indemnification of the Vendor by the Buyer for any injury to any person or any property daznage whatsoever which is caused by the negligence or other misconduct of the Buyer or its agent or employees. 20. CURRENT YEAR OBLIGATIONS. The parties acknowledge and agree that any payments provided for hereunder or requirements for future appropriafions shall constitute only currently budgeted expenditures of Pitkin County as Buyer. Pitkin County's obligations under this contract aze subject to Pitkin County's annual right to budget and appropriate the sums necessary to provide the services set forth herein. No provisions of the contract shall constitute a mandatory charge or requirement in any ensuing fiscal yeaz beyond the then current fiscal yeaz of Pitkin County. No provision of the contract shall be construed or interpreted as creating a mtiltiple-fiscal yeaz direct or indirect debt or other fmancial obligation of Pitkin County within the meaning of any constitutional or statutory debt limitation. This contract shall not directly or indirectly obligate Pitkin County to make any payments beyond those appropriated for Pitkin County's then current fiscal yeaz. No provisions of this contract shall be construed to pledge or create a lien on any class or source of Pitkin County's moneys, nor shall any provision of this contract restrict the future issuance of Pitkin County's bonds or any obligations payable from any class or source of Pitkin County's money. They tell me the construction of the ISX bid package was done internally and they are very familiar with your project. They also stated that the basic data center build out needs are being handled by subcontractors selected by the city/county. APC is only handling the installation of In-Row coolers and the UPS equipment. Ts khis conect? Answer: The County has corttracted for the Data Center Building build-out. The vendor awarded the contract base on the RFP #167.2010 APC UPS and in-row chilled water equipment will provide and install the battery and in-row coaling equipment as part of the contract. 2. Is this buIldittg a prefab modular building with an in-floor chilling system built in? We are not seeing a list of chilling equipment so we're assuming this is being supplied with ihe building. Answer: The building is a prefab modular building; however it does not have an in-floor clrilling system. The APC UPS and InRow Clulled Water Racks are the chilling units and have a chilier and condensing unit located on the roof of the jail. The mechanical portion for this project has already been awarded to R&H Mechanical who will supply and instal( the chilier units and all associated piping to the data center. 3.
