The purpose of this letter is to summarize the pertinent terms of Pitkin County's arrangement
with you to provide the specified services enumerated in the following paragraph. The
County's obligation under the Workers' Compensation Statute requires Pitkin County and
you to formalize the terms of this engagement in a notazized writing.
Colorado Wildlife Science, LLC (CWS) will prepaze a Baseline Inventory Report for the
property known as Droste III or Wapiti Ridge, as further described in Exhibit A. The scope
of services will be as described in your letter dated March 24, 2011, attached hereto as
Exhibit B. CWS will deliver a preliminary draft for review by no later than Apri122" and
will provide subsequent drafts based on feedback from Pitkin County staff and its designated
partners. The report will include a complete photographic inventory, which may need to be
completed at a later date depending weather and snowmelt.
It is mutually agreed that the County does not have an exclusive right to your services and it
is contemplated that you may provide similar work to other businesses, governments and
non-profit organizations. You acknowledge that the work performed for Pitkin County will
be that of an independent contractor and that no employee-employer relationship is created.
You have full control over how the services are performed and it is expected that work will
be conducted in accordance with industry standards by applying professional judgment. The
County will provide, if necessary, documents and information to complete the work
described in the preceding paragraph. The County representative signing this letter is
available to you to discuss any details related to this engagement. This letter of engagement
will terminate on December 31 and will require a new document in succeeding years to be
effective. You acknowledge and agree that you shall not be entitled to workers'
compensation benefits in connection with this project and that you shall be respousible
for the payment of all state and federal income taxes.

Illeeal Aliens — Public Contracts for Services

In conformance with the provisions of C.R.S. § 8-17.5-101 and 102, as amended;
1. Contractor shall not knowingly employ or contract with an illegal alien to perform
work under the public contract for services.
2. Contractor shall not enter into a contract with a subcontractor that fails to certify to
the contractor that the subcontractor shail not knowingly employ or contract with an illegal
alien to perform work under the public contract for services.
3. Contractor has confirmed the employment eligibility of all employees who are newly
hired for employment to perform work under the public contract for services through
participation in either the E-Verify Program or the Department Program.
4. Contractor shall use either the E-Verify Program or the Department Program
procedures to undertake pre-employment screening of job applicants while the public
contract for services is being performed.
5. Should Contractor obtain actual knowledge that a subcontractor performing work
under the public contract for services knowingly employs or contracts with an illegal alien,
Contractor shall be required to:
(a) Notify the subcontractor and the County within three days
that the contractor has actual knowledge that the subcontractor
is employing or contracting with an illegal alien;
(b) Terminate the subcontract with the subcontractor if within
three days of receiving the required notice the subcontractor
does not stop employing or contracting with the illegal alien;
except that the contractor shall not terminate the contract with
the subcontractor if the subcontractor provides information to
establish that the subcontractor has not knowingly employed or
contracted with an illegal alien;
6. Contractor shall comply with any reasonable request by the department made in the
course of an investigation that the department is undertaking pursuant to
C.R.S.8-17.5-102(5).

Colorado Wildlife Science, LLC (CWS) proposes to provide Pitkin County Open Space & Trails
("OST"} with a Baseline Inventory and Present Condition Report (the `Baseline"} for a Conservation
Easement on approsimately 845 acres of a parcel of land known as the "Droste Property" in
unincorporated Pitkin CounTy, Colorado. The purpose of this baseline report will be to provide an
inventory of the conservation resource values of the property around the time the conservation
easement will be acquired. The Baseline will contain all information required by Aspen Valley Land
Trust, Pitkin County, the State of Colorado, and the Internal Revenue Service. The Baseline will
include, at a minimum, the following information:

In addition, the Baseline will include the following elements required by Great Outdoors Colorado
("GOCO"}:
1. Documentation of the current use and condition of the property through nazrative description, photos. maps, or
other appropriate means;
2. Documentation of [he propert}%s conservation values as ezpressed in the projec[ application (such as w�ztlands.
agriculture, wildlife/wildlife habitat, geologic features, ripazian areas, scenic attributes, eic.) through narratice
description, photos, maps, or other appropriate means;
3. Color photographs o£ the significani natural and/or man-made features of the property (aerial photos are
valuable);
4. Maps documeniing the acreaga and boundaries of the propert;• to be
protected (maps should show features, including roads, uails. �cater
courses, wildlife habitat azeas, existing strucmres on the property. areas
of reserved decelopment rights, and areas of special land uses or unique
geologic features);
5. An acknowledgment statement signed by the landoµ�ner and the
holder of the use restriction. The statement should a�rm that the
documentation report identifies the propert}'s conservation values and
their condition and aceurately represents the property's current use(s) and
condition at the time of acquisition; and
6. A road map and directions to the property.
CWS will analyze existing reports, conduct a site evaluation
�igure t. E�mple ofgeoreferenced photo of the easement properiy, estab[ish permanent photopoints
using a sub-meter GPS, and consult with tlte Colorado Division of Wildlife, OST, and AVLT. All
photos produced for the Baseline will be georeferenced and stamped with geographic coordinates of
tha coordinate system prefened by OST (e.g., Lat-Long, UTM) and direction of the photo from the
photopoint(Figure 1).
DELIVERABLES
At a minimum, CWS will provide OST with:
1. A CD or DVD containing:
a. A PDF of the Baseline;
b. ArcGIS shapefiles of all photopoints and GPS locations of improvements; and
c. All digital photos inciuded in the Baseline.

2. Six full color copies ofthe final Baseline bound or punched to OST's specifications.
Work on this project can begin immediately. Our fees will be determined on a time and materials
basis. Work completed for conservation clients is discounted from our regular hourly rate. Our
cunent hourly rate for conservation easements is $110.00. We estimate that the time required to
complete the Baseline for the 845-acre property will be approximately 30 hours ($3,300.00).
This estimate is not a flat fee and remains subject to adjustment in the event of unexpected or
unforeseen complications. Nevertheless, the estimate is provided in good faith in an effort to give
a reasonable expectation oF what the costs will likely be. If, of course, the time required to
complete the Baseline is less than estimated, you wrl[ be bil[ed accordtng/y.
In addition, OST will be billed for expenses incuned on their behalf including photocopying,
binding, postage, and other reasonably incurred out-of-pocket expenses. Invoices are sent out at
the end of each month in which fees have accrued. Additional work beyond the scope of work
described in this letter will be billed at the hourly rate. Attendance at Open Space Board
Meetings or other public meetings or hearings will also be billed at the hourly rate.
