The following step will be to circulate a Draft Memorandum of Understanding to you, in the six counties,to refine and adopt in regard to the regional emergency response plan. Your County Emergency Manager will work with you on that process. As your Appointees to the Council change, your local EMS/EMST or Emergency Board/Council(whatever this group is called in your county)will work between you and the RETAC to officially effect the changes. (hereinafter "Act'); and 33 34 WHEREAS, each County has participated in one of the following Area Trauma 35 Advisory Councils" ("ATAC"s): Central Mountains ATAC, Chaffee County ATAC and 36 Roaring Fork ATAC. The purpose for said ATACs was to provide recommendations 37 concerning area trauma plans for the counties and cities throughout the state in 38 compliance with the requirements of the Act; and 39 40 WHEREAS,recent Act revisions mandate that the board of county 41 commissioners of each county replace existing ATACs with multicounty Regional 42 Emergency Medical and Trauma Advisory Councils (hereinafter"RETAC"s) which are 43 to be comprised of no fewer than five counties, or with the governing body of a city and 44 county, for the purpose of providing recommendations concerning regional area 45 emergency medical and trauma service plans in compliance with the requirements of the 46 Act; and Page 1 of /� Approved by the BOCC-appointed Central Mountains RETAC members 10/12/00 47 48 WHEREAS,the Counties recognize that appropriate care for those persons 49 experiencing a medical emergency or traumatic injury is immediately necessary and that 50 much of the infrastructure and cooperative spirit needed to create such a multicounty 51 organization including shared resources, equipment, and facilities that provide trauma 52 service already exists; and 53 54 WHEREAS,the Counties support the legislative directive and will extend their 55 best efforts to implement the legislative directive consistent with the funding 56 appropriated by the State of Colorado, or other sources designated for this purpose. 57 58 NOW, THEREFORE, for and in consideration of the mutual promises, covenants, 59 and obligations herein set forth,the Counties agree as follows: 60 61 1. The Counties agree to jointly establish a RETAC to recommend a regional 62 emergency medical and trauma system plan for the Counties and satisfy any other 63 regulatory of statutory requirements and obligations of the Counties pursuant to the 64 Emergency Medical Services Act, § 25-3.5-101 et seq., C.R.S. and the Statewide Trauma 65 Care System Act, 25-3.5-701 et seq., C.R.S., or as expressly delegated by the Counties. 66 67 2. This RETAC shall be known as the Central Mountains RETAC ("CM 68 RETAC"). The CM RETAC shall equitably represent the interests of Chaffee, Eagle, 69 Lake, Park, Pitkin and Summit Counties. 70 71 3. Chaffee, Eagle, Lake, Park, Pitkin and Summit Counties each agree to 72 dissolve their respective Central Mountain, Chaffee County and Roaring Fork ATACs 73 prior to forming the CM RETAC. Each dissolved ATAC may grant any remaining assets 74 to the CM RETAC after having satisfied all existing liabilities and obligations that they 75 each may have. The final actions taken by each of the ATACs shall include their 76 nominating the initial membership of the CM RETAC. 77 78 4. In accordance with 25-3.5-701, et seq., C.R.S. and the desires of the 79 participating Counties,the CM RETAC membership will be comprised of eighteen (18) 80 voting members: three (3) per each County's choice, as follows: 81 82 Votine members should include: 83 84 • 6 Emergency Medical Technicians—(paid or volunteer)—one from each County's 85 emergency medical services board or council 86 • 1 Trauma Surgeon 87 • 1 Emergency Department Physician 88 • 1 Healthcare Facility Administrator 89 • 3 Trauma Nurse Coordinators 90 • 1 Local Government Representative 91 • 1 Emergency Medical Service Physician Advisor 92 • 1 Ski Patroller /� Page 2 of 9 Approved by the BOCC-appointed Central Mountains RETAC members 10/12/00 93 • 1 Open Seat 94 • 1 First Responder 95 • 1 Primary Care Provider 96 97 This is an approximate distribution of voting members. Allowing each County to 98 work flexibly within this framework may alter the first and subsequent configurations of 99 the CM RETAC. Additionally,the CM RETAC shall invite and encourage the people 100 from key resource facilities to participate as non-voting members. 101 102 Existing members from the local EMS and Trauma Councils shall obtain input 103 from health care facilities and EMS providers within the area served by the CM RETAC, 104 solicit nominations and make a recommendation concerning the necessary appointments 105 to their BOCC prior to April 1"of each year, after a vote in the affirmative by a majority 106 of members at any official business meetings, The BOCC of each county will forward a 107 slate of approved candidates to the CM RETAC prior to May 30a'of each year. 108 109 The Board of County Commissioners for each participating county is under no 110 obligation to appoint the nominees The Board of County Commissioners for each 111 participating County shall approve, under a separate county resolution according to the 112 policies and procedures specific to each county, each member in order to serve as an 113 official member of the CM RETAC. 114 115 RETAC members shall serve at the pleasure of their appointing County and the 116 appointing County may remove or replace its appointees at will. Each County shall 117 notify the RETAC in writing of appointments, removals and resignations. Each County 118 shall appoint a new representative within thirty (30) days following a removal or notice 119 of resignation. The Counties are encouraged to consider the diversity of interests in the 120 community and coordinate their appointments to maximize the breadth and depth of 121 representation on the CM RETAC. Additional representatives from other counties 122 petitioning to join the CM RETAC after July 1, 2000 may only be added with the 123 unanimous consent of the Counties. 124 125 The CM RETAC shall elect a Chairperson, Vice Chairperson, and Secretary- 126 Treasurer from its members. These officers shall serve terms of one year and shall 127 perform the duties normal for their office. 128 129 5. All meetings of the CM RETAC and any subcommittee meetings of the 130 RETAC where business is discussed or at which formal action may be taken shall be 131 open to the public and subject to the Colorado Open Meetings Law § 24-6-401, et seq., 132 C.R.S. Notices of all regular and special meetings shall include an agenda and shall be 133 posted in a designated public place at least twenty-four (24) hours in advance (minimum 134 one business day) of the commencement of the meeting. The members of the CM 135 RETAC shall determine a regular frequency of meeting times as necessary for all work to 136 be accomplished. However, the CM RETAC shall schedule meetings no less than every 137 two months. 138 Page 3 of 9 /� Approved by the BOCC-appointed Central Mountains RETAC members 10/12/00 139 Official business may not be conducted unless a quorum of ten(10) is present. A 140 quorum shall consist of a majority of votes allowed (18). The affirmative vote of a 141 majority of the RETAC members present shall be required for the RETAC to take any 142 action. Each member of the CM RETAC shall have one (1) vote,however no more than 143 three members from any single County may participate in any particular vote. 144 145 The CM RETAC shall keep minutes of its proceedings showing the presence or 146 absence of each member and the vote of each member upon every motion. Failure to 147 vote and any abstentions shall be noted in the minutes. Minutes and records of the CM 148 RETAC shall be open to the public and subject to the Colorado Open Records Act, § 24- 149 72-101 et seq., C.R.S. 150 151 6. The CM RETAC is limited in its spending authority to the annual total 152 budget approved by the RETAC. Annual expenditures shall not exceed revenues, 153 including any reserve funds, as approved by the RETAC. The RETAC shall adhere to 154 generally accepted accounting principles and Colorado law. 155 156 The Counties understand that the fifteen thousand dollars ($15,000.00)per 157 County, or other amounts appropriated by the State of Colorado, shall be distributed to 158 the RETAC by the State of Colorado on or after July 1, 2002, from the state EMS 159 account pursuant to § 25-3.5-603(2.5)(b)(I) C.R.S. 160 161 In the event that the Counties offer financial support for the CM RETAC,the 162 RETAC shall notify the Counties of the anticipated contribution for the next year 163 including any proposed changes in the level of service by February 15, of each year. The 164 Counties understand that any financial support that they provide to the CM RETAC shall 165 be accepted solely for the purpose of CM RETAC system development and that the 166 Counties may not earmark the financial support that they provide for any specific purpose 167 or geographic area. 168 169 No later than February 15, of each year, the RETAC shall prepare a proposed 170 annual budget for the next fiscal year and shall submit a copy to the Counties. The 171 proposed annual budget shall be balanced, shall conform with the requirements of Local 172 Government Budget Law of Colorado, § 29-1-101 et seq., C.R.S. and shall include, at a 173 minimum, a detailed estimate of all proposed expenditures, anticipated revenues, and the 174 contributions to be made by the Counties. The proposed annual budget shall contain a 175 statement of the level of service the RETAC anticipates it will provide for the next fiscal 176 year and shall identify any change in the level of service from the preceding year. The 177 budget for the next fiscal year shall be adopted by the RETAC no later than March 15, of 178 the current year, after review and comment is received from the Counties. 179 180 In the event of unforeseen or unanticipated event that results in the need for 181 additional funds, the CM RETAC shall prepare an amended or supplemental budget and 182 present a request for supplemental contributions to the Counties for their consideration. 183 Any request for supplemental contributions must be accompanied by documentation Page 4 of 9 Approved by the BOCC-appointed Central Mountains RETAC members 10/12/00 184 supporting the need for the request, alternative courses of action and the impact of not 185 funding the request. 186 187 Summit County will serve as the fiscal agent for the RETAC. Summit County 188 shall provide for the keeping of accurate And correct books of account on an accrual 189 basis in accordance with the Local Government Accounting Law, § 29-1-501 et seq., 190 C.R.S. and generally accepted accounting principles, showing in detail capital costs, costs 191 of special services, maintenance and operating costs and all financial transactions of the 192 RETAC. Summit County's books of account shall correctly show any and all revenues, 193 costs, expenses or charges paid from or to be paid by funds obtained from federal or state 194 sources, each of the Counties, private contributions or revenue generated by the 195 RETAC's activities. Summit County's books shall be open to inspection upon 196 reasonable notice during normal business hours. Summit County shall provide for the 197 auditing of all books and accounts and other financial records of the RETAC on an 198 annual basis in accordance with the Colorado Local Government Audit Law, § 29-1-601 199 et seq., C.R.S., by an independent Certified Public Accountant selected by Summit 200 County. The audit shall be supplied to the Counties upon request. 201 202 Notwithstanding anything in this agreement to the contrary, financial obligations 203 of the respective Counties to make payments to the RETAC are expressly contingent 204 upon funds for the intended purposes herein being appropriated, budgeted and otherwise 205 made available. In the event that funds are not appropriated in whole or in part sufficient 206 for performance of any County's obligation under this agreement, or appropriated funds 207 may not be expended due to a County's spending limitation under Article X, Section 20, 208 of the Colorado Constitution, then the non-funding party may terminate its participation 209 in this agreement and such termination shall not be deemed a default or breach of this 210 agreement by such party. This section of the agreement shall control and supercede all 211 other provisions of this agreement inconsistent therewith. It is the intention of the 212 Counties that the annual appropriation requirements set forth in this agreement shall bring 213 this agreement and any renewals into compliance with Article X, Section 20, of the 214 Colorado Constitution. 215 216 7. The CM RETAC shall adopt Bylaws as necessary for the conduct of the 217 RETAC within one-hundred twenty (120) days after the effective date of this agreement 218 so long as such Bylaws are consistent and not in conflict with this agreement. Central 219 Mountains Area Trauma Advisory Council bylaws, attached as Exhibit "A," would be 220 applied to meet the needs of the CM RETAC with respect to membership issues until 221 such time that the CM RETAC drafts and adopts its own bylaws. Bylaws stating all 222 necessary rules and regulations concerning the operation of this RETAC shall be 223 recommended by the CM RETAC to the Counties. 224 225 8. The CM RETAC shall submit its recommended Regional Emergency 226 Medical and Trauma System Plan (the "Plan") for approval by the Counties on or before 227 January 15, 2003. The Plan shall conform to the requirements of§ 25-3.5-704(2)(c) 228 C.R.S. and other requirements duly established by the Colorado Board of Health and the 229 Colorado Department of Public Health and the Environment. The RETAC shall secure Page 5 of 9 Approved by the BOCC-appointed Central Mountains RETAC members 10/12/00 230 approval from the Counties and submit the approved Plan to the Colorado State 231 Emergency Medical and Trauma Advisory Council by July 1, 2003 as required by statute. 232 Subsequent recommended plans shall be prepared and submitted for approval by the 233 Counties not less than three (3) months prior to their required date for submission to the 234 Colorado State Emergency Medical and Trauma Advisory Council. 235 236 9. The CM RETAC shall submit a report to the Board of County 237 Commissioners for each County participating in the RETAC not later than February 15, 238 each year. The report will indicate the RETAC's accomplishments to date and will list 239 the goals of the CM RETAC for the coming year. The RETAC may substitute the 240 approved Plan to meet this requirement with the unanimous consent of the Counties. 241 242 10. Any party to this agreement may terminate its participation in this 271 RETAC with or without reason upon six (6) months prior written notice to the other 272 Counties and the Colorado Emergency Medical and Trauma Services Advisory Council. 273 The Counties agree that if funds are appropriated for the RETAC by the County 274 terminating its participation, such funds will be appropriated for the RETAC by the 275 County terminating its participation, such funds will be contributed to the RETAC during Page 6 of 9 Approved by the BOCC-appointed Central Mountains RETAC members 10/12/00 276 the notice of termination period. The Counties agree that the RETAC will continue to 277 provide services during the notice of termination period. 278 279 After notice of termination, the Parties thereafter agree to negotiate a division of 280 assets based on the following guidelines: 281 282 (A) The Counties intend that such division of assets,to the extent possible 283 will ensure that the Counties continuing their participation maintain a viable 284 RETAC. 285 286 (B) Upon dissolution, those assets which were contributed by a County 287 will be returned to the contributing County unless provided for differently in this 288 agreement or by other formal arrangement of the Counties. Assets contributed by 289 the United States Government, the State of Colorado,private contributors or other 290 organizations will be returned to the contributor. 291 292 (C) Any other assets remaining upon dissolution of the RETAC, after 293 payment of lawful debts and other encumbrances on the assets, shall be 294 apportioned to the Counties in the quantity and to the extent of the percentage 295 share of each County's contribution for the preceding fiscal year. The assets shall 296 be apportioned equally if all Counties made no contribution for the preceding 297 fiscal year.12. Nothing herein contained shall make or be construed to make the 298 CM RETAC, Chaffee, Eagle, Lake, Park, Pitkin or Summit, a partner of any of 299 the others,nor is this Agreement intended to create a separate governmental entity 300 as the term is defined in Article I, Title 22, C.R.S. 301 302 12. This agreement shall be deemed to be made, shall be subject to, and shall 303 be construed in accordance with the laws of the State of Colorado. 304 305 13. Should any one or more paragraphs or provisions of this Agreement be 306 judicially determined invalid or unenforceable, such determination shall not effect, 307 impair, or invalidate the remaining provisions hereof, the intention being that the various 308 provisions hereof are several. 309 310 14. This agreement embodies the entire agreement about its subject matter 311 among the parties and supersedes all prior agreements and understandings, if any, and 312 may be modified, amended or supplemented only by an instrument in writing executed by 313 all parties to this agreement. 314 315 15. It is expressly understood and agreed that enforcement of the terms and 316 conditions of this agreement, and all rights of action relating to such enforcement, shall 317 be strictly reserved to the Counties, and nothing contained in this agreement shall give or 318 allow any such claim or right of action by any other or third person or entity on such 319 agreement. It is the express intention of the Counties that any person or entity, other than 320 the Counties that are parties to this agreement, receiving services or benefits under this 321 agreement shall be deemed to be incidental beneficiaries only.
