BACKGR4UND : This is the second reading and public heaxing of a resolution vacating
possible road routes across Aspen Va��ey Ranch in connection with the settlement of �(spen
Tlalley l�anch, LLC v. Boa�d af County Commissione�s. �
In Apr�� of 2008 during a Board of County Commissioners public meet�ng concerning a
resolution granting partial approva� of Aspen Valley Ranch's Amendment to Deve�opment
Permit, Spec�al Review, GMQ S Exemption and Designation to Historrc Register �t was brought
to the County's attention that a public road may exist through �ands known as the Aspen Va11ey
Ranch Subd�v�s�on. --
As a condition of approval in granting the resolution, the County imposed a condition upon the
applicant requiring an amended subdivision exemption plat depicti�g a road as shov�m on an
1888 Government� Land Office survey noting: "until the BOCC determines that there � is
xnsufficient evidence to pursue a public access claim across the subject property, or until it �s
j udicially determxned, that there is no such public access, or uritil the road as shown on the .1$ S 8
map is either vacated, relocated or determ�ned to be in an a�ternat�ve location, no development,
except intersecting roads, shall be permitted with the area 40 feet on either side of the central line
of such road." ;
� The appixcant filed a lawsuit in Pitkin County District Court against the B4CC to challenge the
road reservation. The case was moved to the U, S. District Court due to the fact that the claims
brought raised federa� constitutional issues.
The parties have agreed to a sett�ement of the case which includes the County's forma� vacat�on
of the roadway dep�cted on the 1 S 8 S Survey and any other highways, roads, trails, easements or
public rights of way across the property. .In return, AVR has conditionally granted a public trail
easement that provides for non-motorized public access from Upper River Road to the public
lands in Red Canyon. Finai conveyance of the trail easement is conditional on vacation of the
1 S 8 8 road alignment and any other public rights of way that may exist across the AVR property.

A locat�on and extent review application has been filed with Community Development and was
heaxd by the Planning and Zon�ng Commission on July 21, 2011.

RECITALS
1. In 4rd�nance No. 021--2010, the Board of County Comm�ssioners of Prtkin County (the
"Board") authorized the Chair to execute a Settlement Agreement (the ``Settlement Agreement")
in order to resolve the litigation in �4spen �alley Ranch, LLC v. Boa�d of County Commissione�s,
Uri�ted States District Court Case No. �8 CV 02363-WDM-MJ�]LT (the "Litigation"). Among the
questions at issue in the L�t�gation was whether or not the pub�ic has a right to access Red
Canyon over certain roads or trai�s passing through private lands knowr� as Aspen Va�ley Ranch.
� 2. Among other things, the Settlement Agreement specif�es the location of non-motorized
public access routes to Red Can�yon, and provides that the County sha11 vacate and d�sclaim any
interest in other routes of access that might exist across Aspen Valley Ranch.
3. All of the �ands affected by this Resolution lie within un�ncorporated Pitkin County.
Pursuant to § 43 -2�3 03 (2), C.R. S.(2� 1 �), this Resolution is necessary to effect a proper vacat�on
of alternate routes of pub��c access that may exist across Aspen Valley Ranch.
4. The potentxa� routes to be vacated by this Resolution are not presently in use as roads or
trails. Rather, vacation is necessary to provide formal certainty to Aspen � Valley Ranch that the
County will not in the future claim new and different routes of access �across the Aspen Valley
Ranch Property to Red Ganyon that are not spelled out in - the Settlement Agreement. Nor are
there any known uti��t�es �ying within the potential routes to be vacated her,e�n.
5. There is no land adjoining these potential rights of access which lacks an established
public �road or pr�vate-access easement connecting said land w�th another established public road.
� N4W THEREFURE, be �t resolved by the Board of County Comm�ssioners of P�tkin
County Colorado, that �t does hereby vacate and disclaim interest �n any roads or trails crossing
the property �egally described in Exhib�t A, except as follows: (1) all routes identif�ed as open to
the public or to governmental agencies on the Subdivision Exempt�on P�at dated �ctober 14,
2Q05, P�at Book 76 page 4 in the records of the P�tk�n County Clerk and Recorder's �ffice; and
(2) a11 easements provided for in the Settlement Agreement and Easements Agreement dated
February 9, 2� 11. The foregoing excepted interests numbered 1-2 are not vacated and shall
contznue in full� force and effect as publ�c access routes.

Amendment to Settlement Agreement
AMENDMENT TO SETTLEMENT AGREEMENT
This Amendment to Settlement Agreement ( "Amendment ") is made this day of
, 2011, between the ASPEN VALLEY RANCH LLC, a Delaware limited liability
company ( "AVR "), and the BOARD OF COUNTY COMMISSIONERS OF PITKIN COUNTY,
COLORADO, a political subdivision of the state of Colorado ("BOCC" or the "County ").
RECITALS
A. AVR and the County are parties to that certain Settlement Agreement dated
February 9, 2011.
B. Paragraph 2(a) of the Settlement Agreement calls for the Parties to finalize and
survey the location of certain easements prior to the BOCC approving a vacation resolution. The
Parties wish to amend this provision as set forth herein.
AMENDMENT TO AGREEMENT
NOW, THEREFORE, for good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, the parties agree as follows:
1. The Parties shall finalize the alignments and locations of the various easements contained
within the Agreement for Grant and Acceptance of Trail Easement at such time as the
County, in its sole discretion, determines that it has obtained sufficient approvals, if any,
required by applicable laws for construction of trails and other improvements within the
various easements. The survey required in Paragraph 2(a) of the Settlement Agreement
shall be completed within a reasonable time after the final alignments and locations of the
various easements are determined by the Parties. Subject to the foregoing, nothing herein
shall relieve AVR of its obligations to survey, construct, and maintain the easements and
trails as provided for in the Settlement Agreement and the Agreement for Grant and
Acceptance of Trail Easement. The BOCC may, in its sole discretion, extend the time for
AVR to fulfill those obligations.
2. Completion of the tasks identified in Paragraph 1 of this Amendment, supra, shall not be
a condition precedent to approval of the Vacation Resolution.
3. This Amendment shall affect only those matters specifically discussed above; in all other
respects the Settlement Agreement shall remain in full force and effect, as amended by
this Amendment.

Gentlemen:
As an adjacent landowner, 1 did not receive proper notice of this Case and have had little or no
time to lock at or respond to this Case. Therefore, I request the Commissioners to postpone any decisions
to approve this Case until we have been properly notified.
Otherwise, I request the Commissioners to add the following stipulations to the Case.
1.) That the Owners including myself of the Dry Woody Springs and Pipe Line originating on
U.S. Forest Service Lands(Permit in Place) in Dry Woody Creek be allowed to continue access on the
Public Road Easements, year around, with motorized equipment, to maintain, repair, and replace our water
system as we have done for many -many years in the past.
2.) That the Public Roadways through Aspen Valley Downs know as Red Cannon Connector
Road, and Red Cannon Ridge Road; also know as Federal Road 523 are not part of this
Case. Representatives of Aspen Valley Ranch at the Planning and Zoning meeting last
Thursday indicated that these Public Roadways have been conveyed to Aspen Valley Downs
recently and are not part of this Case. We would like verification at this time that this is the
case.
3.) That the Dry Woody Spring and Pipeline Owners be indemnified, held harmless, and
defended by the County and Aspen Valley Ranch in the event the US Attorney Generals
Office finds this Case in non compliance to the Anti Enclosure Act of 1885; as Federal law
pre-ernps all state and focal laws including the state statue of 1922 directing counties to
maintain Federal rights of ways and as you are changing the historical use and locations of the
easements as well
4.) That all Aspen Valley Ranch property line boundaries be marked every 'A mile with tall white
