THIS AGREEMENT made this ci day of 4i 1975,
by and between the BOARD OF COUNTY COMMISSIONERS OF THE COUNTY
OF PITKIN, State of Colorado, hereinafter called the "County,"
and SILVER KING ASSOCIATES, a Colorado Limited Partnership,
hereinafter called "Silver King."
W I T N E S S E T H:
WHEREAS, Top of Aspen, Inc., a Colorado corporation and
a wholly owned subsidiary of McCulloch Properties, Inc., did
on the 13th day of May, 1971, enter into a certain contract
(the "Agreement ") with the County which enabled the construc-
tion of what is commonly known as the Silver King Apartment
complex, presently consisting of three hundred four (304)
residential rental dwellin g units situate at the base of
Smuggler Mountain in Pitkin County, Colorado, adjacent to the
existing Aspen Valley Hospital, and
II WHEREAS, the said Top of Aspen, Inc., subsequently
assigned all of its rights under the Agreement to Silver King,
which said Silver King is presently the holder of such rights
and the party responsible for certain responsibilities there-
, under, and
WHEREAS, Silver King has requested that the County
permit Silver King to deviate on a temporary basis from certain
of the terms and conditions as contained in the Agreement, all
as specifically hereinafter provided for, and
WHEREAS, the County is, under the conditions contained
in this Agreement, willing to permit such deviation,
NOW, THEREFORE, for and in consideration of the
mutual covenants contained herein, it is agreed as follows:
1. Paragraph four of the Agreement is hereby modified
for the term June 15, 1975, to August 25, 1975, to permit
Silver King to lease up to twenty (20) of its two - bedroom
apartment units for less than a six -month period or term as

required by said paragraph four, and specifically allowing the
short -term rental thereof during the period June 15, 1975 to
August 25, 1975, but not for terms of less than two (2) weeks 1
upon the condition that: (a) The said two - bedroom apartments
which may be leased for less than six (6) months shall be made
available for persons wishing to rent the same who are engaged
in activities of a member of the Aspen Foundation, and (b) pro-
vided that there shall be kept available at all times during
the period June 15, 1975 to August 25, 1975 at least five (5)
two - bedroom apartments in the Silver King complex for rental
in accordance with the intents of the said paragraph 4 as
originally written, i.e., for rental to permanent residents
for terms of not less than six (6) months.
2. That the term of this Agreement shall be from
June 15, 1975 to August 25, 1975, the intent being that the
rights of Silver King hereunder to rent for periods less than
six (6) months shall at the latter date expire automatically
and all of the terms, conditions and provisions of the Agree-
ment dated May 13, 1971, shall apply thereafter.
3. That this Agreement shall in no way be construed
as a waiver of any of the rights of the County or obligations
of Silver King Associates under the agreement.
IN WITNESS WHEREOF, the parties hereto have executed
this Agreement in the year above first written.
