N7IACT #0 l7 �tJ ,- AGREEMENT FOR EASEMENT
THIS AGREEMENT made this 4:=.3 day of September, 1975,
by and between FREDRIC A. BENEDICT, FABIENNE BENEDICT and
BENEDICT LAND & CATTLE COMPANY (hereinafter called "the
Benedicts "), and THE BOARD OF COUNTY COMMISSIONERS OF
PITKIN COUNTY (hereinafter called the "County ");
W I T N E S S E T H:
1. For value received, the Benedicts hereby agree
to grant to The Board of County Commissioners of Pitkin
County, for the County, its citizens and the public at
large, an easement for a recreational trail across their
property, in the approximate location as shown on the
attached Exhibit A, for recreational use, egress and
ingress, and the like, subject to the restrictions
hereinafter set forth.
2. The County agrees to stake the proposed trail
along the course and alignment determined by the Benedicts.
From and after such staking, the County shall have an
immediate right to construct the trail. The trail ease-
ment shall have a total width of 14 feet. The width of
any pavement therein shall not exceed 8 feet. The County
shall construct a standard 3 rail split cedar barrier
fence along each side of the easement. Following
construction, but in any event on or before May 15,
1976, the County will survey the trail in place and
the parties agree to execute a supplementary easement
with the correct legal description if necessary.
3. The use of the trail by the County, its citizens
and the public at large shall be restricted to pedestrian,
equestrian, bicycling and cross - country skiing uses. No

motor vehicles of any kind shall ever be allowed to use
the trail excepting only such vehicles as are absolutely
necessary for initial construction and subsequent main-
tenance and repair of the trail. By appropriate signing
and the like, the County shall use its best efforts to
ensure that the public conducts itself on the trail
with decorum, e.g., so that horses are not galloped on
the trail, and so that picnicking, loitering and littering
are prohibited.
4. In constructing the trail the County, its
employees, agents and contractors, shall stay within
the confines of the easement and shall not, with vehicles,
construction equipment or otherwise, use, occupy or commit
any waste upon the Benedicts' land adjacent thereto.
5. The County shall be responsible for and agrees
to provide or perform such repair and maintenance services
as are necessary to keep the trail easement, including
pavement and fences in good repair and in a clean, neat
and orderly condition, free of litter, animal wastes and
debris.
6. It is understood that the Benedicts' granting of
the land to Pitkin County is conditioned upon final
approval of subdivision and Planned Unit Development
plans for the Callahan subdivision, which have been
applied for by the Benedicts and Paul Kutik for 34 units
and construction of a tennis club. In the event that
the development proposal is not granted such final
approval in substantially the form as received conceptual
subdivision approval, the Benedicts may notify Pitkin
County that it must negotiate to determine the value

of the land for the trail, i.e., the amount to be paid
to them. Following up to sixty days good faith negotiation
between the Benedicts and the County as to the value of
the land, and absent agreement in that period, the
County agrees to institute condemnation proceedings
with respect to the trail as it crosses the Benedicts'
land.
7. In addition, if the pending Callahan subdivision
proposal does not receive final approval in substantially
the same form as was approved at the conceptual subdivision
stage, the Benedicts may at any time within three (3)
years hereafter, request relocation of any part of the
trail lying south of the Roaring Fork River (either to
accommodate a new project or to accommodate the continued
use by the Benedicts of the tract for their residence),
except that the relocation must include the proposed
present site of the bridge across the Roaring Fork. The
expense of such relocation shall be borne equally by the
County and by the Benedicts.
8. It is agreed that Benedict Associates, Inc. may
design the trail bridge across the Roaring Fork so that
it is responsive to the Benedicts design criteria. The
County represents that some of its previous recreational
trail bridges have been designed and engineered by the
United States Forest Service at no cost to the County.
If such no -cost design and engineering service is
available to the County for the bridge on this trail
easement, Benedict Associates, Inc. agrees to design
and engineer the bridge without fee. If, however, the
Forest Service for any reason is not available to design

and engineer the bridge for free, the bridge shall be
designed and engineered by Benedict Associates, Inc. at
the fee rate customarily charged by it for such services
and the County shall pay such fee.
9. Pending the execution of the final easement and
following construction of the trail in place, the Benedicts
hereby grant a license to the public to use such trail.
10. The County agrees to indemnify and hold harmless
the Benedicts and their successors, from any claims arising
out of the use of the trail easement, except those arising
out of intentional or grossly negligent acts, if any, of
the grantors and their successors.
11. This Agreement is binding upon the parties,
their successors and assigns.
