RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS
OF PITKIN COUNTY, COLORADO, TO ENTER INTO AN
INTERGOVERNMENTAL AGREEMENT WITH SNOWMASS WATER AND
SANITATION DISTRICT AND PITKIN COUNTY FOR FLEET MAINTENANCE
AND REPAIR OF THE DISTRICTS VEHICLES
RESOLUTION NO. Of -2011
RECITALS
1. Since October 2010 Pitkin County has preformed fleet maintenance services for
Snowmass Water and Sanitation District; with Snowmass Water and Sanitation
reimbursing Pitkin County for costs incurred beginning October 1, 2010 ; and
2. Both entities have determined that it is in the best interest of the citizens of Pitkin
County and Snowmass Water and Sanitation District to enter into a formal
agreement setting forth the respective responsibilities and obligations for each
entity; and
3. The entities believe they can more efficiently maximize the use of funds by
working together; and
4. This Agreement is entered in to pursuant to inter alia, C.R.S. 29 -1 -201 et seg. And
Article XIV, Section 10 of the Colorado Constitution.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Pitkin County, Colorado: to approve the attached Intergovernmental Agreement with
Snowmass Water and Sanitation District which outlines the requirements and conditions
of vehicle maintenance and repair.

INTERGOVERNMENTAL AGREEMENT WITH SNOWMASS WATER AND
SANITATION DISTRICT AND PITKIN COUNTY FOR FLEET MAINTENANCE
AND REPAIR OF THE DISTRICT'S VEHICLES
PARTIES
THIS INTERGOVERNMENTAL AGREEMENT, ( "Agreement ") is made this ' of
' z L , 2011, by and between the BOARD OF COUNTY COMMISSIONERS OF
PITKIN COUNTY ( "Pitkin County ") and the BOARD OF SNOWMASS WATER AND
SANTIATION DISTRICT.
RECITALS
1. This Agreement is entered in to pursuant to inter alia, C.R.S. 29 -1 -201 et seg. And Article
XIV, Section 10 of the Colorado Constitution.
2. The Fleet Department was approached by Snowmass Water and Sanitation District to see if
the (Fleet Department) could give assistance with the maintenance and
repair of their small fleet of vehicles.
3. The County of Pitkin and the Snowmass Sanitation and Water District are duly
constituted governmental entities governed by boards elected by the qualified electors of
each, both of which are Located in Colorado; and
4. The entities believe they can more efficiently maximize the use of funds by working
together; and
5. The purpose of this Agreement is to set forth the respective responsibilities and
obligations of the entities and
6. It is in the best interest of the citizens of Pitkin County and Snowmass Water and
Sanitation District to enter into this Agreement.
AGREEMENT
NOW THEREFORE, for and in consideration of the mutual covenants and agreements of the
parties and other good and valuable consideration, the adequacy and sufficiency of which is
hereby acknowledged, the parties agree as follows:
1. Snowmass Water and Sanitation District will contact the Pitkin County Fleet Department
by phone or email when service is needed.
2. All work undertaken by Pitkin County Fleet for Snowmass Water and Sanitation will be
on a time available basis, and will not interfere with the services provided to and for
Pitkin County Departments.
3. Snowmass Sewer and Sanitation District will reimburse Pitkin County for labor at the
rate of $85.00 per hour and any parts and materials used to facilitate those repairs will be
charged at Pitkin County's cost, plus a markup of 10% to cover administrative costs.
a. Pitkin County will invoice Snowmass Sewer and Sanitation at the completion of
each job for labor and materials. Snowmass Sewer and Sanitation shall remit
payment to Pitkin County within 30 days of receipt of invoice.
4. This Intergovernmental Agreement shall remain in effect for one year from the date of
execution. Cancellation shall occur with either parties by giving written notice of at least
thirty (30) days, by first class registered mail at the following addresses:

The foregoing Intergovernmental Agreement is approved by the Board Count
Commissioners of Pitkin County at its regular meeting held on the ,.13 day ofrehtay2011,
and by the Board of Snowmass Water and Sanitation District at its regular meeting held on
the 2 day of iii__. , 2011.
