RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS OF PITKIN COUNTY,
COLORADO DESIGNATING THE HISTORIC NORTH CABIN ON THE FLYING DOG WEST
RANCH, INC. PROPERTY TO THE PITKIN COUNTY HISTORIC REGISTER AND
GRANTING INCENTIVES FOR THE DESIGNATION; LISTING OTHER HISTORIC
RESOURCES TO THE PITKIN COUNTY HISTORIC INVENTORY; GRANTING A GMQS
EXEMPTION FOR A CHANGE IN USE; AND APPROVING A MINOR AMENDMENT TO
THE SPECIAL REVIEW USE PERMIT

RECITALS
1. Flying Dog West Ranch Inc. ( "Applicant ") has applied to the Board of County Commissioners of Pitkin
County, Colorado ( "BOCC ") for the following approvals:
A. Designate the north cabin to the Historic Register;
B. GMQS Exemption to change the use of two guest ranch cabins (north and south cabins) to residential
use;
C. Amend BOCC Resolution No. 101 -2005 to eliminate the approval for two guest ranch cabins; and
D. Obtain incentives for the historic designation, including an additional 2,500 square feet of residential
floor area to expand two of the residences, and permission to have three principal dwelling units on
one property.
2. The property is located at 1625 Prince Creek Road, and is more specifically described in Exhibit A.
3. The property contains 224 acres and is zoned RS -30. The property is encumbered by a conservation
easement held by Aspen Valley Land Trust.
4. The BOCC approved a one year trial special review use permit for a reception hall and meeting facility,
two guest ranch cabins and an arts and crafts studio, pursuant to Resolution No. 99 -75. This approval
also granted 1041 hazard review approval and designated the "Headquarters Parcel" to the Pitkin County
Historic Inventory. The BOCC granted extensions to the special review approval, pursuant to Resolution
Nos. 161 -2000, 127 -2001 and 101 -2005. Resolution No. 101 -2005 granted a 10 year extension. The
Community Development Director granted Activity Envelope and Site Plan Review approval to
construct the second guest ranch cabin (south cabin), pursuant to Administrative Decision No. 039 -2007;
the Site Plan is recorded in Plat Book 84 at Page 47. The south cabin was completed in 2007.
5. An approximately 8 acre area within the 224 acre parcel is referred to as the "Headquarters Parcel,"
though it is not a separate, legal parcel. The Headquarters Parcel includes the existing Main House
(approximately 3,036 square feet), barn, two guest ranch cabins (one historic containing approximately
1,470 square feet and one new containing approximately 2,318 square feet), and outbuildings.
6. The BOCC considered this application at a duly noticed public hearing on January 11, 2012, at which
time evidence and testimony were presented with respect to the application.
7. The BOCC finds that the north cabin, log barn and milk barn meet the criteria in the Land Use Code
( "Code ") for designation to the Historic Register, as documented by the Historic Preservation Officer.
8. The BOCC further finds the Main House is eligible to be listed on the Historic Inventory. The Main

House contains an original historic building, but significant alterations and additions have obscured
the historic character.
9. The BOCC further finds that granting an additional 2,500 square feet of residential floor area to expand
the north and south cabins, and permission to have three principal dwelling units on one property as
incentives for the designation of the north cabin to the Historic Register are appropriate, based on the
following:
A. The site is significant as it is representative of the important ranching theme in the development
of the region;
B. The north cabin sits at a prominent location on Prince Creek Road;
C. The north cabin has remained in use and has been well- maintained; and
D. The historic buildings will all remain in their existing locations in the context of an ongoing
agricultural operation.
E. The Applicant has committed to preserve the "historic core" of the Main House if the Main
House is replaced or renovated.
10. The BOCC further finds that the proposed change in use of the two guest cabins from tourist
accommodations to residential use complies with the applicable provisions of the Code: the cabins
were legally created; no employee mitigation will be required; there is adequate parking and facilities;
there will not be any additional environmental or visual impacts; and residential use will be more
compatible with the surrounding neighborhood.
1L The BOCC further finds that it is appropriate to amend BOCC Resolution No. 101 -2005 to eliminate
the special review use approval for two guest ranch cabins.
NOW, THEREFORE, BE IT RESOLVED by the BOCC that it does hereby designate the
north cabin, log barn and milk barn to the Pitkin County Historic Register, as shown on the map attached
as Exhibit B.
BE IT FURTHER RESOLVED by the BOCC that it does hereby list the Main House on the
Pitkin County Historic Inventory, as shown on the map attached as Exhibit B, to further encourage the
preservation of the historic ranching context.
BE IT FURTHER RESOLVED by the BOCC that it does hereby grant an additional 2,500
square feet of residential floor area to expand the north and south cabins, and permission to have three
principal dwelling units on one property, as incentives for the historic designation; and does hereby
approve the GMQS Exemption for a Change in Use and a Minor Amendment to a Special Review Use
Permit, subject to the conditions set forth herein, which shall run with the land and be binding on all
successors in interest.
1. The Applicant shall adhere to all material representations made in the application or in public meetings or
hearings and shall consider those representations to be conditions of approval, unless amended by other
conditions.
2. The provisions of BOCC Resolution No. 101 -2005 shall remain in full force and effect, except as
amended herein.
3. Within 180 days of the date of this approval, the Applicant shall record a Covenant Agreement in a
form acceptable to the County Attorney in which the Applicant agrees to preserve and maintain the

north cabin, log barn and milk barn in accordance with the Pitkin County Preservation Handbook
( "Handbook "). The Covenant shall specify that if alterations or improvements to the north cabin are
undertaken in the future, the Applicant shall make efforts to reverse some of the inappropriate
alterations that impact the historic integrity of the cabin. The Covenant shall also address the listing
of the Main House on the Historic Inventory and the Applicant's commitment to preserve the
"historic core" of the Main House if the Main House is replaced or renovated. The "historic
core" shall be identified on a plan of the Main House that shall be attached to the Covenant. The
covenant shall specify that any new construction and /or additions to historic or non - historic buildings
shall be reviewed under the Handbook to ensure compatibility with the historic character of the site.
4. A total of 2,500 square feet of floor area is available to expand the north cabin and the south cabin
exempt from growth management. Of this total, 1,000 square feet of floor area is available to expand the
north cabin and 1,500 square feet of floor area is available to expand the south cabin. Either floor area
may be varied by up to 15% with a concomitant reduction in the floor area for the other cabin, and in no
case shall additions to the two cabins exceed a total of 2,500 square feet. The Main House shall be
limited to its existing floor area.
5. Condition Nos. 6, 7 and 8 of BOCC Resolution No. 101 -2005 are hereby rescinded.
6. Failure to comply with these conditions of approval may result in revocation of this approval, or any
subsequent permit(s) or approval(s) related to this property, or vested rights associated with this
property.

A. Declarant owns the real property located at 1625 Prince Creek Road,which is more w N w
specifically described in Exhibit A attached hereto and incorporated herein(the"Property"). Th. w o '�

B. Declarant is the owner of three historic structures—North Cabin,Log Barn and Milk
Bam—as depicted on Exhibit B and as shown in the photos on Exhibit C("Historic
Structures")which were designated to the Pitkin County Historic Register pursuant to Board of
County Commissioners(BOCC)Resolution Number 013-2012("the Resolution"). Said
Resolution was approved on January 11,2012,and recorded in the records of the Pitkin County
Clerk and Recorder as Reception No.586984. By this Resolution the BOCC also listed the Main
House on the Historic Inventory;the Main House is also depicted on Exhibit B and shown in the
photos on Exhibit C.
C. The purpose of this Agreement is to satisfy the requirements of condition No.3 of the
Resolution.
NOW,THEREFORE,Declarant hereby represents,covenants and agrees as follows:
1. Preservation and Maintenance of Historic Structures. Declarant shall be
responsible for the continued maintenance,repair,and administration of the Historic Structures,
in a manner that complies with the Pitkin County Preservation Handbook for Historic Properties
("Handbook"),as may be amended from time to time and as interpreted by the Historic
Preservation Officer,so as to preserve the architectural,historical,archaeological,cultural,
and/or engineering integrity of their features,materials,appearance,and workmanship in order to
protect and enhance those significant characteristics that qualify the structures for historic
preservation treatment.
2. Additions,Alterations or Improvements to North Cabin. Resolution No.013-
2012 provides a maximum of 1,000 square feet of floor area exempt from growth management to
expand the North Cabin. If alterations or improvements to the North Cabin are undertaken in the
future,the Applicant shall make efforts to reverse some of the inappropriate alterations that
impact the historic integrity of the cabin.
3. Preservation and Maintenance of Main House. The`historic core"of the Main
House as identified in Exhibit D shall be preserved if the Main House is replaced or renovated.
The historic core of the Main House shall be maintained,repaired or otherwise altered in a

manner that complies with the Handbook,as may be amended from time to time and as
interpreted by the Historic Preservation Officer. While compliance with the Handbook is
voluntary,compliance will preserve the historic integrity of the building and preserve the
potential for designation to the Register in the future. Inappropriate maintenance or repairs may
result in the building being removed from the Historic Inventory.
4. New Construction and/or Additions: Any new construction and/or additions to
historic or non-historic buildings on the property shall be reviewed under the Handbook to
ensure compatibility with the historic character of the site.
5. Exclusion. Declarant agrees that the County in no way assumes any obligation
whatsoever for restoring,maintaining,repairing,or administering the Historic Structures covered
by this Covenant Agreement However,the County shall be entitled to enforce this Covenant
Agreement.
6. Inspection and Compliance. Declarant agrees that the County shall have the right
to request inspection of the exterior of the Historic Structures to assure compliance with this
Covenant Agreement,which request Declarant shall not unreasonably deny. Notice of any
inspection of the Historic Structures by the County shall be pursuant to Paragraph 14 of this
Covenant Agreement at such times and upon such notice to Declarant as Declarant may
reasonably require.
Any inspection carried out pursuant to this Paragraph 6 shall be conducted in the
presence of Declarant,if Declarant wishes to be present. The purpose of such inspection shall be
to ascertain whether the terms of this Covenant Agreement have been and are being met and to
insure compliance with the terms of this Covenant Agreement The Declarant or its
representative shall have the right to be present at any inspection conducted by the County
pursuant to this Paragraph.
7. Alterations. Declarant agrees that the Historic Structures designated to the
Historic Register shall be maintained in accordance with the Resolution,and no significant
alterations that were not contemplated in the Resolution shall be made to the exterior or location
of the Historic Structures without the approval of the Pitkin County Historic Preservation
Officer.
8. Standards for Review. Review and approval of any proposed construction,
alteration,rehabilitation or relocation of the Historic Structures shall be evaluated by the Pitkin
County Historic Preservation Officer through use of the Handbook. Declarant agrees to abide by
the Handbook in performing any restoration,construction,alteration,rehabilitation,or relocation
of the Historic Structures.
9. Public Purpose. Declarant agrees that all alterations to the Historic Structures
shall be in the spirit of contributing to the public purpose of protecting and preserving the
Historic Structures in conformance with the Handbook.
10. Continuation. In the event that any component part or parts of the Historic
Structures are destroyed or substantially damaged through no willful action or negligence of the
Declarant,and only if it is jointly determined by Declarant and the County that the affected
Historic Structures are to be preserved and not removed,all obligations contained in this
Covenant Agreement shall continue unabated. In the event that the Historic Structures or any
part thereof are damaged or destroyed through the willful action or negligence of Declarant,the
County may initiate such administrative or judicial actions as it deems to be legally available and
appropriate.
11. Reserved Rights of Declarant/Addition. Declarant shall have all rights to utilize
the Historic Structures not specifically limited or restricted by this Covenant Agreement.
However,Declarant shall take no action which is materially detrimental to the purposes of this
Covenant Agreement. Declarant has reserved the right pursuant to the Resolution and this
Covenant Agreement to a total of 2,500 square feet of floor area to expand the North Cabin and the
South Cabin exempt from growth management. Of this total, 1,000 square feet of floor area is
available to expand the North Cabin and 1,500 square feet of floor area is available to expand the
South Cabin. Either floor area may be varied by up to 15%with a concomitant reduction in the
floor area for the other cabin,and in no case shall additions to the two cabins exceed a total of 2,500
square feet. The Main House shall be limited to its existing floor area. Such construction shall be
undertaken consistent with the terms of this Covenant Agreement.
12. Binding on Successors to Declarant;Enforcement;Attorneys'Fees. This
Covenant Agreement shall be a binding servitude,and shall nun with the land and be binding
upon Declarant,its successors,transferees,and assigns,in perpetuity,unless terminated by the
terms of this Covenant Agreement or by voluntary relinquishment by the County. The County
has the ability to fix and repair the Historic Structures consistent with the standards of this
Covenant Agreement and collect costs from the Declarant for such repairs.
It is explicitly agreed by the parties hereto that this Covenant Agreement shall be
enforceable in the courts of the State of Colorado;and that in the event an action to enforce this
Covenant Agreement is brought,the party or parties which substantially prevail in any such
enforcement action shall be entitled to recover from the non-prevailing party(ies)the full cost of
such action(including reasonable attorneys'fees and costs). The County may enforce the terms
of this Covenant Agreement through actions for damages or injunctive relief for both.
13. Exercise of Rights and Remedies. Failure of the County to exercise any right or
remedy granted under this Covenant Agreement shall not be a waiver of any breach of the
agreement or rights or remedies to enforce the agreement;provided,however,after notice of a
violation pursuant to Paragraph 14,if the County fails to knowingly enforce a provision of this
Covenant Agreement for five(5)years,it waives its right to do so.
14. Notices. Any inspection carried out pursuant to Paragraph 6 of this Agreement
shall be at such times and upon such notice to Declarant as Declarant may reasonably require.
Any notice allowed or required by this Paragraph shall be served on Declarant.
Any notice,consent or approval which is required to be given hereunder shall be
given by certified mail,return receipt requested,properly addressed and with postage fully
prepaid,to any address provided herein or to any subsequent mailing address of the party as long
as prior written notice of the change of address has been given to the other parties to this
Covenant Agreement. All such notices shall be effective seven(7)days following the date the
notice was deposited in the U.S.Mail or faxed.
Said notices,consents and approvals shall be sent to the parties hereto at the

15. Severability. Whenever possible,each provision of this Covenant Agreement and
any other related document shall be interpreted in such a manner as to be valid under applicable
law;but if any provision of any of the foregoing shall be invalid or prohibited under said
applicable law, such provisions shall be ineffective to the extent of such invalidity or prohibition
without invaliding the remaining provisions of such document.
16. Choice of Law. This Covenant Agreement and each and every related document
are to be governed and construed in accordance with the laws of the State of Colorado.
17. Successors. Except as otherwise provided herein,the provisions and covenants
contained herein shall inure to,and be binding upon,the heirs,successors,and assigns of the
parties.
18. Section Headings. Paragraph or section headings within this Covenant
Agreement are inserted solely for convenience of reference,and are not intended to,and shall not
govern,limit or aid in the construction of any terms or provisions contained herein.
19. Waiver. No claim of waiver,consent or acquiescence with respect to any
provision of this Covenant Agreement shall be valid against any party hereto except on the basis
of a written instrument executed by the parties to this Covenant Agreement. However,the party
for whose benefit a condition is inserted herein shall have the unilateral right to waive such
condition.
20. Gender and Number. Whenever the context so requires herein,the neuter gender
shall include any or all genders and vice versa and the use of the singular shall include the plural
and vice versa.
21. Further Actions. The parties to this Covenant Agreement agree to execute such
further documents and take such further actions as may be reasonably required to carry out the
provisions and intent of this Covenant Agreement or any agreement or document relating hereto
or entered into in connection herewith.

22. Modifications. The parties to this Covenant Agreement agree that any
modifications of this Covenant Agreement shall be effective only when made by writings signed
by both parties and recorded with the Clerk and Recorder of Pitkin County,Colorado.
