HomeMy WebLinkAboutBOCC Packet 04112012 RFTA EasementAGENDA ITEM SUMMARY REGULAR MEETING DATE: AGENDA ITEM TITLE: STAFF RESPONSIBLE: ISSUE STATEMENT April 11, 2012 AN ORDINANCE OF THE BOARD OF COUNTY COMMISSIONERS OF PITKIN COUNTY, COLORADO GRANTING A NON-EXCLUSIVE EASEMENT TO THE ROARING FORK TRANSIT AUTHORITY (RFTA) Brlan Pettet, Director of Public Works In order for the Roaring Fork Transit Authority (RFTA) to complete the Down Valley Bus Rapid Transit (BRT) Statlon at the Aspen Alrport Business Center (AABC), they will need easements from Pitkin County to complete the constructlon and manage the transit statlon. BACKGROUND Over the last year, Pitkin County has been working closely with RFTA to develop a plan to complete requlred BRT statlon up-grades in Pitkin County. The process involved designing the statlons and moving the up-valley AABC statlon in closer alignment to the anticipated Alrport Terminal locatlon to begin to develop a multl-modal transit facility in thls locatlon (any easements requlred at the up-valley statlon will be brought to the BOCC at a later date). Additlonally, the design and locatlon of these BRT statlons were closely coordinated with the design and locatlon of the proposed State I�ighway 82 pedestrlan crossing connecting the up- valley and down-valley BRT statlons. Granting these easements is a step to ensure the down-valley BRT Statlon upgrade is completed in a timely manner. Attorneys for both agencles have revlewed and approved the language that will grant the easements. Pitkin County is the owner of the property known as RFTA Street IJtility Easement; RFTA Greenbelt IJtility Easement; RFTA Greenbelt Statlon Easement and more specifically described in Exhlbits A— F attached hereto. 2. The County desires to (a) establish and to grant to RFTA, a perpetual, non- exclusive easement for the purpose of allowing RFTA to develop a bus boarding statlon and requlred infrastructure for the benefit of its Bus Rapid Transit System and in connectlon therewith to malntaln such improvements as may be necessary, approprlate or convenlent; and (b) to establish certaln restrictlons with respect to the Easement. 3. RFTA desires by thls Agreement to (a) accept the Easement subj ect to the restrictlons set forth hereln; and (b) to assume certaln responsibilitles in connectlon therewith. 4. The terms of the agreement are set forth, and the Chalr (or Chalr's designee) shall be authorized to sign the Easement Agreement in substantlally the forms attached as Exhlbits A- F, as approved by the County Attorney. 5. Ely Jon Peacock County Attorney County Manager EASEMENT AGREEMENT TI�IS EASEMENT AGREEMENT (herelnafter "Agreement") is made and entered into thls day of , 2012, by and between the BOARD OF COIJNTY COMMISSIONERS OF PITKIN COIJNTY, COLORADO, a body corporate and politic ("County") and the ROARING FORK TRANSPORTATION AIJTI�ORITY ("RFTA"), a reglonal transportatlon authority created pursuant to Sectlon 43-4-601, et seq., C.R.S., as amended whose address is 0051 Service Center Road Aspen, Colorado 8161 l. RECITALS 1. The County is the record owner of that real property situate in Pitkin County, Colorado known as : RFTA Street IJtility Easement; Exhlbit A and B RFTA Greenbelt IJtility Easement; Exhlbit C and D RFTA Greenbelt Statlon Easement; Exhlbit E and F 2. The County desires by this Agreement to (a) establish and to grant to RFTA, a perpetual, non-exclusive easement for the purpose of allowing RFTA to develop a bus boarding statlon and requlred infrastructure for the benefit of its Bus Rapid Transit System and in connectlon therewith to malntaln such improvements as may be necessary, approprlate or convenlent; and (b) to establish certaln restrictlons with respect to the Easement. 3. RFTA desires by thls Agreement to (a) accept the Easement subj ect to the restrictlons set forth hereln; and (b) to assume certaln responsibilitles in connectlon therewith. AGREEMENT NOW, TI�EREFORE, for and in consideratlon of the mutual covenants and agreements set forth hereln, and for other good and valuable consideratlons, the recelpt and sufficlency of whlch are hereby acknowledged, the County and RFTA agree as follows: l. Grant and Acce�tance of Easement. The County hereby grants to RFTA, its successors and assigns, and RFTA hereby accepts, a perpetual, non-exclusive easement (the "Easement") across and under the Property in that area shown on Exhlbits "A-F" attached hereto and incorporated hereln by reference. RFTA's use of the Easement shall be limlted to the sole purpose of (a) installing, constructing, malntalning, repalring, replacing, modifying or reconstructing bus boarding statlon infrastructure pertinent to its Bus Rapid Transit System; (b) the subsequent malntenance of all such improvements and utilitles (collectively the "Activitles"). 2. No Additlonal Easement. Nothing contalned hereln shall be construed to grant any other easement across the Property, or across any other real property owned by the County. 3. County IJse of Easement and No Interference by RFTA. The County, as the underlying fee estate owner of the Property, shall have the right to continue to have use of and to occupy the Property and to make such use and improvements on or to the Property, including the Easement 1 area, consistent with its primary use or any use that may be contemplated or conducted by the County in the future. RFTA's use of the Easement area shall not interfere with or interrupt any use of the Property by the County, its employees or agents. RFTA and its employees and agents shall at all times have free access over the Property to the Easement, using such reasonable route as the County may designate or approve for any and all purposes necessary or convenlent to the exercise by RFTA of the rights granted by thls Agreement. 4. Restoratlon. Following RFTA's performance of any Activitles granted hereln, any disturbed or damaged areas of the Property shall be promptly restored to the same conditlon that existed immedlately prlor to such disturbance or damage. Any and all costs and expenses incurred due to any Activitles granted hereln to RFTA shall be the sole responsibility of RFTA. 5. Indemnificatlon and Insurance. To the extent permltted by law, RFTA agrees to indemnify and hold the County, its successors and assigns in the record ownershlp of the underlying Property, harmless from any and all clalms and losses of any nature whatsoever resulting in connectlon with the undertaking of the Activitles withln the Easement as contemplated hereln and the subsequent existence, use and operatlon of improvements resulting from such Activitles, excepting such clalms and losses whlch may arise directly from the willful and grossly negligent acts of the County, its agents or employees, or other clalms as described in C.R. S. § 33-41-104(1). Thls indemnificatlon shall include actual attorneys' fees and costs incurred in the event that any party brings an actlon agalnst the County in connectlon with the undertaking of the Activitles contemplated by RFTA hereln or the subsequent existence, use or operatlon of the improvements resulting therefrom. RFTA further agrees to add the County (and its successors and assigns in ownershlp of the underlying Property traversed by the Easement, or any part thereo� as additlonal named insured on its comprehensive general llability insurance policy, whlch insurance shall be malntalned by RFTA to provide protectlon agalnst llability from certaln clalms arising out of the use of the Easement area. Such insurance shall be carrled in amounts not less than the llability limlts specifled in C.R. S. § 24-10-114(1), as it may be amended from time to time, and shall provide the County and its successors and assigns with thlrty (30) days advance written notice prlor to cancellatlon or terminatlon. RFTA shall, upon written request from the County or any successor or assign, provide a Certificate of Insurance as verificatlon of compllance with these requlrements. 6. Cholce of Law. Thls Agreement and every related document shall be governed and construed in accordance with the laws of the State of Colorado. 7. Binding Effect. The Easement granted hereln shall be binding upon and inure to the benefit of the partles hereto and thelr respective successors and assigns forever, including any record owners of the underlying Property, or any part thereof The benefits and burdens hereof shall also run with the title to the underlying Property and all parts thereof traversed by the Easement. 8. Attorneys' Fees. In the event the interpretatlon or enforcement of thls Agreement should ever become the subj ect of litigatlon, arbitratlon or medlatlon between RFTA (or its successors and assigns) and the County, the substantlally prevalling party shall be 2 awarded its reasonable costs and attorneys' fees and costs incurred in connectlon therewith. 9. No Assl�nment Without Consent. RFTA shall not, without first obtalning the prlor written consent of the County, sell, assign, transfer, encumber, hypothecate or sublease any or all of the rights, interest or obligatlons under thls Agreement. Such consent shall not be unreasonably withheld by the County. 10. Notices. All notices or other communicatlon requlred or permltted under thls Agreement shall be in writing, shall be personally delivered or sent by certifled mall, postage prepald and return recelpt requested, and such notices shall be deemed given when recelved. Performance. The Partles agree to perform any and all acts, without limltatlon, as may be reasonably necessary to fully effectuate the intent and purposes of thls Agreement. Whenever any actlon is requlred or permltted to be taken by the partles under the terms of thls Agreement, such actlon may be taken and performed by any authorized officer, director, agent or other representative of the partles. 13. No Thlyd Party Beneficlarles. It is the intent of the partles hereto that no thlyd party beneficlary interest is created in thls Agreement. The partles hereto are not presently aware of any actlons by them or any of thelr authorize representatives whlch would form the basis for interpretatlon construing a different intent and expressly disclalm any such acts or actlons. 3 14. No Walver of Governmental Immunity. RFTA and the County, its directors, officlals, officers, agents and employees are relying upon and do not walve or abrogate, or intend to walve or abrogate by any provislon of thls Agreement the monetary limltatlons or any other rights immunitles or protectlons afforded by the Colorado Governmental Immunity Act, C.R.S. § 24- 10-101, et seq., as it may be amended from time to time. 15. Breach or Terminatlon. In the event of a breach of any provislon of thls Easement written notice of the breach, whlch shall include a reasonably specific descriptlon of what constitutes the breach and what corrective actlon or cure is requlred by the party giving the notice, shall be given by the non-breaching party. If withln ten (10) days after recelpt of such written notice, the breaching party has not cured the breach, of if cure cannot be reasonably accomplished withln ten (10) days, has not commenced what curative measures are possible and is not prosecuting the same to timely completlon, the non-breaching party may, in additlon to such contractual remedles as may be avallable, ask a court of competent jurisdictlon for approprlate injunctive rellef 16. Entire Agreement. Thls Agreement constitutes the entire and complete agreement of the partles in regard to the subj ect matter hereln. No promise or undertaking has been made by any party, and no understanding exists with respect to the transactlon hereln contemplated except as expressly set forth hereln. All prlor and contemporaneous negotlatlons and understandings between the partles are embodled and merged into thls Agreement. 17. Severability. If any term or provislon of thls Agreement shall be held to be invalid or unenforceable, the remalning terms and provislons of thls Agreement shall continue to exist and shall be valid and enforceable to the fullest extent permltted by law. 18. Amendment. Thls Agreement may only be amended by a written document executed by the County and RFTA, or its successors and assigns. 19. Venue. Venue for any legal actlon relating to thls Agreement shall be in the District Court in and for the County of Pitkin, Colorado. 20. A��ro�rlatlon. All financlal obligatlons of RFTA or the County under and pursuant to thls Agreement are subj ect to prlor approprlatlons of monles expressly made by RFTA or the County for the purpose of thls Agreement. 21. No Personal Llability. No elected officlal, director, off�icer, agent or employee of RFTA or the County shall be charged personally or held contractually llable by or to the other party under any term or provislon of thls Agreement or because any breach thereof or because of its or thelr executlon, approval or attempted executlon of thls Agreement. 22. Para _ ra�h I�eadin�. The paragraph headings in thls Agreement have been inserted solely for convenlence of reference and are not a part of thls instrument and shall have no effect upon constructlon or interpretatlon. C! 23. Walver. No fallure or delay of the partles to exercise any power or right under thls Agreement shall operate as a walver thereof, nor shall any single or partlal exercise of any such right or power, or any abandonment or discontinuance of steps to enforce such right or power, preclude any other or further exercise thereof or the exercise of any other right or power. Nothing contalned in thls Agreement shall constitute a walver of any right, power or authority of the partles hereto, except as expressly provided for hereln. 24. Counter�arts. Thls Agreement may be executed in duplicate original counterparts, each of whlch shall constitute an original, but all of whlch shall constitute one and the same document. 25. Authority to Execute. By signing thls Agreement, the partles acknowledge and represent to one another that all procedures necessary to validly contract and execute thls Agreement have been performed and that the persons signing for each party have been duly authorized to do so. The partles acknowledge and agree that no representatlon or inducement has been made regarding the rights set forth in thls Agreement that is not expressly set forth hereln.
