on which i.s operate8 the Aspen Racquet Club, and

County's pedestrian trail system, a temporary trail link across
such pxoperty and adjacent to Iiighway 8'l, and
� WH�R�AS, 47est L'nd, whi.le ayreeable to the coristruction
of s�:c:l. a trail on its property, wishes to r�serve tlie right
to determine the ultimatc permanent.alignment of the trail and
� to possiUly receive compensation for the trail easement, both
dependent upon the outcome of .the revie�v by County agencies of
i . an application for permission to expand and upgrade the facili-

ties of the Aspen Racquet Club,

a pe.rmit for ceri•ain improvements to the Aspen RacqueL- Club,
I�i�kin County eiyrees to relocate such trail, if and where
necessary, to acconuaociate landscaping done in the area of• tl�c
tr.ail pursuant L-o any permit issued. :

Pitkin County a torenty (20) foot wide perpetual easement for trail
purposes Sor no consicleration other L-han it shall be,recognized as
satisfyiny the park dedication requirements of the Pitkin County
Land Use Code if and when the encumbered property shall become
suUject to the suUdivision regulations of the County.
5. In the event ihat T�est End sltall (a) determine to not
pursue its special review pennit appli.cation c,r (b) be denied a
special review pe::mit, then i�7esL- End agrees to convey to Pitkin
County a twenty (20) font wi.de perpetual trail easer.ient aiong the
' alignment of L-he temporar.y trail presenL-ly installed, for an � '

amount equal to the markel• value oi the easement (established by
mutual agreement or by an appraisa.l. done by an aqe�lt- mutually
' agreeable to the parties.)
G. Upon the conveyance of a trail easeme�lt (pursuant to ' '

either of paragraph 4 or. 5 hereof) and construction of L-he
. permanent i:rail improvements, L-he County will insta.11 and cnaintain
