�, SNOWMASS RESORT ASSOCIATION ("SRA") and the ASPEN CHAMBER OF

�� COMMERCE (the "Chamber") .

-�;: W I T N E S S E T H:
�F. WHEREAS, the County is the owner of a certain parcel �
^� of land adjacent to Highway 82 (consisting of 5.99 acres, more
i�;.
� or less) by reason of a deed from Aspen Village of record at
�`
`�� Book 342, Page 143 of the records of the Pitkin County Clerk
�:.
s;;; and Recorder, and

sa' WIiEREAS, said parcel has been rezoned Transportation �
�t (TR) which zoning category permits the establishment of
� '
� informa�ion centers (among other uses) which the Chamber and '
�"
�� SRA wish to locate at the site under terms and conditions
��
�•, �;� acceptable to Pitkin County, and
?": WHEREAS, the parties have agreed to such terms and con-
� ditions and wish to enter into a lease agreement specifying
� their understanding with respect thereto.
- NOW, THEREFORE, in considezation of the mutual benefits
to be derived herefrom, it is agreed by the parties hereto as �

follows: x
1. The County does hereby lease to the Chamber and SRA
so much of the hereinabove descrit�ed property necessary for
the construction and operation of a tourist information center
according to the design and limitations established by
Resolution No. 78-72 of the Board of County Commissioners
(adopted July 10, 1978) and the site plan attached hereto and �. �

incorporated by this reference. r'

�s 2. SRA and the Chamber agree that it will limit its �^
�
signage with respect to the tourist information center as �,
follows: �'

V' a. SRA and the Chamber will install a maximum o£

bound traffic and shall be approved by the Pitkin ��

Department, if necessary) prior to installation. 1

(Any signs placed along Highway 82 under the �`�

provisions of the earlier lease among the parties ��';

may be maintained in their present sites without �

prior approval. If any such signs are relocated, i�

however, necessary approvals shall be obtained prior �i

to relocation). �
i 3. SRA and the Chamber agree that the leased premises `'

shall be used for the promotion of auto disincentives by the j,
, distribution of information on alternative transportation �
modes and available lodging and tourist activities. More �'

i specifically, the SRA and Chamber agree that the in£ormation F

� center shall be used exclusively for: 4a

a. dissemination of .general visitor information on

'• activities and lodging supplied by SRA, the Chamber, =�

I Pitkin County and the U.S. Forest Service: ;�

� � b. installation of phones for use by visitors for F

�
making their own reservations;
�
? c. selling city/county bus .tickets and offering
t information on public transportation systems
„ (includinq special programs such as the Maroon
f �
Bus System); '
;
d. offering information on the city/county trail systems
and available walking tours;
e. keeping up-to-date information on available camp-
sites;
f. undertaking visitor surveys and samples requested by
any of the parties hereto or the U.S. Forest Service.

4. This lease shall be ef£eative for a term beginning ��

on October 16, 1978 and ending on October 15, 1979. �
5. The County agrees to attempt the installation of the �
intercept parking and landscaping improvements shown on the
sketch attached hereto; provided, however, that no liability
shall accrue for its failure to do so.
6. Nothing herein shall be construed as an exclusive
lease of the premises it being understood that the County (or
any designee) may occupy the premises in any manner not `
inconsistent herewith.
7. SRA and the Chamber agree to indemnify and hold the
County harffiess from any and all claims or loss resulting �
from injury or damage suf£ered by reason of use of the leased �,
premises excepting those alaims and losses resulting from the �
actions of the County, its agents, employees, licensees or �
invitees.
8. SRA and the Chamber agree to neither assign this �
lease nor sublet the leased premises.
9. SRA and the Chamber agree to remove (at their
�
expense) any and all improvements constructed pursuant hereto
within 30 days of the expiration of this Agreement.
