� THIS AGREEMENT, made and entered into this 26th day

�, of December, 1978, by and between the BOARD OF COUNTY
fi COMMISSIONRRS OF PITKIN COUNTY, hereinafter called the "BOARD", �
t' as party of the £irst part, and SANDRA M. STULLER, hereinafter
�i called "employee", as party of the second part, both of whom . �
i �understand and agree as follows:

5 W I T N E S S E T H:
� WHEREAS, the Board desires to employ the services of
` Sandra M. Stuller as County Attorney for Pitkin County as
provided by Section 30-11-118, C.R.S. 1973, and Section 5.3.1
of the Pitkin County Home Rule Charter, and
WHEREAS, it is the desire of the Board to provide �
certain benefits, establish certain conditions .of employment,
and set working conditions of said employee, and
PIIiEREAS, it is the further objective of the Board (1) �
�
to secure and retain the services of employee and to provide f�
inducement for her to remain in such employment, (2) to clarify
�

employee's status so that no misunderstandings arise with �
regard to outside activities, if any, and (3) to set forth s
�
means for terminating employee's service at such time as she � ,
may be unabZe to fully discharge her duties or when the Board • � ,
may desire to otherwise terminate her employment, and
�
WHEREAS, employee has indicated her acceptance of �

employment as County Attorney for the term and under the �
conditions herein specified,

NOW, THEREFORE, in consideration of the mutual covenants �

herein contained, the parties hereto agree as follows: � ?

Section 1. Duties.
The Board hereby agrees to employ Sandra M. Stuller as

County Attorney for Pitkin County to perform the functions �

and duties of the County Attorney, and to perform such other
legally permissible and proper duties and functions as the ''

Board shall from time-to-tir.te assign. ;

5ection 2. Term.

A. For purposes o£ encumbering the 1979 Pitkin County �
f�
budget, the term of this agreement shall be one (1) year, �

January 1, 1979 to December 3:1, 1979. � �

B. Employee agrees to remain in the "exclusive employ" f`
I
of the Board until ti.me of termination, provided the phrase �
��
"exclusive employ" shall not be construed to preclude non-fee <

}i
work, performed on employee's time, such as teaching, consulting,
�
or writing; provided, further, such outside activity shall not wi
i<
interfere with employee's obliqations under this contraat or �
i?
otherwise work to the detriment of the Board or the effectiveness
�
or reputation of the office of County Attorney. �.

C. Nothing in this agreement shall prevent, limit or
otherwise interfere with the right of the Board to termi.nate '
, the services of employee with cause, and with such notice and �
�
hearing as may be required by law. '
Section 3. Termination.
In the event employee is terminated by the Board, such �
termination shall be as provided in Section 2.C., and upon
such termination the Board may, in its discretion, provided
.
termination pay or other consideration as the circumstances �
may dictate and the Board may desire. �
Section A. Salary. �,

The Board agrees to pay employee for services rendered i�.�
pursuant hereto an annual base salary of Thirty Thousand

� payable in such installments and at the same time as all other :�

Section 5. Hours of Work. �
Employee shall not spend more than ten (10) hours per �
week in teaching or other non County-cannected business without �

the express prior approval of the Board. �
Section 6. Dues and Subscriptions. «

The Board agrees to budget and to pay the professional

dues and :.ubscriptions of employee necessary for her continua- �
tion and full participation in local, state and national �

_ legal organizations, necessary and desirable for her continued k
professional participation, growth and advancement, and t0 g
, the benefit of the County. �,
Section 7. Professional Development; Research. �
A. The Board aqrees to budget for and to pay for the �
travel and subsistence expenses of employee for research, �
short courses, institutes and seminars that are necessary for �

her professional development and for the benefit of the County. �

B. The Board agrees to budget and to pay the travel �

and subsistence expenses of employee for professional and �g
official travel and meetings, adequate to continue the professional ,�t,
development of employee and to adequately pursue necessary official �
and other functions for the County, including, but not limited ;
to, the conferences of the Colorado County Attorneys Association,
and such other state and local governmental groups and committees `�

thereof of which employee serves as a member.
Section 8. Office Expenses. � F,

The Board agrees to provide an office in the Pitkin County ��
Courthouse for employee, and such office supplies as are

necessary. The Board also agrees to provide employee with all �

necessary secretarial help. �+

Section 9. General Expenses.
The Board recognizes that certain expenses of a non-personal �

and generally job-affiliated nature are incurred by employee,
and hereby agrees to reimburse to pay said general expenses,
provided that such expenditures have been previously appropriated
ii
by the Board and properly documented by employee.

Section 10. Vacation and Sick Leave.
Employee shall accrue and have credited sick leave at
�
the same rate as other employees of the County. Employee shall
have a total o£ £our weeks per year of paid vacation, which
shall be used in inezements not to exceed two weeks in duration.
S�ction lI. Health and Life Snsurance.
A. The Board agrees to provide hospitalization, surgical
and comprehensive medical insurance for employee identical to _
that which is provided all other County employees. �
B. The 8oard agrees to provide life insuranae benefits �
�
equal to those provided for all other County employees. ;
Section 12. Retirement. �

Employee shall be covered by the County`s normal retire- S
.�
ment system and be bound by the provisions thereof applicabl.e ;
to all employees of the County. �
Section 13. Miscellaneous Benefit Provisions. . y
A. Al1 provisions of the County manual, if applicable, �,
�
relating to vacation and sick leave, zetirement and pension �

system contributions, holidays and other frinqe benefits and �
working conditions as they now exist or hereafter may be �
�
� amended also shall apply to employee as they would to other 4
'? employees of the County, i.n addition to said benefits enumerated ?

;; specifically £or the benefit of employee, except as herein j �

�' provided. :
� B. Except as otherwise provided herein, Employee shall ��
� i
be entitled to zeceive the same vacation and sick leave as
are accorded department heads, includinq provisions governing
accrual and paymFmt therefore on termination of employment.
Section 14. General Provisions. �
A. By acceptance of the terms of this agreement, employee +
agrees to give her best efforts, as an attorney, administrator
and County employee, and the good faith efforts of employee

shall be a continuing aondition for employment hereunder. �

B. Nothing herein shall be constrved to preclude �

terminatvon of this contract by agreement of the parties, �
nor preclude renegotiation and amendment of any of its terms �

by mutual consent. ;

C. The Board shall fix any such other terms and
� conditions of employment, as it may determine from time-to-time,
relating to the performance o£ employee, provided such terms

and conditions are not inconsistent with or in conflict with `
the provisions of this agreement or applicable provisions of �

law. �
D. This agreement shall become effective on its execution
� by the parties hereto.
1 E. If any provisions, or any portion thereof, contained
.� in this agreement are held to be unconstitutional, invalid, or
� unenforceable, the remainder of this agreement, or portion �
! thereof, shall be deemed severable, shaZl not be affected, �
i
� and shall remain in full force and ef£ect.

OF PITKIN COi3NTY has caused this agreement to be signed and `

fexecuted in its behalf by its Chairman, and duly attested by
