' � . . . � . �,_�';. �RWL'r - 4',. � AGREEMENT j� BETWEEN INTERNATIONAL SYSTEMS, INC. i . . i= AND PITKIN COUNTY, COLORADO ' � _ g/(78) � � THIS AGREEMENT made and entered into this/��day _ of 1978, by and between INTERNATIONAL SYSTEMS, INC. �, (hereinafter "ISI") and THE BOARD OF COUNTY COMMISSIONERS OF PITKIN COUNTY, COLORADO, THE CITY OF ASPEN, COLORADO, and 'PHE TOWN OF SNOWMASS VILLAGE (hereinafter "Client") whereby it is agreed as follows: l. This agreement shall become effective January 1, 1979, for a period ending on December 31, 1979. 2. ISI agrees to provide the Client with Federal funding reports and services beginning on the effective date of k this agreement and continuing for as long as the agreement is in effect. Specifically, ISI's services will include the following: � a. Computer-based Federal grant and loan report � based on Client answers to ISI's profile � questionnaire; 4 � � b. Special detailed reports on Federal grant and �; s loan funds of particular interest to the Client; �? c. Monthly Federal grant and loan news to the Client; �. � d. Access via toll-free WATS line by the Client to �x �� ISI's Research and Information staff; €; �� e. ISI representative to coordinate Client's needs �J; 4; with ISI Research staEf and Washington office; ';� ,, f. Access to ISI's Governmental Relations Office �; �a in Washington which tracks all pertinent legis- �:, ft5: ` � lation relative to Client's needs; Y :� g. 'T��. I 3. The annual fee for the above services is � $22,000.00. ISI agrees that if the Client does not receive � i revenues or approved grant applications in at least the amount � � • of the annual fee paid, ISI will continue to provide Federal �z Grants Assistance Program for a period o£ 6 months from the end � �. of the period of this agreement, or until revenues are received � or grants in at least the amount of the fee are approved, which- � ever shall first occur. Tn the event ISI be unable to generate any revenues or approved grant applications in the amount of the annual fee on behalf of Client within the year period of this agreement and 6 months thereafter, ISI will refund Client the difference between the fee paid and the revenues received on grant applications approved. Revenues received by Client from Federal grants cursently being received or pursued directly by Client without IST assistance are not to be computed in � determining the new revenues identified.in the preceding sentence. � y 5. If ISI does not receive such letter, ISI will assume that the terms of the guarantee are met. c. If ISI shall receive such letter and fail - -"� to generate the revenues on approved � � grants in the amount guaranteed in . � � paragraph 4 with the 6 month extension .___..___._ therein specified, ISI shall immediately, � and without demand, make the refund called .for in paragraph 4. 6. The Client has identified the Personnel Director of Pitkin County as the local contact for ISI services for. all three governmental agencies to be provided service by reason of this agreement.
