T As you know, the Board of County Commissioners is �
Y processing an application known as the Midland Park Pro-
ject under the P.M.H. zone category for property pre-
viously owned by Randall an3 across which traverses the
Salvation Ditch.
Section 5.71.11 of the Pitkin County Land Use Code
provides that subdivisions traversed by irrigation ditches �
are subject to the requirement that the applicant, in this
case the Pitkin County Housing Authority, submit a state- �
ment o£ understanding that the ditch owners are relieved
of any responsibility for damage to the development by
reason o£ the ditch or seepage caused thereby.
It is the purpose of this letter to constitute the
indemnification called for by Section 5.71.11, and on
behalf of the Board of County Commissioners, acting as
. the Pitkin County Housing Authority, the owners of the
Salvation Ditch are hereby relieved of ar►y responsibility.

its seepage, when and if the Midland Park project shall �
be approved and constructed as proposed. �

THE CONTRACT DOCUMENTS �
The Contract Documents consist of this Agreement, Conditions of the Contrac[ (General, SupplemenUry and
other Conditions), Drawings, Specifications, all Addenda issued prior to execution of this Agreemen[and all
Modifications issued subsequent thereto. These form the Contract, and all are as fully a part of the Conlract
as if attached to chis Agreement or repeated herein. An enumeration of the CoMract Documents appears in
Article 17. If anything in the Generel Conditions is inconsistent with this Agreement,the Agreement shall govem.

ARTICLE 4
THE CONTRACTOR'S DUTIES AND STATUS
The Contracror acmpts the relationship of trust and con(idence established between him and the Owner by this
? Agreement. He covenants with the Owner to furnish his best skill and judgment and to woperate with the Ar-
'- chirect in furthering the interests of the Ownec He agrees to fumish efficient business administrotion and � ,
superintendence and to use his best efforts ro furnish at all times an adequate supply of workmen and mate-
rials, and to perform the Work in the best and soundest way and in the most expeditious and economiwl man-
ner consistent with the interests of the Owner.

The parties hereto agree that failure to complete this contract on or before
the date herein above specified shall subject Greer Construction to a penalty .
in the amount of Five Hundred ($500.00) Dollars per day for each day the �
_ project shall remain uncompleted, which penalty shall be due and payable on �
demand of the Pitkin County Housing Authority. For purposes of this Article
5, the project shall be deemed completed upon issuance of a certificate of
occupancy; provided, however, that nothing herein shall be construed to
require compl�tion of those items E and G listed among the Contractor's
Alternates (found in the attached "Proposal") prior to said completion date. � ,

CHANGES IN THE WORK ��
8.1 The Owner may make Changes in the Work in accordance with Article 12 of the General Conditions insofar �
as such Article is consistent with this Agreement The Contractor shall be reimbursed for Changes in the �
Work on the basis of Cost of the Work as defined in Article 9.
8.2 The ConGactor's Pee for Changes in the Work shall be as set forth in Paragraph 7.2, or in the absence of i
specific provisions therein, shal�be adjusted by negotiation on the basis of the Fee established for the original
Work. `
ARTICLE 9
COSTS TO BE REIMBURSED +.
9.1 The term Cost of the Work shall mean coscs necessarily incurred in the proper perFormance of the Work I
and paid by the Con[racmr. Such costs shall be at rates not higher than the standard paid in the lowlity of
the Work except with prior consent of the Owner,and shall include ihe items set forth below in this Article 9.
9.1.1 Wages paid for (abor in the direct employ of the Contractor in the performance of the Work under ap- �
plicable collective bargaining agreements, or under a salary or wage schedule agreed upon by the Owner and
Contractor,and including such welfare or other benefits,if any,as may be payable with respect thereto.
9.1.2 Salaries of Contracror's employees when stationed at the field o�ce, in whatever capacity employed.
Employees engaged, at shops or on the road, in expediting the produclion or transportation of materials or
equipment, shall be considered as stationed at the field office and their salaries paid for that portion of their
time spent on this Work. .

9.1.3 Cost of cantributions, assessmenls or taxes for such items as unemployment compensation and social se-
curiry, insofar as such cost is based on wages, salaries, or other remuneration paid to employees nf the Con-
trector and included in ►he Gost of the Work under Subparegraphs 9JJ and 9.1.2.
• 9.1.4 The proportion o( reasonable tra�sportation, traveling and hotel expenses of the Contractor or of his
officers or employees incurred in discharge of duties connected with the Work.
9,7.5 Cost af all materials, supplies and eq�ipment incorporated in lhe Work,including cosis of Irensportation
thereof.
9.1.6 Payments made by 1he CoMraclor ro Subcontractors for Work performed pursuant to subcontracts under
thi5 Agreement.
9.1.7 Cost, including transportatipn and maintenance, of all materials, supplies, equipment, temporery facili-
ties and hand tools not owned by the workmen,which are consumed in the perFormance of the Work,and cost ' �
less salvage value on such items used but not consumed which remain the property of the Contractor.
9.1.8 Rental charges of all necessary machinery and equipment,exclusive of hand tools,used at the site of the
Work, whether rented fram the Contractor or others, including installation, minor repairs and replacements, dis- '`
manding, removal, transporWtion and delivery costs thereof, at rental charges consistent with those prevailing
in the area.
**9.1.9 Cost of premiums for all bonds and insura�ce which the Contraclor is mquired by the Cootract Docu-
ments ro purchase and maintain.
*9.1.10 Sales, use ar similar taxes related ro the Work and for which Ifie Contractor is liable imposed by any
governmental authority.
**9.1.11 Permit tees, royafties, damages for infringement of palents and cosls of defending suits thereior, and
deposits lost (or causes other than the Contractor's negligence.
9.1.12 losses and expenses,not compensated by insurance or otherwise,sustained by the Contractor in connection ;
with the Work, provided they have resuited from causes other than the fault or neglect of the Contracroc Such 4
losses shall include settlements made with the written consent and approval of the Ownec No such losses and • j

� 10.1 The te�m Cost of the Work shall aot indude any of the items set forth below in ihis Article 10.
10.1.1 Salaries or other campensation of the Contractor's officers, executives, general managers, estimators,
auditors, accountanls, purchasing and coNracting agents and other employees at the Contractor's principal office
and branch offices,except employees of the Contracror when engaged at shops or on the road in expediting the '
production or transportation of materials or equipment for the Work.
10.'1.2 Expenses of the Contracror's Principal and Branch OHices other than the Field O�ce.
10.1.3 Any part of the Contractor's capital expenses, including interest on the Contrector'S capital employed far
the Work. °
10.1.4 Overhead or general expenses of any kind, except as may be expressly included in Article 9.
- 10.1.5 Costs due to the neglisence of the Concracror,any SubcoMroctor, anyone direcdy or indirectly employed j
by any of them, or for whose acts any of them may be liable, including but not limited to the correction of de-

� ACCOUNTINC RECORDS
The Contractor shall check ail materials, equipment and labor entering into the Work and shall keep such fu�l �
` and deWiled accounts as may be necessary for proper financial management under this Agreement, and the
system shall be satisfactory to the Owner. The Owner shall be afforded access to all the Contractors records,
books, correspondence, instructions, drawings, receipts, vouchers, memoranda and similar daW relating to this '
Contrect, and the Contracror shall preserve all such records for a period of three years after the final payment, i

APPLICATIONS FOR PAYMENT �
The Contractor shall,at least ten days beFore each progress payment (alls due, deliver to the Architect a state- I
ment,swom to if required,showing in complete deWil aIl moneys paid out or costs incurred by him on account �
of ihe Cost of the Work during the previous month for which he is to be reimbursed under Article 6 and the '
arnount of the Contractols Fee due as provided in Article 7, together with payrolls for all labor and all
receipted bills for which payment has been received. i
ARTICLE 'IS
PAYMENTS TO THE CONTRACTOR
15.1 The nrchitect will review the Conlractor's statement of moneys due as provided in Article '14 and will
prompdy issue a Certificate for Payment to the Owner for such amount as he approves, which Certificate shall

be paid by the Owner to the Contractor when the Work has been completed, the Contract fully performed and
a final Certificate for Payment has been issued by the Architect Final payment shall be due thirty (30)
days after the date of issuance of the final Certificate (or Payment.� and.issuance of the Certificate
of Occupancy,
15.3 Contractor shall be paid ninety five percent of the actual monthly amount
due pursuant to Section 15,1; and the balance shaLl be paid at the time of final
payment as provided in Section 15.2. j
ARTICLE 76
TERMINATION OF THE CONTRACT
16.1 The Contrect may be terminated by the Contractor as provided in Article '14 of the Generel Conditions. I
16.2 If the Owner terminates the Contract as provided in Ariicle 14 of the General Conditions, he shalt reim- i
burse the Contrecror for any unpaid Cost of the Work due him under Artide 6, plus (1) the unpaid balance of
the Fee computed upon the Cost of the Wark to the date of termination a[ the rate of the percentage named in '
Article 7,or(2) if the Contractor's Fee be stated as a (ixed sum, such an amount as will increase the payments �
on account af his Fee to a sum which bears the same ratio to the said fixed sum as the Cost of the Work at the �
time of termination bears to the adjusted Guaranteed Maximum Cost, if any, otherwise to a reasonable esti-
mated Cost of the Work when completed. The Owner shall also pay to the Contracror fair wmpensation, either
by purchase or rental at the election of the Owner,for any equipment retained. in case of such termination of the
Contract the Owner shall furlher assume and become liable for o61igations,commitments and unsettled claims that
the Contrector has previously undertaken or incurred in good faith in connection with said Work. The Contractor
shall,as a condition of receiving the paymenis referred to in this Article 16,execute and deliver all such papers and
lake all such steps,including the Iegal assignment of his coniractual rights,as the Owner may require for the purpose
of fully vesting in him the riFhts and benefils of lhe Coniractor under such obligations or commitments.
