THIS AGREEMENT, made and entered into this/�day of

COLORADO, herein called "County", and ROCKY MOUN7AIN NATURAL GAS CO., INC.,

� a Colorado corporation, here'in called "RMN6", P.O. Box 700> Glenwood Springs,
� CO 81601.
� WITNESSETH:

� WHEREAS, RMNG desires to construct two 2-bedroom and two 3-bedroom
� apartments above its warehouse at the Aspen Airport Business Center to house
} its employees and has filed fior and met all requirements for subdivision

! approval thereof subject only to complying with and agreeing to be bound by
the Pitkin County 6rowth Management Housing Price 6uide Lines for permanent
i
and moderate housing:
NOW, THEREFORE, for and in considerat9on of the County's approval of
RMNG's subdivision application for said apartments and authority to proceed �

with constructi:on thereof, RMNG, without prejudice to its rights under the !

law, agrees to rent said apartments to its employees, or, at its option, �

other employees of the area as defined by the Pitkin County Housing Authority �;

permanent and moderate housing qualification critaria, having gross annual ,;

salaries in the low or moderate income level as defined by and in accordance
with the County 6rowth Management Housing Price Guide Lines for permanent

and moderate housing, as adjusted annually on or before April 1 of each

that RMNG shall not be required to violate any State or Federal law in complying �

If RMNG rents said apartments to employees other than its own, it shall '
first obtain approval of the Pitkin County Housing Authority.

RMNG agrees such apartments shall not be converted to condominiums.
