THIS AGREEMENT is made between and among the parties
for and in consideration of the mutual promises and benefits to be
derived from the keeping thereof, as stated herein. ;

-` • 1. Parties. The parties to this Agreement are the �
i County of Pitxih, a political subdivision of the State of Colorado !
+ (hereinafter called "the County"); the City of Aspen, Colorado, a j
;
; horae rule city (hereinafter called "the City"); and, the Board of f
�
Directors of the Aspen Valley Hospital District, a quasi-municipal i
� corporation and political subdivision of the State of Colorado i
i �
_� (hereinaf£er ca2led "the Hospital"). (
� 2. Authorization to contrani-. This AgTeement is made $
`f pursuant to the authority of Article XIV, Section 18(2)(a) of the �
;` constitution of the State of Colorado, C.R.S. 19'73, Chapter 29, S
�
Article 1, and Section 13.5, ��COOperative Contracts'� of the Aspen x
;'r. 3
Home Rule Charter. Each of the parties is lawfully authorized �
�
to provide the functions, service and facilities which are the �
a
rp
subject o£ this Agreement. This Agreement shall become effective ;
upon the authorization and. approval oE the Board of County Commis- �
�
�
sioners of Pitltin County, the City Council of the City of Aspen, �

and the Board of Directors of the Aspen Valley Hospital District. No ��

. ;': rights sha1Z be conferred by this Agreement prior to its approval �
�;: �,
ahd authorization, duiy enacted by the legislative or approving ,>
bodies of all the parties. �:

�; 3. Provisions of facilities and service. The Hospital � �
�
agrees to provide ambulance service within the boundaries of the �
:V.
Aspen Valley Hospital District (the boundaries o£ which are on file ��
with the c2erk and recorder of Pitkin County, Colorado) under the �k
�
; terms and conditions set forth in this Agreement. The Hospital �h
� agrees to comply with the staf£ing requirements at the level outlined �;
by State and County licensing laws, Tn addition. the Hospital ��`
�;
agrees to maintain within the designated district a minimum of one �k
fully equiped and fully staffed ambulance which, at all times, �
shall be on call 24 hours a day, 7 days per. week; together with a "t
bacR-up ambulance, fully equiped and staf.fed when required. The '

Hospital will be responsible for automotive servicing of vehicles. ��;

The Hospital will cause the ambulance to respond promptly to all
calls for assistance, whether from private or governmental sources.
4. Reservations on use. The ambulance shall be used I

for officia2 purposes only, and to efEectuate this limitation, �
I
the Kospital agrees to promuPgate regulations describing authorized �
use of the vehicles. Such regulations shall be available to the
parties hereto for comment upon request.
5. Dispatchinq services. The City and County agree to
, ;
provide the requisite dispatching service for the ambulance throuqh
the Aspen, Pitkin Countp Combined Communications Center, such
service to encompass receiviag emergency calls and dispatching the
ambulance to the location requested.
6. Gara e use and fuel supulv. The City and County �

agree that its garage facilities and equipment will be :made available �
�.
for maintainance of the ambulance provided that (1} such will be �

made availab2e only when convenient and compatible with other uses 4
�
�;
being made of the facilities and equipment, (2) an appropriate fee �

for such use will be charged, (3) nothing herein shall be construed ;�

as an agreement by the City or County to maintain ambulances, and �
` (4) the City or County may, with notice, terminate this provision ;�

in the event it is determined that it creates unacceptable inter- �

ference with the operation of these municipal facilities. In addition, �
the City and County agree that the ambulances may use the fuel K •

supply proviZed at the garage for which fuel the Hospitai will be �S
charged at the same rate the City and County departments are �

assessed, or at the cost of the City or County for the supply ��

at the City or County's election. �

The log shall be forwarded quarterly to the Aspen Valley Hospital �

controller, who will review and varify it and forward copies to �
the offices of the City and County Finance directors. }
8. Additional information. In addition, the Hospital �
; �
shall compile information identifying (1) patients served, (2) �
their residence addresses, (3) injuries sustained by service to !
{ �patients, and (4) the type and extent of treatment rendered by any
�
member of the ambulance crew. �
9. Charqes to users. The Hospital shall provide
accounting and billing services for the parties hereto for the
collection of reasonable fees and charges from the users of the �
ambulance service. In the performance of this obligation it is �
$
agreed thats �
A. The Hospital shall, immediately upon execution of �
this Agreement, submit a rate schedule to the �
directors of Finance of the City and County, who �
I
shall approve the same. The Hospital shall notify �
>.,.ib: said directors of any proposed modifications to the �

approved schedules, and all subsequent modifications � `
shall be subject to the approval of the respective
directors of Finance. �
B. The Hospital shall maintain a complete financial �
record of each patient transported, indicating the �

basis for charges and payments received therefor. �
Such financial records should be availabie to the
• City and County Finance directors on request. �
C. It is recognized that not all charges will be
;
collected and it is agreed by the parties hereto �
that uncollectable charges (or "bad debts") shall be �

S recorded annually and included in the budget as �

an indirect expense.
;, 10. Budqet. The Hospital has submitted a budget `
-� i
for operation of the ambulance service estimating revenues and �
expenses for calendar year 1979. The budget is attached to the end �
1
� of this contract. Direct costs have been estimated for the entire �
year and adjustments shall be made for actual expenditures and i
revenues at the end of 1979, Indirect costs have been calculated �
for each item on the basis of the actual requirements of the am- �
i
bulance service and not on the basis of direct costs. Indirect '
costs shall not be re-calculated or adjusted at the end of 1979. �
� The Hospital agrees to submit monthly a complete statement of �
� operating expenses for the services to be to the respective directors �
� of Finance, and the Hospital Controller shall notify the Directors �
� of Finance whenever costs and/or revenues are expected to vary more �
� than 10% from their budget figure. �
�; 11. MonthlY payments. The City and County shall �+
� monthly cause to be paid over to the Hospital at the end of each �
f+ month a sum equal to one twelfth of the subsidy herein above �
u
. y� estimated for each. It is agreed that such monthly sum is two �
�
a; �r� thousand one hundred and thirteen dollars ($2,113) attributable to
� each the City and County in the year 1979. � :
a12. Capital expenditures. In addition, the City and �
'y County shall each pay to the Hospital eleven thousand eight hundred �.
� and eight dollars ($1I,808) toward capital expenditures. This
C� amount will be made payable to the Hospital within thirty days �
� of notification of the City and County Finance Departments. �

� 13. End of vear adiustments. At the end of calendar year i!
'� 1979, the controller of the Hospital shall submit to the respective �
� �� directors of Finance an unaudited estimate for the operation of
the ambulance service, and within thirty days of receipt of such �

�' statement, amounts due from the City and County shall be re- �
� �
calculated according to the system of adjustments herein above �

� 14. Autonomous control. It is stipulated that this �

� Agreement constitutes a fu11 discussion of the concerns of the City s
and County with respect to the operation of the ambu2ance service, �
and all managerial, personnel and administrative functions are �

hereby delegated to the Hospital.

15. Term,,. This Agreement shall commence as of January
1, 1979 and terminate on December 31, 1979.
� 16. Riqht to terminate. The hospital sha11 perform the �

; services herein required in a proper and efficient manner to the
�
' City and County. In the event that the Hospital or the City and
�' County shali become dissatisfied with one another, each or either
.� may give written notice of termination with or without cause. This
ti
notice may be effective not earlier than 60 to 90 days from the dajre
herein. In the event either the City or County sha11 refuse to
it
� ma}ce payments herein required, the Hospital shall have the option
�.
to discontinue the required services upon 60 to 90 days written
notice to the City and County. '
� 17. Siqnature. By subscribing to this Agreement the
parties represent to each other that they have heretofore acquired
the necessary approval and authorization to enter into this Aqree-
ment.
18. Titles. Paragraph titles are for reference only �

and are not part of this Agreement. s

IN WITNESS WHEREOF, the parties hereto have executed �

this Agreement on the days and dates noted in Aspen, Colorado. �
