RECITALS

- 1. The Open Space and Trails Board of Trustees purchased
from Guido Meyer a parcel of land east of Basalt for open �'':�'`�'
space and river access purposes, commonly known as the {:;
Basalt/Kiwanis River Park, and; � -; : .
�,
2. The Open Space and Trails Board of Trustees has budgeted � �
$30,000 for minor improvements to the Basalt/Kiwanis
River Park, and;
3. The Town of Basalt has applied for a grant from the
Colorado Division of Wildlife for funding of a Fishing
Is Fun Project, which grant would be used by the Town to A�
improve the $asalt/Kiwanis River Park and improve stream �
and riparian habitat in the vicinity oE the Park. The t'
ii.
Town has requested that, in the event the grant is �
• awarded, the $30,000 budgeted by Open Space and Trails
be used as a contribution towards park improvements, �
detailed in the attached Use and Maintenance Agreement, �
in exchange for the Town of Basalt agreeing to maintain �
the Basalt/Kiwanis River Park. For purposes of the grant �..
application, this contribution would be considered in- .�
kind funds, and;
4. The attached Use and Maintenance Agreement details the
terms and conditions under which Pitkin County would
allow the Town of Basalt to use and improve the
Basalt/Kiwanis River Park, and also describes the terms '
under which the Open Space and Trails funds would be
utilized.

NOW, THEREFORE, BE TT RESOLVED by the Board of County
Commissioners of Pitkin County, Colorado, that the Chairman oE the
Board is hereby authorized and directed to execute the attached
IIse and Maintenance Agreement.

(herein �er 'Tow '), and PTTKIN COIJriTY BOARD OF COUNTY COMMISSIONERS,
COLORADO (hereinafter"Pitldn County"); �. 1, .
WITNESS ETA:
_ WHEREAS, Pitldn County owns certain real property situated in Pitldn County,
Colorado, lrnown as the BasaldKiwanis River Pazk as described in Fachibit A, attached hereto Y.�`�
and incotponted herein by this reference(hereinafter"the Park");and L(P�'r Q°°x sa,rv.9s-�c)
WFIEREAS,Pitlan County desires to allow the Town the non-exclusive xight to use and �
! improve the Park;and
WFiEREAS,in exchange for PitIdn County's grant to the Town the non-ezclusive right
to use and improve the Pazk, the Town agrees to maintain the Pazk facilifies as more fulty set -
forth below;and
Wf�REAS,the parties recognize that the Town will use the property for an acrive park
for the purpose of promoting fishing in the area through providing fishing access, pazldng and
- = sanitation facilities, enhancing the fish habitat,improving the stream and riparian habitat,and
! tluough promoting and enco�raging the overall fishing industry in the azea;and
WHEREAS,tha Town may be given a grant from the Colorado Division of Wildlife for
the funding of the 1995 Fishing Is Fun Pmject(hereinafter "ffie grant"}, wt►ich grant st►all be �
useQ by the Town to improve the Park and improve strram and riparian habita.t in the general '
_ ' area of the Pazk; and
WHEREAS,in the event the grant application by the Town of Basalt is awuded,Pitldn
County wilt contribute Thirry Thousand Dollazs ($30,000.00) to the Town for stream and
riparian habitat improvement in the entire project azea of the Park;and
WI�..REAS, the parties desire to set forth their agreement in writing.
; NOW, THEREFORE, for and in consideration of the mutual promises and covenants
contained herein,and other good and valuable consideration,the receipt and suffeciency of which
is hereby aclrnowledged, the Town and Pitldn County agree as follows:

• 2. Grant to Town of Right to Use the Park. Pitkin County shall grant the Town the ;:g'��;
non-exclusive right to use, maintain,azid improve the Park,and make it an active park in order '��
to improve fishing access to the pubiic on the Roaring Fork River.

3. Grant to Town of Ri�ht ro ImQrove the Park. Pitidn County further grants the
Town the right to improve the Park through allowing it to instatl picnic tables,&shermen access '�,�, .
points, sanitation facilifies, pazking spaces, benches, signs, a picnic pavilion, riverbank �
stabilization, landscaping, and a rafting talceout area, aIl of whict► are described below and
genezally set forth on Exhibit B, attached heraW and incorporated herein by reference. Said
improvements are specifically desczibed, detailed,and listed on Exhibit C,attached hereto and
inwrporated herein by reference;provided,hawever, the Town may make,install,or conshuct ;Y: �
additional improvements upon prior approval by Pitldn Covnty.
4. �itldn County Monetarv Contribudon. Pitldn County shall pay Thirty Thousand ,
Dollazs ($30,000.00)to the Town for the puiposes set forth in Paragraph 5(g), below. Pitldn .
County shall pay said funds to the Town in one lump sum upon the Town's zequest, as the
parties agree and acknowledge that the Town has previously ezpended in excess of$30,000.40,
as shown by receipts presented by the Town,on stream and ripazian habitat improvement in ihe
genezal area of the pazk,
5. Improvemen�to the Park. •
• a. �Landscanine. The parties agree and acknowiedge that the Town shall plant
eleven (11) trees as shown generally on Exhibit B and detailed on Ezhibit C,
which conform with or complement the ezisting vegetation. The type and height
of the trees shall be mntually agreed ro by the Town and Pitidn County. These
trees sha11 be in addition to the six(�existing trees as reflected on Exhibit$.

. b. Picnic Tables and Picnic Pavilion. The parties agree and aclrnowledge that the
Town shall construct a picnic pavilion and install picnic tables as reflected
generally on Ezhibit B and detailed on Fxhibit C, which tluee(3)picnic tables
woald be of a type as mutually agzeed to by the Town and Pitlan County.
c. Sanitation and Restroom Facilities. Tha parties agree and aclanowledge that the
Town shall const�uct a two-unit restroom facility as reflected generally on Exhibit
B and described on Exhibit C. It shall have one toilet for mea and one toilet for
; women,and shall be constructed in a manner as mutually agreed to by the Town
and Pitldn County.
@. Parlang. The parties agree and acknowledge that the Tovm shall install a parldng
lot, whicfi covering shali be comprised of a 4-inch-thick gravel surface. The , �
Town shalI be allowed to provide a mazimum of eight (8) pazldng spaces as
reflected on Enlv'bit B and detailed on Exhibit C.

Said fishing access shall consist of a proposed able-balied and handicapped
fishing ramp. The ramp shall be siz(6}feet in width with snrface crushec fines
or asphalt, as may be appropriate. The parties aclrnowledge that the ezisting ��� .
rafting hakeout azea as reflected on Exhibit B is a temporary rafting access. ��' ,"'
Fu[ure rafting and boaking access to the river,if any, shall be a matter of mutual ' 'r�

agreement between Town and Pitlrin County. �.�

g. Fish Habitat. The parties agree and acknowledge thai the Town shall reconstruct � -
or enhance the riparian area of up to an additiona12000 linear feet of riverbank
on the Park or in the general azea of the Pazk from the Highway 82 bypass bridge �
to the confluence of the Roaring Fork and Frying Pan Rivers. Said
reconstruction or rehabilitalion shall be coordinated with low flows of water.
h. Bicvcle Trail. The pazties agree and aclrnowiedge that the Town shall construct "!'
an eztension of the bicycle trail, which shalI connect with the parldng lot as �,.
geneiaily depicted on Exhibit B and detailed on Fxhibit C. 4
6. Maintenance By,The Town. The Town sha(1 maintain and manage the Park and.
j related facilities for the benefct of the citizens of Pitkin County, the Town of Basalt, and the
general public at Iarge through the foltowing:

` a. Trash Collection. The Town shall install or provide up to severat tiash '`
- xeceptacles. Trash collec6on shall be daily or as frequently as necessary to
prevent trash from overfiiling trash receptacles.

b. Lan@sca�e Matntenance and Weed Control. I..ow water use Iandscaping k
techniques(xeriscaping)shall be used for all landscaping. All noxious weeds at
the Park shall be controlled.
c. Fishing Access Tvlaintenance and ReQair. The Town agrees to maintain and tepair
the fishing access ramp as shown on Exhibit B, such that said ramps aze safe for �
public use. �
d. Parldng T.ot Maintenance. The Town agrees to maintain the gravel pazldng lot ' ,
and add additional gravel to the pazking lot as neressary. ' �

f. Sanitafion Fa�cilitv Mainienance. The Town agrees to maintain the sanitation and '
restroom facilifies in a reasonably sanitary condition, and shall pzovide '":
maintenance personnel to dispose of refuse or debris as necessary. Additionally, -'",;
maintenance personnel will clean the restroom and sanitation facilities as " �.
necessary. Finally, the Town shall provide all restroom and sanitation facility
supplies.

7. Effective Date. This Agreement shall be effective upon ezecution.

8. Use attd Maintenance Agreement Termination. T'he parties agree and '
aclrnowledge that this Agreement is in effect and enforceable for one(1)year from the date it ' �
becomes effective. This Agreement shail have automadc annual renewals,and either party may '
tenninate this Agreement with a sixty (60) day written notice based upon the fol�owing �
wndiflons:

a. With respect to Pitkitc County,if the voters of Pit3dn County, Coiorado, direct
Pitlan County to sell or otherwise dispose of the Park; or
b. With respect to the Town�of Basalt, if the voters of the Town of Basait, ;
. Colorado, direct the Town to cease maintenance of the park and/or cease
construction or instailation of improvement to or on ihe park; or
c. Tf either party defaults in its performance under the terms of this Agreement;
provided,however,the nonbreaching parly shall norify the breaching party of any
defaults,and the breaching party shall have sixty(60)days to cure or otherwise. �.�-

9. Cos s. T'he parties agree and acknowIedge that the Town sha11 bear the costs of
alI map preparation, the preparadon of this Agreement,any other contracu related thereto,and
any required public advertising related io this matter; provided, however, the Town shall not '
bear Pittan County's cvsts for the review,revision,discussion,or conespondence pertaining to
the prepara6on of this Agreement or any other contracu relaLed thereto. FwRher,the Town shall �
bear all expenses foz the construcfion and maintenance of the improvements as set forth in
� Paragraphs 6 and 7, above; provided, however, Pitkin County shall contribute $30,000.00
towazds stream and riparian improvements as referenced in Paragnphs 5 and 6(g},above.
10. Town Annual Apgropriation for Park Mairttenance. Town maintenance of the
park is svbject to annual appropriation of said funds by the Town Board of Trustees for •
maintenance with the exceprion of monies received from grants. '
11. Use and Maintenance of Park. The non-exclusive use and maintena►ice of the

12. Indemnitv and Insurance. The parties agree and acknowledge that the Town will 1�
indemnify to the fullest eztent allowed by law,and hold hazmless and defend against any losses, -
including attorneys' fees incuned, hy Pitidn County as a result of the Town's use and � '•
maintenance of the park. Additionally,the Town witl name the County as an addirional insured
party in the,amount of [$1,0OO,OQ0.00]. The Town wiU. also prnvide proof of the
aforementioned insurance to Pitldn County, attention Hillary Smith, within thirty(30)days of
the ezecucion of this Agreemen�
13. Attomey Fees. Each party shall bear its own attorney fees. However, in the
event li6gadon is necessary to enforce the rights of the parties to this Agreement as between '
themselves, the pzevailing party in such titigation shall be antitled to reasonable attomey fees •
1 and costs of suit acivally incurred.
14. c'nm,�lete A�reemenh Amendment. Ttris Agreement constitutes the entire and
comptete agreement between the pazties conceming the subject matter hereof, and this
Agreement supersedes all prior agreemenks, understandings, and communicadons between the
parties(wheiher oral or written). Any modifica6on or amendment hereto s6a11 be evidenced by'
a writing signed by the parties.
' 15. Bindin�Effect:Survival. This Agreement shall be binding upon and inure to the
benefit of the parties, their successors, grantees, and assigns. Each term and condition of this
Agreement shall survive the effective date of this Agreement.
16. Authori . Each person executing this Agreement represents and warrants that �
he has been duly authorized by the party which he purports to represent to ezecute this
Agreement,and has authority to bind said party to tha terms and condicions of this Agreement.
17. Goveraing Law. This Agreement sha11 be construed under the laws of the State
of Colorado.
18. No Waiver. No provision of this Agreement may be waived except by an
agreement in writing signed by the waiving party. A waivet of any term or provision shall not
be consirued as a waiver of any other term or provision.
19. Headines. The paragraph headings in this Agreement shall not be used in the
conshucdon or interpretation hereof,as they have no substantive effect,and are for convenience
only. .
20. Sevenbilitv. If any part or sec6on of this Agreement sha11 be found void oz
invalid by a court of competent jurisdiction,such finding shall not affect any remaining part or
