Palmer Hood agrees to the following: (a) The firewood stored on the property will be own.�d by Palmer Hood. ,`�` (b) Palmer Hood shall be responsible for regular clean-up � i: � of trash and debris so as to easure the tidiness of the property at all times. (c) :+Palmer Hood will utilize an area approximately 300' by 100' (or approximateZy 30,000 square 13 feet) located along the south end o� the property . � ; as indicated on the attached E�ibit "A". -(d) The term of this agreement is one (Z? year, com- , mencing Apzil 1, 1982, and terminating March 31., 1983, and may or may not be renewed at the option of the County. The tezm of the agreements sha11 couunence Jvne 16, 1982 and end ;� August 31, 1982. 2. The County agrees to permit the Caterers to use the kitchen � � facilities at the Conm�unity Center for the purpose of preparing �. '� three meals per day, Monday through Saturday and two meals per � :� day on Sunday for approximately 350 music school students. . � 3. The Senior Nutrition Program will continue to operate in its present form and wi11 maintain priority in any decisions affecting � :f�`�' meal service at the Community Center. � ` �� 4. The "Under 60 Cornmunity I.unch Program" wi11 not exist under the � terms o£ this agreement except that meals will be served to people , � � other than Senior Citizens and Music Students according to the attached price schedule. 5. The caterers wiZl pay the Community Center $3,730'�£or •the use of`the �; �?; kitchen and dining rooms for the term of this coatract.** � 6. The Caterers will collect, retain, and be accountable for fees �' charged for meals except for donations for Senior Citizen meals which will be collected by the Senior Nutrition Site Manager at the luncheon meal on Mondays, Wednesdays and Fridays. 7. The�CSr�r��s.:wi:i1:-ba. responsible for a11 maintenance costs i related to the operation of their own equipment. 8. The County agrees to supply its existing fixed equipment in the � Community Center kitchen and to notify the Caterers 30 days in advance of any sale o� such equipment. The Caterers agree to : assume the cost of maintaining and repairing said equipment up � to the amount of $50.00 for each necessary equipment repair, and the County agrees to assume all cost in excess of $50.00.PROVIDED, HOWEVER, that in the event that any County Equipment should be damaged as the result of the negligence of the Caterers or any =` of its agents or employees, the Caterers shall repair such damage at its own cost. PROVIDED, FURTHER, that nothing herein shall be construed to require the County to contribute anything to the cost of repair of equipment owned by the Caterers. 9. The Caterers will provide an inventory to the Cou¢nunity Center i�::: Director of any fixed County equipment in these areas which will r'�'�:::-' be used during the period of this contract and any de£ects or repairs which need to be made by May 15, 1982 and again by August 31, 1982. The Caterers will provide an inventory of Senior equipment stored in the kitchen areas to the 5enior Coordinator by June"_F�,1982 and again by August 31, 1982. 10. The Catezers shall be xesponsible for the washing of dishes and cleaning of all equipment and shall further be responsible for the cleaning of the floors of the kitchen, dining rooms, dishwash- ing room and pantry and be responsib le for the cleaning o� the � inside walls, shelves, windows, ceilings, light fixtures i.n these areas and janitorial service in the dining room areas, also for cleanup of any trash left in outside areas. The Caterers shall be responsible for related janitorial supplies. Caterers shall be responsible for additional cleanup at the end of this r� contract as follows: The Senior dining room rug and chairs shall. . be professionally cleaned, the floor of the Small All Purpose � Aoom shall be stripped, waxed and buffed, all kitchen equipment ��, shall be thoroughly cleaned both inside and out. � :�., � 11. Food, drink and other sexvices provided at the Community Center E� shall be conducted in a courteous, heZpful, clean, attractive, •;�.;` and sanitary manner. Repeated discourtesy or faiZure or inability to expediently supply the basic services on Mondays, Wednesdays, and Fridays each week shall be cause for termination hereof. � 12. The parties hereto shall each enjoy those remedies provided by law for any breach of this agreement. Provided, however, that the ; Directar of the Community CenCer must give the Caterers ten (10) � � days notice of default for any breach hereof within which time the Caterers may cure the default. If any such default shall not � be cured, then the Director of the Community Center may terminate this agreement. � 13. All Notices required to be given to the County hereunaer shall be given by certified mail, with a return receipt requested, � addressed to the Community Centex, 0100 Lone Pine Road, Aspen, C0. � 81611; Notices required Co be given to the Music Associates of i Aspen, Box AA, Aspen Colorado, 81612. PROVIDED, HOWEVER, that '�' either party hereto �ay designate in writing from time to time �� � another person or agent to receive such notices by supplying the ttame and address o£ such substitute. The effective date of service � `'� of any such notice shall be the date such notice is mailed to the Caterers of the Director of the Community Center. 14. The Caterers covenant and agree to pay promptly aZl taxes,excises, license Eees and permit fees of whatever nature applicable to its operations hereunder and to take out and keep current all licenses, _ municipal, state or federal, required for the conduct of its r business or the operation of its equipment, and further agree not �7 to permit any of said taxes, excises or license £ees to become ' delinquent. 15. The Caterers covenant and agree not to permit any mechanics or materialmen's or any other lien to become attached to or to be �" foreclosed upon the Community Center, any o£ its equipment mentioned �: herein or improvements thereto or thereon, by any reason work or � labor performed or materials furnished by any mechanic or � materialmen. The Caterers agree to furnish the Director o£ the Community Center upon request duplicate receipts ox other satis- factory evidence showing the prompt payment by it of Social Security, Unemployment Compensation and 4Jorkmen's Compensation insurance, all requi.red licen ses an@ all taxes.The Caterers further covenant and agree to pay promptly when due all biZls, � debts, obligations incurred by it in the Co�unity Cettter, and � not to permiC the same to become delinquent and to suffer no lien mortgage, judgement or execution to be filed against the equipment `��� which will in an wa im air the ri hts of the Count under this �'� Y Y P g Y �..._ Agreement. ,-.;;:_ 16. The Caterers covenant and agree not to assign, sublet, pledge or transfer its rights in this Agreement, in whole or in part . nor grant any license or concession hereunder without the prior written approval of the County which may be withheld without cause. .�2•. . . 18. � This agreement shall be binding on and extend to the heirs, personal representatives, successors, and assigns of the �� respective parties hereto. �� ' R. 19. No officer, elected o£ficial, or employee of the County shall be held personally liable under this Agreement or because its execution parties hereto. 20. The Caterers agree to perform the services hexein contracted for in compliance with all State and local laws (including but not �' limited to sanitation regulations) as well as Community Center �^ operating regulations. 21.
