IN CONSIDERATION of the mutual premises herein �
contained, the parties agree as follows:
'�i� 1. GRANT OF LICENSE. Subject to the terms and

;;;. conditions hereof, commencing with the 1982 irrigation

season and perpetually thereafter, Licensor agrees, without

�k�� charge, to make available to Licensee from its W/J River

Pipeline Water Right, Priority No. 546, decreed November 5,
�f , 1971, in Case No. 5884 ("Decreed Priority") which has as its

t� source of supply the Roaring Eork River, water for the
purposes of permitting Licensee to construct, irrigate and
operate a Park (the "Park") located on property legally
described on Exhibit "A" attached hereto and more fully
shown in the True Smith Park Plan which Plan is incorporated
herein by this reference. The actual amount of water to be
made available will be based on the reasonable needs of
Licensee for those purposes and the availability of the

water to Licensor under its Decreed Priority. The parties `'

expressly agree that this license shall be based upon the r�:.:�

gift and Licensor shall have no obligation to install any

�' new pipes or other equipment for such purposes nor to repair
or replace its existing pumps or other equipment should they

t� 2. LICENSEE'S RIGHT TO REPAIR, Licensee may �

� enter and make (and do) any repairs (and/or maintenance) to
the pipes or other equipment, at its cost, necessary to
exercise the license herein granted. In addition, Li.censee

may plan and, at its expense, install any additional capital
improvements to the water system approved by Licensor as
part of the True Smith Park Plan for the Park.
3. AUGMENTATION. Licensor agrees that, in the
' � event that it shall become necessary to maintain the Park to .

augment the Decreed Priority, that Licensee may do so at its

expense and Licensor will offer any cooperation necessary,
`F provided that Licensor shall not be required to assume any

�: costs in doing so. -

'"' 4. TERM. The license herein granted shall be
�� irrevocable and may not be terminated without the prior

written consent of Licensee. Any conveyance or other aliena-
tion of the Decreed Priority shall be subject to the rights
herein granted to Licensee.
{ 5. INDEMNITY. With respect to the exercise -
�� of this license, Licensee agrees, upon demand, to protect,
`� indemnify and hold harmless Licensor, its successors or
�
` assigns, from any demands, liability, loss, claims or causes °�

of action arising �rom any injury or death to persons or "�'

damage or loss to property, including reasonable attorneys'

fees resulting from such exercise; excluding however, any �_�.
injury or death or property lass. resulting from the negligence '�•'�
