� (hereinafter "City") and THE BOARD OF COUNTY COMMISSIONERS
OF PITKIN COUNTY, COLOP.ADO (hereinafter "County") .
W I T N E S S E T H :
WfIEREAS, the City and County wish to exchange lands
for the purpose of facilitating the construction of certain�
public improvements all as more fuily described herein,
, NOW, TIIEREFORE, in consideration of the mutual benefits

to be dezived herefrom, it is agreed by the parties hereto
��. ;, as follows:
� 1. The City will convey by general warranty deed
:` to the County a tract of land (ttereinafter "jail property")

situate in Section 7, Township 10 South, Range 84 West of
�' the 6th P.M., Pitkin County, Colorado, being more fully

described as follows:
�' Beginning at a point whence the southwest corner
of Lot K, B1ocY, 92, City of Aspen, Colorado, bears
S14°55'44" W, 290.06 feet.
Thence N14°50'?9E, 55.57 feet;
�, Thence S75°09'll"E,180.57 feet;
Thence S84°3�'00"W, 115.55 feet;
Thence N87°17'ODW, 73.83 feet;
To the point of beginning containing 5,621 square Eeet
more or less.

This grant shall be specifically conditioned upan: <'

(a) Subdivision approval in comoliance with the [s:� .

days of the date of this agreement. In this '
regard, the City agrees to prepare and submit t�,

(b) A rezoning of the entire jail site to P-Public
and approval of the jail facility in connection �.

(c) Compiiance with Section 13.4 of the City of i,'�1.

�,� Aspen Charter to the extent that the requirements
� of said section may be deemed applicable to �

this conveyance. In this regard, it is the !

opinion of both the City and the County that f
the aforesaid oarcel is not "currently in use �
for a public purpose" necessitating the approval I
of a majority of the electors voting thereon S
�. prior to the conveyance. However, in the event �

�,• it is determined that a vote is so required, I,

�' the County agrees to underwrite the expenses �.

�? 2. In connection with the conveyance of the aforesaid �

�': portion of the roadway reserved in the deed of record at �

. and Recorder as the same crosses the jail property. A
' '` petition to vacate has been submitted by the Boax� �
simultaneously with the execution of this agreement.
3. The City further agrees that it will incorporate �`�
in the SPA plan £or the Rio Grande property an area �
sufficient and appropriate for future trounty office space;
and, further, that the land so designated will, on request,
be conveyed to the County without additional consideration.
This provision shall be effective for the life of the
survivor of the present Board of County Commissioners
plus twenty-one (21) years.
4. Tn consideration for the above, the County will:
(a) Convey by special warranty deed to the
City or its deaignee a tract of Lanc3 consisting �
of approximately 13,000 square feet west of ttie

4 (1) The approval of the mortgagees, Robert O. �

(2) The release of the County from any further -

obligation under the note and deed of trust
and assumption by the City of said obligation;
provided that the City of Aspen shall not amend '
the terms of the note without County approval
during the period in which the land is subject
to reconveyance fo the County pursuant to the
provisions of paragraph 4(c) (5).
(3) The reimbursement by the City to the County of
the sum of Ninety-eight Thousand Five Hundred
Fifty-three Dollars ($98,553.00)representing

(6) . It is acknowledged and agreed that this contract
t is entered into for the mutual benefit of the parties hereto.
It is £urther agreed that in the event that the provisions
of this agreement (except paragraph 3) are not .fully -
executed on or before June 15, 1982, time being of the
essence, then this agreement shall. be of no further force
and effect and all parties released from any further
obligation with respect thereto.
