�'r wherein it is agreed as follows: !
� 1. r:EA agrees to design, pro3uce, sell advertising for, pub- �

'�'� lish and print the 1962 Pitkin County Pair Program at EFA's cost.

�.f 2. In consideration of the above, the County agrees: :

(a) EFA shall have the exclusive right to oublish the -

��' the Pitkin County Fair Board, or any other person

C��'• (b) EFA shall retain from the net advertising(i.e., s�

(2) an amount equal to 20B of the costs of pro-
- duction as its commission. ��
It is agreed that the balance of the advertising proceeds �•
shall be due and payable to the County. EFA agrees to maintain ;;
records of advertising proceeds adeguate to allow verification of
EFA's and the County's shares of such proceeds. It is understood
and agreed that the County does not, by this agreement guaranty
advertising proceeds sufficient to cover the costs of publication

and EFA's co*_nmission and EFA assumes all risk with respect thereto. L,- :
It is further understood and agreed that EFA does not, by this
agreement, guaranty that sufficient advertising proceeds will be
received over and above its costs and commission so as result in
any revenues to the County.

�r. 3. EFA agrees to indemnify and hold the County harmless from �
and against any claims or loss arising from the production of the '

Fair Program.
4. EFA agrees that no written material shall be included �
within the Fair Program without the prior approval of a designated

--�� representative of the Pitkin County Fair Board. The Fair Board �:
� assumes all liability for any claims or loss arising from the �
content of ±he material that it approves pursuant to this section. '
.� 5. FFA shall have the exclusive right to cooyright any material

� published in the Fair Program, provided that this right shall be �
limited to articles, etc., as written, and not include ideas or �'
� concepts contained therein. �

6. The Pitkin County Fair Board shall assist in the promotion �
•. � of advertising sales.
