` ASSOCIATION (hereinafter referred to as "Eastwood").

W I T N E S S E T H:
TJkiEREAS, Eastwood has requested that the County accept the
� maintenance responsibilit3es for its road; and
��. WHEREAS, Eastwood is dil3gently pursuing the formation of a �
ltoad Improvement District and Public Dedication of its road; and
WHEREAS, Eastwood has requested that the County undertake winter
maintenance of its road on an interim basis; and

GIHEREAS, the County is agreeable to accept the maintenance

responsihility for the road provided that the road be reconstructed to
applicable County seandards and dedicated as a public right-of-way; and
W[iEREAS, the County is agreeable to undertake winter maintenance

on an interim basis since the Eastwood Road is part of an existing snowplow F'��:

�� route and can be maintained with a minimum amount of work. � `;��",-`

i` NOW, TAEREFORE, for and in consideration of the premises, =>�°

covenants and agreements hereinafter contained, it is agreed by and between k�'.

the parties as follows: i`�

1. Eastwood will diligently pursue the formation of a Road �.;.=

Improvement District and the Public Dedication of its road. �

2, Eastwood will upgrade its road to applicable County standards

and construct said improvements within a period of twelve (12) months. �^�'..
3. Pitkin County will begin and carry out routine winter'maintenance
on Eastwood Road immediately and continue said maintenance for a period of
six (6) months. Such winter maintenance shall be performed at the same
frequency as the County normally maintains similar County roads.
4. Eastwood hereby agrees to indemnify and save harmless the � :

County, and its officers, employees, and agents from any liability for claims � `
or loss arising out of the County's entry upon and maintenance of Eastwood
Road under the terms ot this Agreement. �
