• � CONTEXT OF AGREEMENT:

� A. The Board is a political subdivision of the State of Colorado,created by
� Article X3CVII of the Colorado Consritution,adopted at the November,]992 General Election.
The Constitution appropriates a portion of the net proceeds of the Colorado Lottery to the Boazd
and directs the Board Yo invest those proceeds in the State's parks,wildlife,open space and
recreational resources.

� B. ln 1994,the Board created a statewide grant program,pursuant to which
! eligible entities could apply for grants for Planning and Capacity Buitding Projects to which
Grantee responded with a detailed application(the"Project AppJication").
C. Grantee submitted a Project Application to the Board which contemplates
the execution of the Project entitled and described above(the"Project"),a copy of which is
incoiporated by reference and attached as Appendix A.

and a work program to be approved by the Executive Director of the Board pursuant to this •

� AGREEMENT ”

; The parties agree as follows: �
1. Grant and Project. The Boazd hereby grants to Grantee the sum not to exceed,
- $25,000,subject to Yhe terms of this Agreement. These funds shall be used by Grantee solely to
! complete the Project described in Grantee's Project Application as approved by the Board.
Grantee hereby agrees to use its best efforts to complete the Project.
2. Project scooe. The Project,Roaring Fork River Corridor Natural Heritage
Inventory,as described in the Project Application,will not be materially modified by the Grantee
- without the written approval of the Executive Director of the Board. In multi-phase projects this
Agreement only pertains to the identified phase of the Project,and not the Project as a whole.
i 3. Information to be provided unon execution of this Agreement. NO FLJNDS
WILL BE DISBURSED BY THE BOARD UNLESS AND UNTIL THE GRANTEE
FURNISHES THE BOARD WlTH THE INFORMATION REQUIRED BY THIS
+ AGREEMENT. Prior to execution of this Agreement,Grantee will submit the following
information to the Boazd's staff-

execution of this agreement and approving its terms and conditians(which will be attached to Yhe

b. A detailed Work Plan and Budget for this Project. Grantee hereby agrees to promptly ,a
submit ail material revisions to their Work Plan and Budget. As provided further
below,the Boazd reserves tiie right at any stage of the Project to withhold funding if `'
(i)modifications to the Project are so substantial as to make it,in the Board's •

reasonable judgment,substantially different in quality or kind from that approved by '�:�.,.
the Boazd,or(ii)there have been de[ays in the implementation of the Project which,
in the Board's reasonable judgment,make the Project impracticable;
c. Project funding which will(i)briefly identify each major stage or milestone of the :
Project,(ii)sef out the source,amount and anticipated date of each disbursement of :��'
funds for the Project,and(iii)show the Boazd payment with respect to the Project;
� and - "
� d. The payment schedule agreed between the parties is checked below:
O OPTION A: Payment on contract completion. FuII payment of the contract
amount will be made upon:submission of the information required in paragraphs 3 and 4.
�
� OPTION B: Progress payments. 50%paymereY upon submission of the
infotrc�ation required by this paragraph 3,including a signed copy of the grant agreement. In
. addition,25%wiil be distributed,upon submission and approval of a periodic progress report
�which will include an itemized expenditure report,copies of all canceled checks for the above
invoices,and a brief narrative describing project milestones). The fina125%of the grant award
wil]be withheld against all the requirements detaited in pazagraph 4.
4. Disbursement of Funds. Prior to the payment by the Board at the comple6on of k
_ the Project,the Grantee must provide written assurance to the Boazd that:
a. The Project has been substantiaily completed according to the work plan and
budget,along with Project Expenditure documentation and reports as noted above to support this
claim; _
j b. No material modifications or delays have been made or experienced(or
! the Boazd has been advised of the modifications or detays and has elected to continue to
i partieipate in the funding of the Project);
c. Matching funding has been received(or the status of efforts to secure
matching funding has been disciosed to Boazd staff and it has been found to be satisfactory);and
e. The representations made to the Board in the grant application continue to
be true(or,if there have been any material changes,the Board has been advised of such changes
and has assented to them).

5. Waiver. The Executive Director may waive one or more of the obligations in ' -

Grantee hereby assumes responsibility foz compiiance with all regutatory requirements in all
applicable areas,including but not limited to nondiscrimination,worker safety,local labor ;�"'
preferences,prefecred vendor programs,equal employment opportunity,use of competitive .}'�,:. '
bidding,and other similar requirements. To the extent permitted by Iaw,the Grantee will �;y ' '
' indemnify the Board from any liability for any failure Yo comply with any such applicable ''�` '

7. Nondiscrimination. During the performance of this agreement,the Grantee and °�
its contractors shall not unlawfully discriminate against any employee or applicant for ��;�
employment because of race,religion,color,national oregin,ancestry,physical handicap, yi�
medical condition,maritaI status,age or sex. The Grantee and its contractors shali ensure that
the evaluation and treatment of their employees and applicants for employment are free of such �!
- discrimination. ':�
8. Publicitv and Proieet Information. Grantee agrees:
a. Grantee shall acknowledge Boazd funding in all publicity issued by it
conceming the Project;
b. Grantee shatl cooperate with the Board in prepazing public information
pieces;and '
c. Grantee sha[I give the Board the right and opportunity to use information �
gained from the Project. �
9. Audits and Accountine. Grantee shall maintain standard financial accounu,
documents,and records relating to the use,management,and operation of fhe Project. The S
accounts,documents,and records related to the Project shall be retained by the Grantee for five �• •
(5)yeats following the date of disbursement of funds under this Agreement. The Board,or its ; '
designated agent,shal]have the right,upon reasonable notice to the Grantee,to audit the books

and records of Grantee which pertain to the Project and to the use and disposition of Board funds. (i
The Grantee may use any accounting system which follows the guidelines of"Generally
Accepted Accountiag Practices"published by the American Institute of Certified Public `�} `

]0. Withdrawal of Board fundine. The Board may withdraw its approval of funding �'
to the Grantee and cease funding of the Project if,in its sole discretion,it determines conditions .,
have occurred which fundamenta[fy change the expectations of the parties or which make the �,,
grant infeasible or impractical. �

I 1. Grantee's inabilitv to comnlete P�ect. If the Grantee determines with reasonable
probability that the Pmject will not or cannot be completed as reflected in the Project
Application the Grantee will promptly so advise the Boazd,and cooperate in good faith with
respect to altemative solutions to ihe problem before any further funds are advanced.
12. Governmental Immunitv. The following provision applies to the Board. This
provision may appiy ta the grantee if the grantee qualifies for protection under the Colorado �
Governmenta]Immunity Act,C.R.S.§24-10-101 et sea.The Parties by entering.into the instant '
y agreemeni,do not waive or intend to waive by any provision of this agreement,the monetary
limitations(presently$150,000 per person and$600,000 per occurrence)or any other rights,
immunities,and protections provided by the Colorado Govemmental Immunity Act,C.R.S.§24-
10-I01 et sea,,as it is from time to time amended,or otherwise available to the Grantee,its
successor,employees,officers or agents.
13. Liabili . To the extent permitted by Iaw,the Grantee shall be responsible for,
indemnify and hold l�armless the Board,its officers,agents and employees from any and all
, liabilities,claims,demands,damages or costs resutti�g from,growing out of,or in any way
connected with or incident to this Agreement,except for the gross negligence of wil(ful and
wanton conduct of the Board its officers,agents,or employees. Grantee hereby waives any and
all rights to any type of express or implied indemnity or right of contribution from the State of
Colorado,the Board,its officers,agents or employees,for any liability resulYing from,growing �
out of,or in any way connected with or incident to this Agreement.
14. Assignment. Grantee may not assign its rights under this Agreement without the
consent of the Board. �
15. Good faith. There is an obligation of good faith on the part of both parties,
including the obligation to make timely communication of information which may reasonably be
i believed to be of interest to the other party.

' 16. Appiicable Law. Colorado law applies to the interpretaYion and enforcement of
this Agreement.
17. Independent Contractor. Grantee is an independent contractor acting in its •
separate capacity and not as an officer,employee or agent of the Board.
18. Severabilitv. If any provision of the Grant Agreement,or t[ie application there of
is found to be invalid,the remainder of the provisions of this Grant Agreement,or the •
application of such provision other than those as to which it is found to be invalid,shall remain
in full force and effect. i'���

! Pitkin County, in cooperation with the Aspen Wilderness Workshop and the Audubon
j Society, proposes to conduct a Natural Neritage Inventory along the entire length
of the Roaring Fork River Corridor. We propose to combine efforts of professionals
; from the Colorado Natural Heriiage Yrogram with those of local volunteers from the �
Audubon Society to develop a comprehensive study of rare and imperiled plants,
wildlife, birds and natural communities along the River Corridor. This inventory
and assessment projecC is also multi-jurisdictional.

Pitkin County appreciates the opportunity to submit a requestto Great Outdoors Colorado �
for a planning project grant. We are asking GOCO for a grant of$25,OOQ to conduct a �.:':
' naturai heritage inventory along the Roaring Fork River Corridor. i"�:.

This is a unique project and is truly cooperative in nature. Formina a partnership with
Pitkia County on this request are two non-profit land conservation or�anizations,the
Aspen Wilderness Workshop,and the Roaring Fork Audubon Society Chapter. ' '
, The Aspen Wilderness Workshop(AWW)was formed Ihirty yeats ago with the intention
of preserving the inte�rity of wildemess lands around Aspen. The AWW has,since 1984,
been providing the U.S.Forest Service with air and water quality monitoring for the C
' wildemess areas around Aspen. They wiil assist Pitkin County with the coordination of
this project.
The Roaring Fork Audubon Chapter is prepared to offersignificant volunteer hours f'or the �

The Roaring Fork Valley is facin�growth and development issues,perhaps unparalleled
among sirrular mountain communRies.Adjace�t to the Roaring Fork River�s 5tate `
Highway 82,which happens to be the busiest two-lane highway in the country. The
30,000 vehictes per day that use Highway 82 far exceed the utilization of[ntetstate 70 in `
� western Colorado. Certainly this traffic volume is having impacts on na[ural communities ;
along the Roaring Fork River.
The biolovical diversity of this corridor has never beeo studied as an en[ire unitand this
project will provide data that will enhance planning from a waiershed perspective. The
only way to develop an overali management plan for the preservation of plant and anima! .
communities aiong the corridor is to bring together the many jurisdictions mentioned
above. I

The Roaring Fork River Corridor contains same of the most biologically diverse river �' '
bottomlands in the State of Colorado. From its headwaters at an elevation of 13,000 feet, y"
the River drops to 5,500 fee[of eievation at its confluence. The many different types ot y�
� naturai communities that comprise the Corridor have never.been studied a{ong the entire 55
� miie length. .
There has been a lack of ecological analysis in the"boom"years of 1990-1995,so the
impacts of growth and development on p(ant and animal communities have not been a
measured recently.There is concern that several natural communities,the Narrowleaf
� Cottonwood Riparian Forests,the Montane 12iparian Forests,and the Lower Montane �
- Wil(ow Carrs,are rapidly diminishino dne to growth pressures. Based on existing �,�'�M
' • information,The Co[orado Naturai Heritage Program(CNHP)esqmates that there are at
least 37 plants,animals,and natural communities that are rare or imperiled in Pitkin

The Roaring Fork Valley is one of the fastest growing communi�ies in Cotorado. (n
addition,it is a tourist mecca,home to wodd-class sl:i areas,the Maroon Bells,and the
renowned,gold-metal trout fishing wa[ers of[he Roaring Fork River. About three-fouRhs ',:.�
of alI Iand in the Valiey is publicly owned. This places a considerable amounf of arowth � '^
pressure on the remaining privately owned land.

Most of these lands have not been assessed for biological data. Critical habitat and natutal
communities are diminishing at an alarming rate and it is recognized amono the land -
manasement agencies that criUcal habitat is beino lost. The U.S.Forest Service believes .

impacLs on t6e flora and fauna of this cortidor.° This inventory will strive to�dentify what

This study will seriously improve existing biological and ecotogical information on the
Roarin;Fork River Comdor within Pitkin County,Eagle County,and Garfie[d County.
This information will be used to by the Pitkin County Open Space and Trails Board to
acquire pazcels of land which are biologically significant. The Baard will strive to work
with private landowners to educate them about their property and methods for preserving it
through conservation easements and fee-simple purchases. Other partners concerned with "
land acquisition will also benefi[from this study including the iVature Conservancy,the
Aspen Valley Land Trust,and the cicies or towns4ips of Glenwood Springs,Aspen,
Carbondale,aud Basalt.
The Audubon Society and the Aspen Wilderness Wor}:shop will use the data which is
eollected to produce a broc6ure focusing on techniques tandownen can use to protect and .

These agencies include the U.S.Forest Service,the Bureau of Land Management,and the
Colorado Department of Wildlife.These aoencies have indicated that this study will fieip to
fill the gaps existing in their data and will assist them in tveir overatl management plans for
preserving plant and animal species and wildIife habitat.
The data will be coordinated with the Colorado Natura!Heritaoe Prooram(CNHP). Many i-.`
agencies use CNHP includino the Colorado Department of Natura(Resources,the Division
of Wildlife,and khe U.S.Forest Service. The status of natural communities which are
identified as rare,imperiled,or of special concern by CNHP,or any other agency,will be
assessed in this study. Any communities which are unique to the Roarino Fork River
•� Comdor and the state will be studied so that protectiva measures can be taken to increase
their chance of survivat. This couid a(so be the basis of future requests to GOCO for land
acquisition or land protection projects.

- The goals of[his s[udy will be carried out over several years. Since this is the first time
much of the Roaring Fork River Comdor will be assessed,the first year of this study,to
be funded by this grant,will establish a database of which to build off of and compare to in '

be used to determine whether habitat has deteriorated or improved over the years and

environmental issues for the nast thirty years. :de I
� have focused on !�ilderness preservation, clean air, �
water quality and qua�ty, open space and caildlife. 4
Because of our concern about these� natural resources
• of the Roaring Fork Valley, cae feel there is an
immediate and critical need to document in a com- .
� prehensive �oay the flora and fauna of the corridor
' and their habitats. Aiinimal information exists at
. the present time about this ecosystem that eXtends . !
from Aspen to Glenwood Springs. In addition, develop- ;'�
ment is taking nlaee at an alarming rate throughout
_ ' � this entire corridor. Time is running out to determine
what species still exist. 'rThat bzrds, mammals, �lants,
fish, ve�;etation, etc. depend uoon this habitat.
?�e nezd this information in order to educate the
nublic and �specially the property owners �.ho live
there �aho are in a position to protect and �nhance
their sensitive land.
The Bureau of I.and 'tana,�ement has stated that �ve
! are losinp habitat and the corridor is becomint; fragrnented
by development. The residents of the valley also
reco�;nize this and are very interested and anxious to
join us in this educational and information project.

the Roaring Fork River corridor. The Town of Basalt is located at the confluence �
of the Roaring Fork and Fryingpan Rivers. We are sensitive to the condition of �`
the rivers and their riparian habitat. A major goal articulated by our elected '����`�.
officiafs is to initiate a river corridor management plan in 1996. We believe that !
an inventory of critical wildlife and plant habitat is fundamental to a river corridor �
management plan. ��
We would like to join in this effort and contribute planning resources of our own.
We have recent aerial photography of the river corridor in the mid-valley area $; �. _
from the Wingo Bridge area through Pitkin and Eag1e Counties info Gafield
County. This photography was taken in preparation for the river corridor
� management planning effort mentioned above. It will be most useful to an
inventory of critical habftat. In addition,we are interested in contributing staff �
planning resources to a natural heritage inventory in the mid-valley area.

the Great Outdoors Colorado Trust Fund for a pianning grant to fund the Roaring Fork Natural
� Heritage Inventory Project. The Nature Conservancy strongly supports this project to identify
ecologically significant resources in Pitkin and Garfield Counties.
' In Pitkin and Garfield Counties and other areas of Colorado that are experiencing intense
• development pressures,the lack oE current,complete and easy to access site-specific conservation data
hinders efforts to strategically plan for open space preservation and conservation. We believe that a
the Roaring Fork Natural Heritage Inventory Project wilf provide critical information to local
government planners,public Iand managers and private conservation organizations. The inventory
can be used by the counties to identify conservation areas and to make sound decisions about where to '
channel future growth. The counties can also use this inFormation to expedite the environmental
review process. Additionally,conservation organizations can use this information to guide their
� decisions about what private lands.to hetp protect.
As you know,the Conservancy is a science-based conservation organization. We rely on .
information from conserva[ion inventories to determine where we will initiate land conservation
projects. Having this kind of information in Pitkin and Garfield Counties available to us and others
will increase the effectiveness of all conservation efforts and heip us get the most biodiversity

� � Greac Outdoors Colora6o pianning grant appiication su�nitted by Pitkin�County,
i the Aspen Wilderness Workshop, and the Audobon Society to conduct a natural �
� heritage inventory oE the Roaring Fork River corridor.

� The BT,M manages several parcels of land along the Roaring Fork River and a
number of larger parcels immediately adjacent to the river. We rzcognize data
' deficiencies in our knowledge of the ecology of this area. Information
? gathered from this project would greatly enhance our knowledge of the
� biological communities along the river and assist us in planning fro:rt a
• watershed perspective.
! The BLM is an active proponent of ecosystem management strategies. The very
� nature of the checkerboard land status along Che Roaring Fork River wi12
; require cooperative efforts between public and private landowners to protect
t and manage the critical habitat of the corridor. This project marks a
S significant first step in working towards a unified, collaborative effort to �,
- � address the health of the watershed ecosystem. °�
