THIS CONTRACT,is made as oftl�e date last below sigaed between Pitldn Couuty hereitt refeired to
as "Cowity", and Valley Partuerslvp for 17rug Preveution hereafter referred to as "Contractor". ��'-
Whereas,Valley Partnership for Drug Prevention,a non-profit agency,is promoting healtliy lifestyles � �
dirougli the prevention and reductiou of substance abuse in the Roaring Fork Valley. ':?'
Now tl►erefore,it is hereby agreed that in consideration of the mutual undertakings and agreemeuts � "

Subject to its other provisions,the term ofthe Contract siial(be from ist day ofJanuary,1996,
through tUe 31st day ofDecember,1996.

1. County agrees to purchase and Contractor agrees to fiunish the following services �
- Lereinafter referred to as"Purcl�ased Services": �
Educational services reiating to substauce abuse awareness, multi-media
campaigus,busi�ess Vainwgs and pazent education lecture series. k
2. Couuty agrees to purchase these services for the following targeted groups: t-�

, The community of Pitkiu County.
3. Cowty agrees to pay as seivices are provided as follows:
$8,774 cash towards administrative cost. 'Ihe Couuty will pay contractor in
quarterly payments on the]ast day of March,June,September,and December.
The contractor will provide County with a Srst quarter report identifying tlie
criteria that will be used to establish performance standards. These '
performauce criteria will be evaluated against actual service nuuobers u� a �
writteu report by tUe contractor to be submitted to the County before the �
second and fowth quarter paymeuts.
; $9,344 in-ldnd conmburion is reimbursement for reutal expeuses in the Schultz
Health and Hwnan Services Buildiug pursuant to the lease. �
Tlie tota]amount of this contract shall not exceed$8,774 cash. I'

l. Strictly adliere to all applicable federal,state,and tocal laws or regulations(iucludivg ��. �.

2, Hold aud mauitain for the term hereofthe necessary license(s)as specified wider State
law which permits tUe performauce of die service(s)to be purcl�ased herein.
3. Shall maintain a slidi�g-scale£ee schedule for its services in order to accommodate low
� iucome individuals.

same.
7. Indemuify County aud the State of Colorado against auy liability aud loss against all
claims aud actious based upon or arising out of damage or iujury,inctuding death,to ,
persons or property caused or sustained in counection with iLe perforn�auce of dris `
� ; Contract or by couditions created thereby,or based upon auy violatiovs of auy statute,
ordinance, or regulaGon and tUe defense of any such ctaims or actions; maintaiu
ius�►rance in such types and amounts as are necessary to fiud tivs indemnity;provide
proof of such insurauce to the couuty upon demaud therefore.
� 8. Maintaiu se�vice program records, Sscal records, documeutation aud other records �
relevant to tlus Contract for a period of frve years. The above sUall be subject at all
� reasonable times to inspections,review or audit by Federal,State or County personnel,
and other persons authorized in writing by ttie County.
9. Provide the purchased services at ti�e locarion as sUown as the address of the
Contractor or wkerever is appropriate for that service widrin Pitldn Couaty.
10. Provide the service(s) descn'bed]�erein at a cost not greater thau charged to otl�ar

' witliheld at tke discretiou of the County until final audit. Incorrect payments to the
Coutractor due io omissiou, error,fraud,or defalcation shall be recovered&om the '�
Contractor by deductiou from subsequeut paymeuts under tliis Contract or otlier i
contracts betweeu ti�e Cowity and tl�e Coutractor, or by the County as a debt due to
ti�e County. Ttie waiver of any violarion shall not be coustrued as a waiver of any
other or subsequeut vioiation ofthis Contract or approgriate statutes or regulatioua
