� Provide informatiou and referral services,forms assistance,immigration ,
information aud application preparation,famiIy needs assessment,case
management,case mouitoring,case mediation,creation of clieut service ,�
availability through interpretarion/translation for other r.?�''

Responsibilities seminars for Latinos,development of cultural sensitivity,
conIIict mediation,and presentations to the Anglo commuuity on Latino
issues.

The Latino residents or employees of Pitkin County,

3. County agrees to pay as services are provided as follows: #
$13,185 cash towards administrative costs. The County will pay •
contractor iu quarterly paymeuts on the last day ofMarch,June, ' '
September,and December. The contractor will provide Couuty witii a first
quarter repart ideutifying the criteria that will be used to establish

Sectioa II.Contractor shall:
1. Strictly adhere to a11 applicable federal,state,and local laws or regulations
(iucluding County Procurement Code)tl�at have been or may hereafter be
establisLed.
2. Hold and maintain for tlie term hereof tl�e uecessary license(s)as specified uuder "
State law which pezmits the performance of tUe service(s)to be purchased herein. �
' 3. Shail maiutain a slid'mg-scale fee schedu(e for its services in order to accommodate
low iucome individuals.
, 4. Subconuacts utilized by the Coutractor shall Ue sabject to tLe requ'vemeuts ofthe
Contract as listed kere,a»d the Coutractor is responsible for the performance of
any subcontractor. '
5. Abide by all applicable provisions ofthe Title VI and VII ofthe Federal Civil
Rights Act of 1964,Section 504 of tUe Rehabilitation Act of 19?3,and Title XX
- oftlie Social Security Act of 1975 as revised.
6. Maiutain written requirements for safeguarding client information and comply with
the same.
7. Indemnify County and the State oFColorado against auy Gability and loss against
all clauns aud actions hased upou or arising out of damage or injury,including
death,to persons or property caused or sustained in connection with the
. perfoimmance oftlris Coutract or by conditions created thereby,or based upon any
violations of any statute,ordinauce,or regularion and tUe defense of any such
claims or actions;maintaiu insurauce in sucL types and amounts as are necessary to
find this indemnity. To fund iudemnification,Contractor must provide evidence of
tlie following insurance(namiug Pitkin County additionally insured)witl�in 10-30
days of execution of contract:
a. Statutory Worker's Compensation:

b. Couunercial General Liability
1) Bodily Iujury/Property Damage,
Combined Single Limit: $I,000,000
8. Maintain service program records,fiscal records,documentation and other records
reIevant to tius Contract for a period of five years. The above shall be subject at
aIl reasonable times to utspections,review or audit by Federal,State or County
personnel,and other persons authorized in writing by the County.

Sectiov RI.General Provisions:
L The Aarties to this Co��tract iutend that the relatiouslup between tUem �.:...��
contemplated by the Contract is that of independeni contractor. No agent,
employee,or servaut of Contractor shall be deemed to be au employee,ageni,or �
servaut of County. Contractor will be solely and eutirely responsible for its acts _
aud the act of its ageuts,employees,servavts and sub-contractors during tlie
performance ofthe Contract.
2. P�ymeut parsuaat to tlus Contract,if in County,Siate,or Federal funds,whetl►er
iu whole or ui part,is subject to aud contn►gent upon the contiuuiug availability
and appropriation of County fiu�ds for the purpose tUereof.
3. Tfus coutract constitutes the full and complete agreemeut of the parties and �.
supersedes or incorporates any prior written aud oral agreemeuts of tUe parties. In •
_ additiou,contractor understauds that no County official or employee,other than �:
the Board ofCounty Commissiouers acting as a body at a Board meeting,has
authority to enter into a contract or to modify the teivns of this coutract on beUalf �
of the County. Any such coutract nr modification to tlris coutract must be ni
writiug and be executed by the parties hereto. .
4. Either pariy shall have the right to terminate tiris Contract by giting the other party �;�_
ninety days notice by registered mail,return receipt requested at the addresses �
below fisted,effective upon mailing, Ifuotice is so given,this Coutract shall
ternainate on the expuatiou of tl�e tiurty days,and the Gability of the parties
hereunder for further perfonnauce of the terms of this Contract shall thereupon
cease,but perform their obligations up to the date oftermivation. The Couuty's
contact person for dus contract shall be the Human Services Director. Tiie
� Contractor's contact person for this coutract shall be tUe Asistencia Para Latinos
Project Director.
� 5. In the event t(ris Contract is termivated,fina!payment to the Coutractor may be
withfleld at tl�e discretion of the County until Snal audit. Incotrect payments to the
Coutractor due ta omission,error,fraud,or defalcation shall be recovered from
the Contractor by deducrion from subsequent payments under tivs Contract or
other contracts between the County aitd the Contractor,or by the County as a debt
due to t6e Cow�ty. Tise waiver of any violatiov shall not be construed as a waiver -
of auy other or subsequeat vio(aYion oftl�is Contract or appropriate statutes or
regulations.
