TEIIS CONTRACT,is made as ofthe date last below signed between Pitldn County l�erein re£erred to
as"County",aad Aspen Youdt Ceuter,uereafter referred to as"Contractor". Whereas,Aspeu Youth
Ceater,a private non-profii agency, is offeriug local a�►d visitiug youtti of the Roaring Fork Valley _
healthy,unique programs in a safe a�id supervised environment that is alcohol,drug and tobacco&ee,
and wi►ereas Pitkin County wishes to contract for provision ofthese services: � `
Now therefore,it is hereby agreed that in consideration of the mutuai undertakings and agreemevts - -
Itereina&er set fort6,the County and Hie Contractor agree as follows: •

Subject to its other provisions,the term of the Contract sUall be from ist day of January,1996,
duough the 31st day ofDecember,1996.
Section I. Counry SUall:
1. Counry agrees to purchase aud Contractor agrees to fiunish the following services hereivafter
referred to as"Purchased Services":
Provide iocal and visiting youfl�of the Roaring Fork Valley with programs that teach
life siolls, such as self-esteew, self-respect, respect for otLer people, leadership and
team buiiding.

2. Counry agrees to purchase thes�services for the foIlowing targeted groups:
Local and visiting youth ofthe Roaring Fork Valley.
3. Couuty agrees to pay as services are provided as follows:
- $3,500 to support operational uid progracnming costs.
Tl�e total amount ofdvs one-time contract shall not exceed$3,500 maximum.
T7�e rates paid above include all of contracior overhead and administrative cosTs in complying with
terms oftUis conVact.
4. The County will pay contractor m quarterly payments on tl�e last day of March, June, "
September, and Decembec The comractor will provide County witfl a first quazter report
identifj�ng the criteria tliat wiil be used to estabtish performance standards. 'I'tiese performauce

3. Shall maintain a sliding-scale fee schedule for its services in order to accommodate low ' 'r� `

9. Provide the purchased services at the location as shown as tLe address of the
Contractor or wherever is appropriate for that service witl�m Pitldu County.

1. 1he Parties to this Contract nitend that the relationsl�ip betrveen Utem contemplated by
@ie Contract is that of independent contractor. No ag�t, employee, or servant of
Contractor shali be deemed to be au employes, age�u, or servant of County. �"='
Contractor wi11 be solely and entirely respons�'bte for its acts and the act of its agaets, .� ,�
employees,servaats aud sub-coutractors during tl�e performance of die Contract. Z";?'~+
2. Paymeut pursua�it to this Contract,ifin County, State,or Federal fimds,wliether in ���:'
wliole or iu part, is subject to and conNugwt upon the continuing availabiliry az�d ;: '-
appropriation ofCaunty fuuds for the peupose tl�ereof. i=. `
3, T7vs contract caistitutes the full aud complete agreemeut of the parties aud sapersedes
or incorporates auy prior wiitten and oral agreements of tl�e parties. Iu addition,
contractor understands that no County official or employee, other tUan the Board of
Coueity Com�nissioners acting as a body at a Board meetiag,has authority to eater into '
a contract or to modify tite tenns of d�is contract ou behalf of the Couuty. Any such '
contract or modification to dus contract must be in wcitwg aud be executed by tUe ��'

4. Either party shati 6ave the right to termivate tlris Contract by giving the other pazty � '

listed,efleetive upon mailing. If norice is so given,this Contract shall terminate on the
expirariou of the tlucty days, aud the liability of the parties hereuuder for fiutUer t

wid�held at the discretion of tlie County uutii final audit. Incorrect payments to die
Gontractor due to omission, error,fraud, or defalcation shall be recovered from the
� Contractor by deduction from subsequeut payments under this Contract or otlier
• contracts between the County and tl�e Contractor,or by the County as a debt due to
, the Couuty. 17ie waiver of any violation shall not be construed as a waiver of any '
other or subsequent violation ofthis Contract or appropriate statutes or regulations.
