This lease agreemeut is made and e�itered into ou the lst day of January,1996,by and between ,�,
Commwuty Health Services,Inc.and the Couuty of Pitkiu iu the State of Colorado hereinafter referred �'`�`� '

Wliereas,from January 1,1996-December 31,1996,Community Health Services,lnc.desires to rent , .
an oflice space in the Schultz Heaith aud Huwan Services Buildiug approximately 2,313 sq feet at .

Whereas, the County is by statute authorized to provide basic az�d optional health services to the
residents ofRtkin County.
Whereas,Commwrity Healtli Services,Inc.is a certified public hea[th ageucy under technical program Y•.
direction o£tlie Cotorado Department ofHealtL and is qualified to provide said se�vices. '�.

. Now therefore,m consideration of the mutual covenauts and promises contained herein,the parties
agree as follows:
1. Period of Operation: The Counry hereby leases aud demises for the calendaz year 1996 to i�
Community Healtli Services,Ina tl�at area designated office F in the Schuhz Buildiug. Said �l
space shall be available at 8:00 a.m.,Monday,7anuary 1, 1996. Community Health Services,
Inc.will be prepared to vacate the office by 5:00 p.m on Tuesday,Llecember 31,1996,unless
a new lease Las beec►signed.
2. Re�airs and Maintena�ice: Diuing the period of this lease agreemeut Community Heahh
� Services,Inc.sUall maintain tlus ofiice m good shape and repair and retum it to tUe County in
� substantially the same condition received noimal wear excepted. 'Ihe Couaty sha]]provide
regular office cleaning Monday-Thursday.
3. Payment: 77ie reut for dte entire term for the space reuted by Commwtity Healfl�Services,
Inc.is$37,011,tiowever,the Couuty shall provide this amount as an in-kind contn'bution.
4. Govemin�I.aw; This lease agreement has been entered into in the State of Colorado,aud •
the validity,inte�retation and tegal effect of this ageement shall be govemed by the laws of
tLe State ofColorado. �

12. Community Heald►Services hereby releases and indemuifies the County&om any liability
for property loss or damage and persoual or bodily injury to the property or in conuection with
tl►e use,storage,movement or araiuteuance of the property provided that this indetn�ity st�all
not be considered to indemuify the County from damage or injwy caused by tUe willfid
misconduct of the County or its employees. To Snd indemnificatian,Contractor must
provide evideuce of die folIowing iusurance(naming Pitkin County additionally insured)
within 10-30 days of execution of contract: ��
