Tlus lease agreement is made and entered into on tUe I st day of January,1996,by and
between Valley Partnership for Drug Preventiou and tlie County of Pitkin in tl�e State of Colorado
I�ereinaRer referred to as t(►e"County".

Whereas,&om January 1, 1996-December 31, (99fi,Valley Partuers�up for Drug Prevention
desires to reni an office space in the new ScUuftz Health and Human Services Building ' �
approrcimately 584 sq feet at T16/sq ft per year totaling�9,344 for one year. '
! Wliereas,Valley Partnership for Drug Preveution,a non-profit agency,is promoring healtky
lifesry[es througL the preveution and reduction of substance abuse in the Roaring Fork Valley.
, Now therefore,in consideratiou of tUe mutua!covenants and promises coutained herein,the
parties agree as follows:
1. Period of Operation: The County hereby leases aud dewises for the caleudar year(996
to Valley Partnerslup for Drug Prevention that area desiguated office H in the SchulYz
Building. Said space s1�a11 be available at 8:00 a.m,Monday,January 1, 1996.Valley
Partnership for Dmg Preventiou will be prepazed to vacate the office by 5:00 p.m on
! Tuesday,December 31, 1996,unless a new lease has been signed. �
� 2. Repairs and Maintenance: During the period of tius lease agreement Valley
Partnership for Drug Preveution shall maintain tivs office iu good shape and repair snd
retum it to the Couuty in substantially the same condition received normal wear excepted.
, . Tlie County shall provide regular office cleaning Monday-Thursday.

Aivm�ressPrejec�is$9,344,however,tLe County shall provide tltis amount as an in-kiud
contribution.
4. GoverninE L2W: This lease agreement has been entered into in the State of Colorado,
and the validity,intetpretation and Iegal effect of this agreemeut shall be govemed by tl�e
laws of the State of Colorado.
5._Non-Assi�unent: This leasa agreement and the rigUts arising under it shall not be
assigned or transferred by Valley Partnerslvp for Drug Prevention.

7. Misceilaneous Services: All other services,fax,copier,etc.will be charged to the
Valley Partnership for Drug Preveiition at tl�e rate deterwined for all teuants of tlxe `',�

8. T6e Valley Partnersirip for Drug Prevention agrees to undertake its activities in die . �
leased premises in a manner wluch will not interfe�e witU otker tenants and activities in the
building.
9. Tl�e County shall supply heating and electricity to the leased premises at no additional Y. �
cLarge.
10. In the event tLe buiiding or leased premises become damaged or untenantable for any ,
� reason duriug the tertn herea�the County s6all have tbe rigUt to declare tLis lease
terminated and require Valley Partnerslup for Drug Prevention to vacate the premises,
whereupon t[te parties shall Lave no fuRher obligations liereunder.
11. Maintenance avd cleaving shall be the respousibility of t]ie County witli geueral o�ice
clea�ung(vacuum�ug and trash removal)Suaday-Thnrsday evening,annual catpet
cleauiug aud s�e'^mt annua]window cleaning.
� 12. Valley Partuers}vp for Drug Prevention hereby releases and iudeumi&es tl�e County
from any liability for property loss or damage and persoual ar bodily injury to tlie properry
or in connection with the use,storage,movement or maintenance or the property provided
� tt�at tius iudeuuuty shall not be considered to indemuify the County from damage or iujury
caused by the willful misconduct of the County or its employees. To find indemni5carion, �
Contractor must provide evidence of tLe following insurauce{naming Pitkin County '
� � additioually insured}within 10-30 days of execution of contract:
a. Sta[utory Worker's Compensation:
1} Colorado statutory miuimums
� b. Commercial General Liability
' 1) Bodily Injury%Property Damage,
� Combined Single Limit: $1,000,000
c. Endorsemeuts:
1) Compreliensive Form(All risks)
2) Premises/Operations
3) Broad Form Property Damage
4) PersoualInjury
13. This agreemeut may be terminated at any time for any cause by either party by 30 day ,
writteu notice to tiie otUer party at the addresses set forth below. ,
14. IY shall be tlie responsibility of Valley Partnerslup for Drug Prevention at its own sole
cost and eacpense,vuit[uu five days after the expiration of this Agreemevt,to remove oflice
equipment from the premises. Auy equipmeat uot removed withiu this period of time s6aU
be conclusively deemed to be abandoned by the Vailey Partnership for Drng Preventiou
and shall become the property of the Couvty. � �-
