1. Pitkin Count a Colorado home-rule count ��r�

- sponsor and operator of the Aspen/Pitkin County Airport (Sardy :,:
Field), located in the vicinity of Aspen, Colorado, and has the <t�
authority to regulate commercial activities and to lease and :;q; � `
license space at the Airport, pursuant to, inter alia, 1973 C.R.S. '
41-4-101 et sea•, 30-35-202, Title IV of the Pitkin County Code, � '.
and Section 8.7 of the Pitkin County Home Rule Charter; and •�r
2. Pitkin County desires to enter into a Contract Agreement �a �
with the Aspen Chamber Resort Association (ACRA) for the purpose o£
providing Guest Services at the Aspen-Pitkin County Airport, under +
the ter�ns and conditions of the Contract Agreement attached hereto �`�
as Exhibit "A"; and
3. On the recommendation of Staff, the BOCC finda that the
Contract Agreement ie in the best interest of the County, and its �
guesta.
THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS
OF PITKIN COUNTY, COLORADO:
Section 1
The Chairperson, or Vice-Chair of the Board of County
` Commiesioners is hereby authorized and directed by the Board of � �
County Commissioners to sign this Resolution, and the Contract 4' •
�' Agreement which are necessary to execute the Agreement Dated

WHEREAS, Che County and the ACRA desire to provide far '

TSE COUNTY'S OSLIGATIONS ARE AS FOLLOWS: I
1. To provide the ACRA access to an information desk in the ` �
arrivalsJbaggage claim area of the commercial Cerminal � �
(aCtached as Exhibit "A"), and all infarmational and
directional signs, which in the sole discretion of the r
Director of Aviation may be necessaxy therefore, inside and
outside the commercial terminal building; `

2. To provide a public address and paging system with access '
throughout the terminal building, and a telephone system with
three (3) dedicated lines; �t€., .

;,;� 3. To provide four (4) hand-held transceiver radio sets and ,
charger units, with one {1) dedicated Airport frequency and "
' one (1) County contact frequency; . E.

4. To allow the ACRA employees provided for in this Agreement �' �
:'.; non-exclusive use of all public facilities located at the -�
" terminal;
5. To provide at least one (1) person from the County who shall �,� �
, � act as Che County's authorized representative ("point-of- �
� contact") responaible for carrying-out all County obligations, � �-
' and assuring ACRA compliance with obligaCions set fozth within
this Agreement. Airport management staff and the Pitkin �
County Sheriff's Department shall be reasonably available to i'� „
provide support and assistance to ACRA employees when �?{
„ necessary, especially in the case of emergency and civil .a�, ��

TFIE ACRA'S OHLIGATIONS ARE AS FOLLOWS: '

1. To provide scope-of-work and services as follows (within the ` �'�
' reasonable limitations of staff availability) : a;.}- :

a. To provide staff for the airport information desk for the
purposes of: answering traveler questions, providing +
information and directional assistance, answering .1`}
telephones, and providing public announcement/paging .
services; '
Information assistance shall include, but not be limited
to: information on airline schedules, airline delays •�
, � (when applicable), availability of ground transportation
to and from the airport, baggage services and deliyery,
lodging accommodations, lift ticket and snow condition
information, and other miscellaneous information
pertaining to tourist amenities and activities in the .
Aspen/Snowmass area;

b. To provide staff to circulate within the terminal ,� , ''
�. building for the purpose of answering traveler questions, � i '
�� providing information and direction assistance, and •

' c. To provide staff to be stationed at the "arrival" doors
� ! during air carrier deplaning operations to meet and greet � �;

� d. To be observant for those persons who may require medical �
' assistance and to call for appropriate medical assistance �
_ either at that person's request, or as a result of an

a. Promote among each other and maintain professionalism in ',�
all job aspects while engaged in Guest Services �,,�., , -

b. Not engage in any manner in disputea or conflicts with ,� • .n,
airport travelers, the general public, building tenants, r/�. .,
or other commercial vendors; ;,� . •

c. Be friendly, courteous and helpful to all airport t

d. Be responsible in the initiation of help and asaistance � '
to all airport travelers and the general public to the
greatest extent possible; ��

� to maintain appropriate personal hygiene and appearance r :.�

suitable for a world-renowned, first-class resort;

input from, the Director of Aviation. ACRA employees

approved by ACRA supervisory staff; '

g. Be required to maintain the security of the airport �
manager's office when being used by ACRA employees, and '

3. To provide no leas than ten (10) total employees for the
Airport Guest Services program, with adequate supervision.

Supervisory employees shall be responsible for aupervising the � w:.
work and performance of all ACRA employees during each �

7. To be solely responsible to compensate and provide benefits ,�, :
for ACRA employees provided for under this contract, based on ,,d( •.

e. ACE2A (including, by definition here and hereinafter, its '':`w.:,
officials, employees, agents and representatives, subcon- �� :
- tractors and suppliers), shall and hereby does release, dis- �'�.
' charge, indemnify and hold harmless the County of Pitkin and
� its officials, employees, agents and representativea £rom and .�
• against liability for any claim, demand, loss, damages, penal- �`�
ty, judgment, expenses, costs (including costs of investiga-
tion and defense), fees (including reasonable attorney and �
expert witness fees) or compensation in any form or kind �•
whatsoever for any bodily injury, death, personal injury or
property damage arising out of or in connection with any
negligent act, intentional act, error or omission by ACRA, and !��
for any aonsequential liability alleged to accrue against the �-"
County on account of ACRA's acts, errors or omissions; pro-
vided, however, that such indemnity shall not be construed as
an indemnity for bodily injury or property damage arising from
the sole negligence of the County or its employees.

9. To provide workman compensation insurance in the 2imits ,�
required by law, commercia], liability insurance, personal � ; •
injury, and property damage insurance with limits of at least _
''±. $1,000,000 per occurrence for public liability, and $1,000,000 ,
;�►_`i £or property damage. Satisfactory evidence of all such
insurance in the form of a certificate of insurance must be
;j . provided to the County. The certificate of insurance shall i
:I name Pitkin County as "additionally insured" and shall contain
� a provision that coverage afforded under the policies will not :. ;
be canceled unless at least ten (10) calender days prior , :•' .
� written notice is served to the County by certified mail.
' � 10. To provide, for approval by the Director of Aviation, a budget
for the term of the Agreement. ��'
