AND MELLOW-YELLOW TAXI COMPANY

THIS AGREEMENT is made this 9th day of March, 1981, by and
between the Board of County Commisisoners of Pitkin Countv Coloradp,
_ __ (hereinafter referred to as "County") and Mellow Yellow Taxi Company, �
(hereinafter referred to as "Contractor").
WITNESSETH:

6VIIEREAS, Contractors are in the business o£ providing taxi service
to the community in Pitkin County, and �

WHEREAS, Contractors desire to aid the County in providing a
Dial-A-Ride service to senior citizens, and
WHEREAS, the County desires to facilitate the Dial-A-Ride
�.
service for senior citizens, �
? ; NOW, THEREFORE, in consideration of the mutual covenants and '
�,=�; agreements made herein, the parties agree and covenant as follows: �

1. The Contractor will provide a 24-hour "Dial-A-Ride" call
�
and demand service for passengers 60 years of age or over
f
and handicapped persons accozding to the attached "Dial-A �
�
Ride Guidelines." 3
2. In consideration of the performance by Contractor of the ;
�
services to be rendered as described above, the Contractor �
will submit an invoice to the County every month Por the
fu12 amount of the above describad services not to exceed ; ,
�
$200.00 (two hundred dollars) per month.
3. Before the lOth of each month, the Contractor shall submit

to the Pitkin County Community Center an invoice (not to
exceed $200.00} for services performed during the previous
�
month which is based on the rates and terms specified on ; �
the attached "Application for Contract 1981 for Dia1-A- 1 �
Ride Service."

4. The period of performance of this contract shall be fram
March 9, 1981, to December 31, 1981. �

� 5. The Contzact may be terminated with or without cuase
by the County upon thirty (30) days written notice to
Contractor.

� 6. Contractor shall maintain complete and accurate books,
records and documents concerning the actual time devoted

ta this contract. All records, documents and materials
developed durinq the course of this contract shall be made �
available to the County.
7. Contractor shal.l peratit the County to inspect and audit all
, data and records of Contractor relating to his performance +

under the Contract. '

8. No member, officer, or employee of the County or of a local i

� public body during his tenure or one year thereafter shall 4
have any interest, direct or indirect, in this contract ?
° or the proceeds thereof. �

: 9. In connection with the execution of this contract, Contractor -�
�!'' shall not discriminate against any employee or applicant for �

� , employement because of race, religion, co2or, sex or national
�� origin. Contractor shall take affirmative action to insure �

that applicants are employed, and that employees are treated
during their employment, without regard to their race, �
religion, color, sex or national origin. Such actions shall ;
include, but not be limited to, the following: employment, �
,.. upgrading, demotion, or transfer; recruitment or recxuitment
advertising; layoff, or termination; rates of pay, or other � �
�� forms of compensation; and selection £or training, including
apprenticeship, ;

10. Contractor shall obtain and maintain in force throughout the
� period of the contract insurance to cover all liability and

claims which may arise out of the Contractor's performance �
of the contract; and Contractor agrees to indemnify and hold �
- Pitkin County harmless £rom any and all claims or losses

- arising by reason of this agreement or Contractor's performance �
