THIS AGREEMENT is made this 9th day of March, 1981, by and
between the Board of County Commissioners of Pitkin County, Colorado, � .

(hereinafter referred to as "County"} and Hy-Mountain Transportation,

Inc., (hereinafter referred to as "Contractor") .

WITNESSETH:
�WHEREAS. Contractors are in the business of providing taxi service �
' to the community in Pitkin County, and �
WHEREAS, Contractors desire to aid the County in providing a
Dial-A-Ride service to senior Citizens, and �.
WHEREAS, the County desires to facilitate the Dial-A-Ride '
service for senior citizens, �

, NOW, THEREFORE, in consideration of the mutual covenants and � �,-{-

#� agreements made herein, the parties agree and covenant as follows: ?
� 1. The Contractor will provide a 24-hour "Dial-A-Ride" call

and demand service £or passengers 60 years of age or over

and handicapped persons according to the attached "Dial- �
A-Ride Guidelines."

2. In consideration of the performance by Contractor of the i

services to be rendered as described above, the Contractor
� will submit an invoice to the County every month for the , -

c: full amount of the above described services not to exceed
$200.00 (two hundred dollars) per month.

3. Before the lOth of each month, the Contractor shall submit F
to the Pitkin County Community Center an invoice (not to
� exceed $200.00) for services performed during the previous �

month which is based on the rates and terms specified on the �
- attached"A�plication for Contract 1981 for Dial-A-Ride > �

4. The period of performance of this contract shall be from '

�� 5. The Contract. may be terminated with or without cause
by the County upon thirty (30) days written notice to
Contractor.
6. Contractor shall maintain complete and accurate books,
records and documents concerning the actuaZ time devoted
to this contract. All records, documents and materfals �
_ ° developed during the course of this contract shall be made
available to the County.
� 7. Contractor shall permit the County to inspect and audit a1Z
data and records of Contractor relating to his performance
� �
under the Contract. �s
• 8. No member, officer, or employee of the County or of a local
public body during his tenure or one year thereafter shall �'
have any interest, direct or indirect, in this contract �
� or the proceeds thereof.
� 9. In connection with the execution of this contract, Contractor �

� shall not discriminate against any employee or applicant for '+_
---•�!*. �
# . emp2oyment because of race, religion, color, sex or national
� origin. Contractor shall take affirmative action to insure �

that applicants are employed, and that employees are treated
during their employement, without regard to their race,
religion, color, sex or national origin. Such actions shall �
include, but not be limited to, the followinq: employment �

� upgrading, demotion, or transfer; recruitment or recruitment :

"" advertising; layoff, or termination; rates of pay, or other
forms of compensation; and selection for training, including '�
apprenticeship. ?
10. Contractor shall obtain and maintain in force throughout the �

period of the contract insurance to cover all liabi2ity and
i� claims which may arise out of the Contractor's performance +
of the contract; and Contractor agrees to indemnify and hold �
• Pitkin County harmless from any and aIl claims or losses arising ; �
by reason of this agreement or Contractor's performance ' ' �
