THIS AGREEMENT made and entered into this 30th day of
'�` March, I961, by and between THE BOARD OF COUNTY COMMISSIONERS �

OF PITRIN WUNTY, COLORADO (hereinafter referred to as "County")
and JAY R. KUHNE, and JAY R. KUANE d/b/a JAY R. KUHNE AND i_

` ASSOCIATES OF NEVADA, (hereinafter referred to as "Kuhne")o-
WITNESSETH:
WHEREAS, certain disputes exist between the County and Kuhne
` regarding the use and development of land situated in Pitkin County, �
• Colorado, and known as the Silverking Apartments. These disputes are
currently the subject of litigation in Kuhne vs. Pitkin County, •
� consolidated Civil Actions No. 78CV209 and 78CV210 ("the Kuhne case"),
pending in the Bistrict Court in and for the County of Pitkin, State
� of Colorado, and
�

��`• WI�REAS, the parties wish to resolve all disputes and to terminate
?�;

� _' the Kuhne case and to do so on the terms set out in this Agreement.

� �: NOW, THEREFORE, in consideration of the mutual benefits to be
`� derived herefrom it is agreed by the parties hereto as follows:
1. Definitions
��: The following define several terms used in this Agreement;
(aj "County��shall mean Pitkin County and all of its
' administzative and legislative bodies, including the
y Board of County Commissioners of Pitkin County.
`' (b) "Housing Authority" shall mean the Pitkin County Housing

�r;, Authority, a Colorado non-profit corporation.
w; (c) "Silverking Apartments" or "Silverking" shall mean the
(approximately) sixteen (16) acre parcel described in '
• y Exhibit "A", consisting of Phases I, II, III of the
Silverkinq Apartments, and aIl the buildings and �
� improvements located on said real property. �

(d) "Phase IV" shall mean all that land described in i
Exhibit "B" consisting of (approximately) thirteen and
one-half (13.5) acres (but excluding the site of the Tri-Co � �
of£ice building; of approximately one (1) acre). �

described in Exhibit "C" but excluding land under
lease and option to Smuggler Racquet Club, Inc. and
described in Exhibit "C-1".

2. Sale of Silverking Units i
The County agrees to grant final plat approval or a
c
� ' subdivision exemption for the condominiumization of the
Silverking Apartments, the same to be available for sale
without restriction, condition, or limitation provided that:
(a) Kuhne sha11 dedicate to the public that segment of Lone
r? Pine Road lying within the Silverking Apartments; provided r# .

_ that Pitkin County need not undertake maintenance of
the same until it shall agree to do so by subsequent
resolution of the Board of County Commissioners.
(b? Kuhne shall provide interior, exterior and site improve- �
ments to the Silverking Apartments in an amount totalling t

�" - not less than 3.8 million dollars. Those improvements >
�
� •,` shall be made before Kuhne shall have closed on more �
� �': �
�;_ than 143 units from Phase I and III of Silverking. ;

(c) All units shall be sold subject to a covenant prohibiting

the leasing of any unit for a term of less than six (6)
y
months (with no more than two (2) short term tenancies
per year) and specifically prohibiting the assignment
of the lease, or subletting o£ the unit, in violation of
. this provision. For purposes of this paragraph (2) (c) , ;

a "short term" tenancy shall be one not exceeding two (2)

';: weeks in duration. The covenant shall run to the benefit .
- oP (and be enforceable by) the County. �

`-' (d) The provisions of paragraph 2(c) notwithstandiag, the units

may be leased for periods exceeding two weeks to students �
and performers who are participating in local programs `

conducted for educational and artistic purposes.

• (e) Phase II of the Silverking Apartments shall be sold by !
Kuhne to purchasers under restrictions imposed by the �
Housing Authority. The purchasers sha11 be solicited and 'r

selected by the Housing Authority (pursuant to mandatory �

� Housing Authority a right of first refusal, effective
until June 1, 1982, to purchase any or all such units at �

equal to the difference between the number constructed (

ICuhne shall provide for the donation to the County (for any

the provisions of Section [A] [V] of the Znternal Revenue
Code) of Phase IV and Parcels D, E and F (except for '.
the land under lease and option to Smuggler Racquet Club, Inc_) .
' and all development rights accruing thereto on or before
December 1, 1982 to the County free and clear of all liens
and encumbrances, whatsoever, except for those that do not �
render title unmerchantable. Kuhne shall provide title �
insurance (at his expense) in an amount equal to the market t'•

� value of the conveyed lands. +

4. Development of Lands :
Ruhne may undertake to acquire the necessary approvals and -

financing for, and construct price-controlled rental units �
�F on Phase IV and Parcels D, E and F under the foilowinq 1�
--'�.� terms and conditions: `

(a) The ultimate number, type and phasing of units to be ;
� � {
E constructed by him shall be determined by the Housing
Authority; provided, however, that no fewer than 217
� units shall be built on or before December 1, 1982.
(b) Kuhne shall initiate and pursue all land use, building,
� utility and other approvals and comply with a11 �`
. � :
conditions thereof, provided, however, that the County
. :
shall assume the cost of any off-site improvements j: �

(except utility extensions which shall be a cost of
development) imposed as a condition of such appravals. �
(c) Kuhne shall provide the units at his cost (exclusive of
land costs). His cost shall consist of those items
allowable as developers' costs (exclusive of land ? �
costs) under standard practice in HUD forms 2013 and 2264. i
� Kuhne shall be bound by these limitations whether or not i �

HUD financing is procured for the construction of those i

� (d) In oxder to effect the purposes of subsection (c),

- I{uhne agrees (i) to make available to the Housing
Authority at any time any and all information pertaining
� to the cost and development (ii) and to designate the
Director of the Housing Authority as co-project manager
for the development.

� (e) Kuhne agrees to cooperate �ith the Housing Authority
(when developing Phase IV, Parcels D, E, and F)with
the p2anning and development of adjac>nt County owned
�� or controlled properties. `

(f) Upon completion of construction,the improveineitts
. ;
(exclusive of the land) constructed by Ruhne shall remain
in his ownership; and he may, at his election, manage
the improvements for a reasonable fee subject to the terms

��, and conditions of development approvals, if any. i

{g) Kuhne shall submit a general submission application prior

_r'�%`=. to July 1, 1981 (or as soon thereafter as possible) and ',

In the event the general submission or any necessary subsequent
'` approvals shall be denied, then, in that event, Kuhne shall

have no further obligation or right under Section 4 of this

` 6. Mvtual Easements; Utility Taps

(b) road access over Parcel F (excluding Iands under lease
and option as described in paragraph 1(e)); and
(c) road access (not to exceed 30 feet in width) to Lot 6 of

the Ruby Subdivision and the tract commonly known as the !
_ Hyman Property.
Said easements shall be granted on or before December 1, 1982. ,
In the event the County shall so reguest, Kuhne shall grant re-
vocable licenses for such purposes prior to the date of
conveyance of the easements. C�
� In addition, Kuhne agrees that the County or its nominee or

designee may tap into, without consideration and to service any
' lands, any and all water, sewer and other utilities owned by
�� Kuhne which currently service the Silverking Apartments. ti
7. Miscellaneous Provisions �
_ The parties further agree: �

#� (a) Ruhne warrants that he has the legal power to perform i
� •: all that is required of him by this Agreement. '

;:; (b) Upon satisfaction of alI terms hereof, the parties waive :

any and all rights and/or claims they may have by reason

.' of the May 13, 1971 Agreement between Top of Aspen, Inc.,
�t'r and the County of record at Book 255 Page 540 of the records

` of the Pitkin County Clerk and Recorder.
• (c} Upon execution of this Agreement the parties agree to (i)

:;; file such papers as are necessary to dismiss the Kuhne case t
r;;; with prejudice and without costs; and (ii) to request of

the Court that previous orders of the Court be withdrawn,
:f' including the decision and order dated November 7, 1979.

necessary to effect the transfers to the County o£ interests i

(e) The terms of this Agreement shall bind the parties and �
