F. In-�corn-oration of Provisions. The Consultant will include
the provisions o Yaragraphs A through E i_n every sub-
contract, including procurements of materials and leases

will take such action with respect to any subcontract or
procuremeat as the State or the FHWA may direct as a
means of enforcing such provisions including sanctions
for aoncompliance; provided, however, that, in the event -
" the Consultant becomes involved in, or is threatened
� with, litigation with a Subconsultant or supplier as a
result of such direction, the Consultant may request the
State to enter into such Iitigatiori to protect the in-

� S�CTION 10. DISPIJT�S
A. Except as otherwise provided in this contract, any
• dispute concerning a question of fact arising under �
this contract which is not disposed oE by agreement
shall be decided by the Chief Engineer of the Division
of Highway�, The decision of the Chief Engineer
shall be final and conclusive unless, within 30 days
after the date of recaipt of a copy o£ such written ` �
- � decision, the Consultant mails or otherwise £urnishes �
to the State a written appeal addressed to the
Executive Director of the Department of Highways. In
connection with any appea2 proceeding under this clause,
the Consultant shall be afforded an opportunity to be
heard and to offer evidence in support of its appeal.
+ Pending final decision of a disnute hereunder, the Con-
sultant shall proceed diligently �aith the performance ��
� of the contract in accordanc= with the Chie� Engineer's t
, decision. The decision of the Executive Director oz !�

of such appeals shall be final and conclusive.

B. This disputes clause does not preclude consideration
of questions of law in connection with decisions pro-
vided for in Paragraph A above. Nothing in this con- �
} � tract, however, shall be construed as making final the ��
decision o£ any adninistrative official, representative, �
or board on a question of law. ;
.y SECTION 11. SUBCONSULTANTS. The Consultant may retain Subconsultants on ����
�i'� an "as required asis, provided that the Subconsultants selected and the :i�
#c{ rates to be paid are given prior written approval by the State. AI1 sub- ;';
� contracts, exceeding $10,000 in cost, shall contain the provisions in-
� i� cluded in this Appendix A. The cost to the State for Subconsultants shall .��
!j be in amounts equal to the actual allowable costs paid to the Subconsultants
and shall not exceed the amounts as stated in the Consultant's accepted
�I proposal.
SECTION 12. ADJUSTMENT TO CONTRACT PRICE. In conformance with applicable
State and Pederal laws, the c,rigiaal contract gric� ar,3 any a�ditions �
thereto shall be adjusted, within one year follocaiag the end of the con-
tract, to exclude any significant sums that the Executive Director of
the Colorado Department of Highways determines that the contract price
had been inereased 3ue to inaccurate, incomplete or non-current wage
„ rates and other factual unit costs.
SECTION 13. RELEASE OF INFORMATIOV. A11 reports, drawings, plans, data, •
studies, memoranda, coulputation sheets and other documenCs assembled by,
prepared by, or furnished by the Consultant in coanection with this con-
tracC, shall be the property of the State and shall be available to the
State, without restriction. Copies of said documents may be retained by
the Consultant, but shall not be made available to another individual or
organization without the prior written approv.al of the State.
SECTION 14. IDGNTIFICATION OP DOCUMENTS. All final reports completed as
1 a part oF this contract, other t an those exclusively for internal use by +
the State, shall carry a notation on the front cover, title page, or I
title block identifying Colorado Uepartment of Highways. According to a
format specified by the State, credits will be given to U.S. Department }
