� 1.. Pitkin County, a Colorado home-rule County, ie the owner,
r sponsor, and opezator of the Aspen-Pitkin County Airport (Sardy •t7��`:-
� Field) located in the vicinity of Aspen, Colorado, and has the 4`� �
authority to enter into contracts at the Airport, pursuant to, � `
inter alia, 1973 C.R.S. 30-11-017 (1) (aa) et sea•, Title IV of the �
Pitkin County Code, and Section 8.7 of the Pitkin County Home Rule "c:�
Charter; and 'i,•
2. The County wiehes to contract for the installation of a
monitoring well, abandonment of an existing well, and soil boring i�� ,
work; and
' � 3. The County has conducted a competitive selection process, `
pursuant to the Pitkin County Procurement Code, to select the
lowest responsible Bidder with whom to enter into a Contract
Agreement for the work to be accompliehed; and ;� •

4. Layne Environmental Services, Inc., of Denver, Colorado, was
the lowest responsible Bidder for the project; and ,
5. On the recommendation of staff, the BOCC finds that the
approval of a Contract Agreement for the referenced project is in
the best interest of the County; �'

installation of a monitoring well, abandonement of exisistin�well, hereinafter calied the E' '
PROJECT,in accordance with the terms and condi6ons outlined in the Bid Documents and the p
� associated Plans and Specifications. � ,; ,

NOW, THEREFORE, the County and the Contractor, for the consideration
- hereinafter set forth,agree as fotlows: �
i. THE CONTRACTOR AGREES to fiimish all the necessary labor,
materials,equipment,tools and services necessary to complete in a workmanlike manner ali tasks �
� required for the completion of 2he Project,in strict compliance with the contract documents herein k
mentioned,which aze made a pazt of this contract � '�
a CONTRACTTIMEANDLIOUIDATEDDAMAGES.Workunder �
this Agreement may be commenced by 7/17/95 and shall be completed within 30 working days F
after actual start date,but in no event shall be completed no]ater than September I5, 1995 . '
Contractor hereby agrees to pay County Liquidafed Damages in the amount of$ n/a per
calendar day for each day or part of a day the Project is not competed by the completion date '
. here established.
b. AVIATION FUEL FACILITY. The Contractor acknowledges that '� •
the work azea is located in the vicinity of the aviation fuel facility,and agrees that the Contractor
�' - will not impede access to or the operafion of the aviation fuel facility without prior approval�of
' the County at least 48(forty-eight)hours in advance.
c. SLTB-CONTRACTORS. The Contractor aa ees to bind every sub- + j
- contractor by the terms of the Contract Documents. The Contract Documents shall not be r
construed as creating any contractual relationship between the sub-contractor and the County. �-

• 4. AUTHORITY AND RESPONSIBILITY OP THE DIRECTOR OF I
AVIATION: All work shall be done under the general supervision and direction of the
DIRECTOR OF AVIATION or his designee, the Projeot Mana�er. The DIRECTOR OF �
AVIATIONshall decide any and all questions which may arise as to the quality and acceptability ;
and materials fumished, work performed, rate of progress of the wor[c, interptetation of the !
� Contract, change orders(within the limits of his authority) and all other questions as to the �
compliance with the Contract on the part of the Contractor.
� ' S. SUCCESSORS AND ASSIGNS. This Agreement and all of the ,"%
� covenants hereof shall inure to the benefit of and be binding upon the County and the Contractor �
respec6vely and theu agents, representatives, employees, successors, assigns and Iegal �
` representatives. Neither the County nor the Contractor shall have the right to assign,hansfer or �
sublet his interest or obligations hereunder without the written consent of the other party.

arising out of such termination on orders or

or reimbursable in whole or in par� in accordance with
this Contract.
D. Termination Payment. After the effective date of a notice
of termination for the convenience of the County, the i_ '
Contractor shall aubmit to the County his terminafion -

"� the provisions in "Method of Payment," including costs
incurred and profit to the date o£ termination (but not
future profit, which shall not be paid), and costs

can appeal this decision in writing to the County. Such
appeal must be made within twenty (20) days of receipt in �;"
writing of the County's determination. The County shall
have twenty (20) days in which to respond in writing to
the appeal. The County's response shall be final and '
conclusive unless within thirty (30) days from the date of
receipt of such response the Contractor submits the
_ dispute to a court of competent jurisdiction.

B. Pursuant to state statute and to the extent permitted by
law, CoZorado Zabor shall be employed to perform the work
to the extent of not less than eighty percent (80�) of �` ,'
each type or class of labor employed on auch project;
except for highway construction, which is subject to
':a C.R_S. 43-2-208, which provides that aI.I. Iaborere shall be '
- bona fide reaidents of Colorado with a preference to
residents of the County where the work is performed.

materials, supplies and provisions produced, manufactured

This Agreement does not and shall not be deemed or construec3 to
• confer upon or grant to any third party or parties, except to
parties to whom Contractor or County may assign this Agreement in

claim damages or to bring any suit, aation or other proceeding
against either the County or Contractor because of any breach '
hereof or because of any of the terms, covenants, agreements or .
