` and an Open Space and Trails Board of Trustees for the purpose of � 1 `
� acquiring, preserving, developing, maintaining and managing open �f ni�` '
space and trails resources in Pitkin County, and; ' �;;'

2. T he Pit kin County Boar d o f Coun ty Commissioners, a t t he � .
' recommendation of the Open Space and Trails Soard of Trusteea, �'-k�
� purchased the right to conatruct a .trail through Arbaney Ranch ?�, �; �
Subdivision and subsequently constructed the trail and commisaioned
� an as-built survey after construction as required by the Memorandum ,";:;�;: .
�� of Agreement dated January 10, 1992, and recorded at Sook 666, Page «,�.,,
. 488 of the Pitkin County records; ( �
3. The Open Space and Trails Board of Trustees, on behalf of the `'
County Commissioners, has entered into an agreement with The �
Arbaney Ranch Paxtnership and Fierman A. and Beulah B. Arbaney
(hereinafter "Grantor(s)") , to formalize the acquisition of the
public access easement (the "Property") along the as-built trail °
alignment, which is appropriate for trails use as a necessary link �+��
: in the Basalt/Old Snowmass TraiZ, and; :�.'
4. Attached as Exhibit "1", and incorporated herein by reference,
is that Easement Agreement;

NOW THEREFORE BE IT ORDAINED by the Board of County `C '
Commissioners of Pitkin County, Colorado, that: �t

Section 1. The Board of County Commissioners of Pitkin ' `
County, Colorado, hereby grants approval for the acquisition of the �

to as "Grantor(s)"), and THE BOARD OF COiTNTY COMMISSIONERS OF `'
� PITKIN COUNTY, COLORADO, a Home Rule County, existing under and by
� virtue of the laws of the State of Colorado (hereinafter referred to as "Grantee").

WHEREAS, Grantor is the owner of reat property known as The Arbaney
� Ranch Subdivision described on Exhibit "A" attached hereto and incorporated
-- herein by this reference (hereinafter referred to as the "Property"); and
WHEREAS, Grantor wishes to grant to Grantee access across its land on ��
' an easement located to provide public trail access as described in the � �
Memorandum of Agreement recorded January 10, 1992, in Book 666, at Page
488, as Reception Number 340416 of the Pitkin County Records, and as s$own �
on�e Arbaney Ranch Subdivision Plat Amendment Number 3, recorded 'l�
� , 1995, in Plat Book 3�, at Page�3,�{as Reception Number 1� c4 ✓of
the Pitkin County C�erk and Recorder's Records; and 5

WAEREAS, Grantor and Grantee desire to set forth in this Agreement the ''
�`'+ _ - nature, terms and conditions governing the loca6on, developmant and use of the
~�. � trail easement.
NOW, THEREFORE, for and in consideration of the mutual covenants
. . : and agreement hereinafter set forth, and for other good and valuaMe � � `
consideration, the parties hereto agree as follows: j

1. Grant of Trail Easement. Grantor hereby grants to Grantee a � ' ,
perpetual, non=exclusive public trail easement and right-of-way being fifteen feet �;
. (15') in width as the same is shown on the Arbaney Ranch Subdivision Plat -
Amendment Number 3 {hereinafter referred to as the "Trail Easement"), subject �=�t:`
i to the terms and conditions set forth in this Agreement. This trail easement is . ;�>�y
_ � intended, and wilI be utiIized, to provide a non-motorized travel route across
Grantor's property for pedestrian, bicycle, cross-country ski and equestcian use ���' `

2. Grantee's Responsibilitv. Grantee will be responsible for construction ;r• .,;,�
and maintenance of the above descrihed facilities in accordance with adopted and ::..�,�
_ applicable trails design and management standards and buiiding code regulations, ,;.�.,i,•�,
including appropriate signs for purposes set forth herein. Grantee will be ;:. ...,
responsible for constructing facilities in a safe, stable and aesthetically-acceptable ��:,:� "

� 3. Grantor's Responsibilitv. To convey a perpetual, non-exctusive public .�:.:: �:.:
� � trail easement, and to repair damage to the trail from use of the trail easement by '<':� ':

� 4. Use. The trail easement granted by this Agreement may be used for �;!;'>�
all trail purposes. Grantor specifccally reserves the rigitt to use and cross the '•t;
� easement herein granted for purposes of ingress and egress to Grantor's remaining �`'?
property. Specificalty,Grantor will be allowed vehicular,pedestrian and livestock ���
� use across the trail easement and further reserves the right to create a public or t� `
' private road access and utility easements across said trail easement. The rights r��,
� herein reserved by Grantor shall inure to the benefit of all successors and assigns. . E
Any damage to the krail occasioned by the Grantor's use thereof as herein ��
reserved, shall be the responsibility of Grantor to repair to its pre-existing
. condition.
5. Maintenance of the Trai1 Easement. Grantee shall maintain the trail
easement in good order and repair. Grantee shall erect signs identifying the trail
easement and explaining the locarion of and limitations upon the trail easement ?�
at its expense.
� 6. No Easement for Access. Nothing herein shall be construed to grant
an easement across other property of Grantor in order for individuals to gain
access to the trail easement. Grantee shall post signs notifying the public that
private property is being crossed and to stay on the trail easement.

;�, � 7. Maintenance and Insurance. The parties expressly acknowledge that
--� Grantor is entitled to the benefits, grotection and limitations on liability afforded

by Colorado law governing recreational easements, Section 33-41-101 et. se�.,
C.R.S. By granting the trail easement hereunder,Grantor shail have no additional . � .
' obligation to repair,clear or otherwise maintain the area within the trail easement, . ;
' ' or to insure or indemnify Grantee for any injury, claim or damage to any person 1
or proper[y, whether alleged to have occurred while using the trail easement for '� ' ' '
the identified purposes or otherwise and due to the condition of the trail or •

otherwise.

; By accepting the trail easement granted hereunder, Grantee agrees: r:�-

Tnsurance to Grantor as verification of the acquisition and maintenance of such .
insurance. The policy shalt provide that, as to Grantor, the�policy shall not lapse, = �°.

record the same in the real property records of Pitkin County. � . �� �
� 10. Assi,gnment. This Agreement and the various terms and conditions
attached thereto, may be assigned to any purchaser of the property, however no i�
assignment of this Agreement shatl be made by either party without the other
. , party's prior written consent, which shall not be unreasonably withheld.
�� 11. Inte�ration and Modification of Agreement. This Agreement contains
� the entzre understanding of the parties. There are no representations, warranties, �
covenants or andertakings other than those expressly set forth herein. This `�
� Agreement may not be modified or amended except in writing signed by ali the
. .� parties hereto. Grant of this trail easement is controlled by Vacant Land/Farm :
and Ranch Contract to Buy and Sell Reai Estate entered into by parties dated
November 6, 1991.
12. Cantions. All headings and captions are solely for identification .
, purposes, and have no effect on the interpretation or meaning of the provisions �

j 13. Attorneys' Fees. Should this Agreement or the relarionship created
hereby become the subject of litigation to resolve a claim of default in
-- ( performance by either party,the prevailing party shaIl be entitled to its reasonable � ,
� ' attorneys' fees, expenses and court costs from the other. ;
14. �inding Effect. This Agreement shall be binding upon the parties
hereto, their heirs, their respective successors, personal representatives and
assigns.
