Governments (hereinafter, "NWCCOG") , and the County of I :

Commissioners (hereinafter, "Pitkin County") . In consideration � '

of the mutual promises and aqreements herein, the parties do
hereby agree as follows: �

, � Z. RECITALS I
1. This Agreement is authorized by Article XIV,
�, Section 18 of the Colorado Constitution, and §§29-1-201, et
seq., C.R.S. 1973 as amended.

���?; 2. NWCCOG has made application to the Public Tele-

communications Facilities Program (PTFP) for assistance to
� �r�� implement a Western Colorado Telecommunications Project .
" (grant application No. 1676T). A portion of this grant
�� request calls for the placement and licensinq of low powered
.d.
television translators on mountain top sites within Pitkin
_ � County, Colorado.

':.a 3. Pitkin County has prepared and filed with the ��
��1 Federal Communications Commission an application seeking i
license for the television translators referred to at Paragraph

4. Pitkin County is a member of the six county Northwest
Colorado Council of Governments, an intergovernmental association

authorized by the constitutional and statutory provisions .

- set forth in Paraqraph I.1, supra.

II. AGREEMENTS OF PITKIN COUNTY �
�
1. If NWCCOG's grant application No. 1676T is funded, j •
�

Pitkin County agrees to install the television translators !
and provide all necessary maintenance during the period of I
`' their useful life. Pitkin County further agrees to obtain �
• and maintain adequate insurance to cover NWCCOG and Pitkin I
County for any personal injury liability caused as a result
� of the operation of the translators, and any losses from
theft, fire or acts of God.

;�; 2. If NWCCOG's grant application No. 1676T is funded,
_�r,_+:.
#�.'� Pitkin County agrees to allow NWCCOG free, open and unrestricted
� ° access to use the television translators, on a mutual and

�;y, joint basis with Pitkin County, for a period not less than
�. ten years from the date of execution of this Agreement. I

�;� 3. Pitkin County agrees to pursue its pending application

before the FCC for a license to operate the translators.

IV. AGREEMENTS OF BOTH PARTIES � '

1. NWCCOG and Pitkin County mutually agree to allow !
i
' the other party free and open access to and enjoyment of the �
_ - television translators which are the subject of this Agreement. � �
' '

2. NWCCOG and Pitkin County mutually agree to direct �
,
their appropriate officers and agents to request the federal
Public Communications Facilities Program to waive the requirement
' that the grant applicant before PTFP be the same as the
license applicant before the Federal Communications Commission.
3. Any and all notices required under this Agreement
shall be mailed to the parties at the following addresses:

As you know, Pitkin County and NWCCOG entered into an inter- i
� governmental agreement dated as of July 2, 1981, concerned �
with implementatiori of this PTFP grant to install television �
translators in Pitkin County. �

A copy of the July 2 intergovernmental agreeement is attached �
�; and incorporated herein by this reference. The purpose of �
this letter is to propose a change to Section II, paragraph
E' one of that agreement, deleting Pitkin County's obligation to
;, provide maintenance and insurance for the translators such
that the paraqraph will now read as follows: ��
