THIS AGREEMENT made and entered into this 16th day of December,
1981, by and between the BOARD OF COMMISSIONERS OF THE PITKIN COUNTY �
HOUSING AUTHORITY (hereinafter "Authority") , the BOARD OF COUNTY ;
COMMISSIONERS OF PITKIN COUNTY, COLORADO (hereinafter "COUnty") ,
the FIRST WESTERN MORTGAGE CORPORATION (hereinafter "First Western") �
- ` and SILVERKING INVESTMENTS, LTD., a Colorado Limited Partnership j

W I T N E S S E T H: ;3

WHEREAS, the Authority and Boam�cwish to provide for the ;{

immediate occupancy of Phase II of the Silverking Apartments by �s
persons qualified by the Authority to purchase the same under the
March 30, 1981 Settlement Agreement (hereinafter settlement agree- �
ment) between the County and Silverking ( a copy of which is at-
tached hereto as Exhibit A) , and �
and Silverking
. WHEREAS, First Western/wishes the Authority and Board to make 'E

certain assurances and guarantees to insure that any losses that ,�
# may be suffered by reason of the occupancy of the units will be �
'� `i
assumed by the Authority and County, and
NOW, THEREFORE, in consideration of the mutual benefits to ��
be derived herefrom, it is agreed by the parties hereto as follows:

1. The Authority may, upon execution or or acceptance of !�
this agreement by First Western and Silverking, enter into lease p

agreements for the occupancy of Phase II of the Silverking Apartments
by the prospective purchasers of said units, and, pursuant to said �..
. i.
lease agreements, permit the use and occupancy of said units by
said purchasers at a rent to be agreed to in writing with Silverking. `

2. The Authority and County agree to indemnify and hold First
and Silverking
Western/harmless from any and all loss or damage to Phase II of ;
�
the Silverking Apartments resulting from the occupancy of the pre- �
including attorneys' fees & losses occasioned*
mises by reason hereof / In addition, the Authority agrees to �� �
undertake, at its expense, any and all proceedings necessary to �

evict such occupants who do not voluntarily vacate on or before :

5. Silverking expressesly acknowledges and agrees that all '

WHEREAS, certain disputes exist between the County and Kuhne .
; regarding the use and development of land situated in Pitkin County, �
� Colorado, and known as the Silverking Apartments. These disputes are �
currently the subject of litigation in Kuhne vs. Pitkin County, �
consolidated Civil Actions No. 78CV209 and 78CV210 ("the Kuhne case") , E

� pending in the District Court in and for the County of Pitkin, State �
� of Colorado, and . �

;�' WHEREAS, the parties wish to resolve all disputes and to terminate
�,��� the Kuhne case and to do so on the terms set out in this Agreement. �
#! NOW, THEREFORE, in consideration of the mutual benefits to be ;�

� derived herefrom it is agreed by the parties hereto as follows:

� 1. Definitions
, The following define several terms used in this Agreement; °,
(a) "Countg��shall mean Pitkin County and all of its �
administrative and legislative bodies, including the
_ � Board of County Commissioners of Pitkin County.
, � (b) "Housing Authority" shall mean the Pitkin County Housing '�
�
Authority, a Colorado non-profit corporation.
(c) "Silverking Apartments" or "Silverking" shall mean the �
(approximately) sixteen (16) acre parcel described in
Exhibit "A", consisting of Phases 2, II, III of the f
i
&ilverking Apartments, and all the buildings and
improvements located on said real property. '� �
� (d) "Phase IV" shall mean all that land described in . ;
Exhibit "B" consisting of (approximately) thirteen and
one-half (13.5) acres (but excluding the site of the Tri-Co � +
office building; of approximately one (1) acre).

2. Sale of Silverking Units i
The County agrees to grant final plat approval or a I

_ -- subdivision exemption for the condominiumization of the i
Silverking Apartments, the same to be available for .sale i
without restriction, condition, or limitation provided that: I
' (a) Kuhne shall dedicate to the public that segment of Lone �
�
Pine Road lying within the Silverking Apartments; provided � �',.
' that Yitkin County need not undertake maintenance of
��
the same until it shall agree to do so by subsequent
resolution of the Board of County Commissioners. :

(b} Kuhne shall provide interior, exterior and site improve- 1�
ments to the Silverking Apartments in an amount totalling � j
- , not less than 3.8 million dollars. Those improvements ��

# shall be made before Kuhne shall have closed on more `'`
� than 143 units from Phase I and III of Silverking. �
� (c) All units shall be sold subject to a covenant prohibiting
. the leasing of any unit for a term of less than six (6)
months (with no more� than two (2) short term tenanCies i
per year) and specifically prohibiting the assignment '�'�

of the lease, or subletting of the unit, in violation of
this provision. For purposes of this paragraph (2) (c) , •
a "short term" tenancy shall be one not exceeding two (2) ;
weeks in duration. The covenant shall run to the benefit �

of (and be enforceahle by) the County.
(d) The provisions of paragraph 2(c) notwithstanding, the units s
may be leased for periods exceeding two weeks to students � �

and performers who are participating in local programs i j
� I� conducted for educational and artistic purposes. i �

` � (e) Phase II of the Silverking Apartments shall be sold by �

Kuhne to purchasers under restrictions imposed by the
Housing Authority. The purchasers shall be solicited and �

Kuhne shall provide for the donation to the County (for any

the land under lease and option to Smuggler Racquet Club, Inc.) �

December 1, 1982 to the County free and clear of all liens � �

and encumbrances, whatsoever, except for those that do not �
render title unmerchantable. Kuhne shall provide title �

insurance (at his expense) in an amount equal to the market �.�1
' value of the conveyed lands.
4. Development of Lands � k.
Kuhne may undertake to acquire the necessary approvals and
financing for, and construct price-controlled rental units �.f

on Phase IV and Parcels D, E and F under the following f

terms and conditions:

� (a) The vltimate number, type and phasing of units to be ':'
� constructed by him shall be determined by the Housing
Authority; provided, however, that no fewer than 217
units shall be built on or before December 1, 1982.

(b) Kuhne shall initiate and•pursue all land use, building, �;
utility and other approvals and comply with all i��

' conditions thereof, provided, however, that the County
shall assume the cost of any off-site improvements ,;, ,

(except utility extensions which shall be a cost of `�
development) imposed as a condition of such approvals. 4._

(c) Kuhne shall provide the units at his cost (exclusive of �

land costs) . His cost shall consist of those items -

� Kuhne shall be bound by these limitations whether or not �
