This BASIC AGREEMENT is entered into this lst day of November, 1981, between PITKIN �
COUNTY AND THE CITY OF ASPEN, herein call "Owner" and ROBBJNS & REAM, INC.a �
California corporation, San Francisco, California, herein called "Architect". ��;

1. It is the intention of the Owner to engage the Architect to provide "
professional services in connection with tfie programning, schematic design,
design deve►opnent, industrial engineering and general equipnent
specification, �onstruction docunents, and construction administration for a
Bus Maintenance and Storage Facility and related site improvesnents with a �
program budget of $5,811,000.00 (Five Million, Eight Hundred Eleven Thousand �
Oollars), herein called the "Project", located across State Highway No. 82
fran Sardy Field in Aspen, Colorado. Acreage to be determined. � �-

- 2. To provide such services, the Architect intends to work in association with �

The Owner and the Architect agree as set forth below. '
t;;, I. The ARCHITECT shall provide the professional services for the Projeet in
�,: accordance with the Terms and Conditions of this Agreement. �

�' II. The OWNER sfiall canpensate the ARCHITECT, in accordance riith the Terms and
.- Conditions of this Agreement, as follows: .
;�� a. FOR THE ARCHITECT'S BASIC SERVICES, as described in Paragraphs 1.1

through 1.7 based on a cost plus fixed fee contract. .
,�,. b. FOR THE ARCHITECT'S SPECIAL SERVICES, as described in Paragraph 1.8, or
^;, any other special services required from time to time in writing by the
Owner, based on a cost plus fixed fee basis per the hourly rate schedule, �
���' attached as 'Exhibit A', and services of consultants as required. -

III. The described project is in large measure funded by the Urban Mass Transit i
r_� Administration of the U.S. Dep�rtment of Transportation, herein known as "
UMTA. The contract therefore contains a special section, Article 16, which
sets forth the required conditions to which Omner and Architect and all ;
x�; consultants must conform. ,

�� IV. Neither the Owner's review, approval, or acceptance of, nor payment for, any i.
��-% of the services required under the Contract shall be construed to operate as a �
�' waiver of any other rights under this Contract or any cause of action arising

;.s;' out of the performance of this Contract, and the Architect shall be and remain
liable to the Owner in accordance with applicable law for all damages caused !
�'f^�" • by the Architect's negligent performance of any of the services furnished {

V. The rights and remedies of the Contracting Parties provided for under this �
� ���;�: Contract are in addition to any other rights and remedies provide by law.

� ',) VI. Al1 communication with the Qwner shall be directed to the Project �irector as
�I designateci by the City Manager and County Manager. The Project Director is �
authorized by the Aspen City Council and the Pitkin County 2oard of Commis-
::{ sioners to approve additional services with an anticipated fee of less than
;;;'<.i $25,�00.00, and amendments to the Contract unless the change in scope will i
� result in an anticipated fee increase of more than S25,onn.00, in which case I
�e" approval must be made in writing by the Owner. !

��;+�;: VII. The General Equipment covered by this Statement of Work is defined to be ;
!'�°� equipment required to service, maintain and repair buses in the new facility. i
'�� It includes fixed equipnent, mobile equipment, and all ancillary equipment i
such as work benches, storage bins, etc., characteristic of bus maintenance
' � �.;� and storage facilities. It excludes movable equipment which will be procured �

5�:=.. separately from normal facility construction contracts and any building system
equipment. Certain items of 6eneral Equipment will be installed by the I;
�;,� supplier or by a separate equipment installation contractor. However, it is '.

';�� VIIT.The design disciplines of the Architect necessary for the proper execution of �
the Project include architectural design, industrial engineering, landscape ,
;:�:;; architecture, structural engineering, mechanical and electrical e�gineering,
r� civil engineering, traffiic design, lighting, graphics, construction
;`' administration, solar design, and energy conservation management. �
F, IX. The Architect shall be responsible for the professio�al quality, technical �

_ ,-�,q accuracy, and the coordination of all designs, drawings specifications, and
�� other services furnished by the Architect under this Contract. The Architect
��.; shall, without additional canpensation, correct or revise any errors caused by �
�' the Architect and his consultants in his designs, drawings, specifications,
dnd other services.
r X. Because of Federal participation in the funding of this project it is subject
= to all federal requirements fior federally-funded projects; inciuding, but not (�
"?�� limited to, elderly and handicap requirements and handicapped access, and all +
applicable occupational safety regulations. The Architect is responsible for
. identifying the above applicab]e Federal regulations and must exert every
reasonable effort to insure compliance with them.
*; XI. 7he Architect shall designate a principal as Project Administrator. This �
�: person sfiall be responsible for overall team coordination and shall be the �
�= principal contact with the CityJCounty staff and the Project Director. All ;
r`�. formal comnunications shall be between the City/County's Project Director a�d �
�`.. the Architect's Project Administrator. All technical and schedulin9 memos, �
�'" any Architect contract scope changes, any project scope changes, and requests
�� and authorizations to provide additional services sfiall be processed through
°�= the Project Administrator, who shall have the authority to comnit to a • �
Guaranteed Maximum Payment. I

�; 7he Architect's Project Administrator shall be assisted by a senior associate
� �'� designated as Project Manager, who shall be responsible for all day-to-day
�`', operations of the Project, and routine communications with the Owner's Project

::� XII. The contracting official for Pitkin County shall be the Chairman of the Board
'' of County Comnissioners and for the City of Aspen, the Mayor. Authorization
for each to execute legal agreements and sign agreernents as Owner shall be
granted by their respective bodies through appropriate legis ative actions.

1.1.2 Review the Program furnished by the Project Director to: 1) understand
the basis of the programnatic requirements; 2) identify unclear requirements; and '
t 3) id'entify any requirements that are inconsistent with the experience of the
y Architect and his consultant team.
1.1.3 Respond in writing to the Program. The written response should include :
questions regarding unclear requirements, identify requirements that are
, -- ;� inconsistent with the Architect and his consultant team's experience, and review
1 the conformance of the proposed budget with the Program.

'a 1.1.4 Review existing building systems, building system contractors and their �
� production capabilities to determine the optimum system for the project in economy
speed of erection, and physical performance over the life of the project. Report
�� in writing to the Project Director, the specific reasons for the choice of building '
i� system and the reasons why each of the other competitive systems was not selected.

1.1.5 Prepare, based on the Architect and his consultant's experience and �
specific information obtained from'the Owner, a state�nt of probable construction l=�

1.3.1 Based on the approved program, the Architect shall develop the schematic
plans, elevations, functional flow, site layout, building systems, outline
� specifications. The Architect shall determine if the proposed Facility can be �
constructed within the Program hudget and determine that the proposed Facility is
��` compatible with general equipment requirements and other pragrammatic criteria. �
� 1.3.2 Prepare a schematic design report with the above outlined information and
�s a comparison of the program to the schematic design and including programmed areas. �

1.3.4 Based on 5chematic design studies, determine the precise land parcel
configuration required to accomnodate the facility at the general location outlined
� in Recital 1, foregoing.
1.3.5 Develop comparative life cycle costs for alternative enerqy and resource �
management systems, including the fuel, maintenance and capital costs of '
- alternative systems to perform the major energy-consuming functions of the `:
, building. These functions include space heating, hot water heating for the bus �
washer, domestic hot water, lighting, etc. Systems to be examined �hould include:
passive and active solar, natural gas, electric and oil, heat recovery systems, j
� water reclamation system, natural lighting, etc. ;
a 1.3.6 Based on the written respor�se of the Owner and UMTA staff, prepare i
�, necessary revisions to the Schematic Design for formal approval by the Owner and ��

� 1.4 DESIGN DEVELOPhENT PHASE �
� 1.4.1 Based on the approved Schematic Design, and any adjustments to the
� Program and Program Budget approved by the Owner in writing, the Architect shall

prepare the Design Development documents. The Design Development documents shal
� include drawings, outline specifications and other documents to fix and describe ;
the size and character af the entire project as to the architectural, structural,
� mechanical, electrical, industrial, traffic flaw, site improvements and landscape �
.� systems. �

` The documents should be complete enough for the Project Director to obtain cost ��
�='f9 estimates from trades people and suppliers of major components of the Project, if �
��� deemed desi rable.

�' 1.4.2 The Architect shail prepare a detailed work flow and engineering analysis
�' pertaining to the function, performance, design requirements, arrangement,
procurement, quality control, delivery, and installation of the General Equipment
required to store, service, maintain and repair buses in the Project. Owner's
staff shall provide specific and relevant informatian in a timely fashion to the
Architect.
1.4.3 The Architect and his consultant, based upon their experience and
specific information obtained from the Owner, shall assist the Owner in specifying

the General Equipment, which includes but is not limited to the following:
� -- Identification of required equipment, preparation of cost estimate5, and �
determination of procurement schedules for long-lead delivery. I ;

1.4.5 Prepare a Design Developnent statement of probable construction cost. If !
the probable construction cost exceeds the established budget limit, the Architect, �
and the cost estimator, with the assistance and cooperation of the Project ;�
� Director, will identify design and specification changes required to bring costs .
within budget limitations. Owner's approval of the Design Developnent Phase will
include this list of changes as required for the project. The incorporation of
_•� these changes into the contract docunents will then be accomplished during the '
� Contract Document phase. If the estimate of probable construction cost exceeds the
budget limitation by more than 15�, the Architect and its consultants shall make
revisions as required.to bring cost within said 15q limit without canpensation for •
the time required. D�rect expenses required would be canpensated per Article 5. ;

1.5 CONSIRUCTION DL'�UMENTS PHASE �
'� 1.5.1 Based on the approved Design Developnent Docunents, and any further
��� adjustments in the scope or quality of the Project or in the Project Budget as �
'� authorized by the Owner, the Architect shall prepare, for the approval by the " ��"
� Owner, Construction Documents consisting of Drawings and Specifications setting
forth in detail the requirements for the construction of the Project.
`1 1.5.2 The Architect shall assist the Project Director in connection with the

Ovmer's responsibility for filing documents required for the approvals of

1 J.4 The Architect shall visit the site at intervals appropriate to the stage
� of construction or as otherwise agreed by the Architect in writing to become
� generally familiar with the progress and quality of the Wark and to determine in
` general if the Work is proceeding in accordance with the Cor�tract Documents. �
However, the Architects shall not be required to make exhaustive or continuous
on-site inspections to check the quality or quantity of the Work. On the basis of �
_ . such on-site observations as an architect, the Architect shall keep the Owner
informed of the progress and quality of the Work, and shall endeavor to guard the
:� Owner against defects and deficiencies in the Work of the Contractor. '
i 1.7.5 7he Architect shall not have corttrol or charge of and shall not be
' responsible for construction means, methods, techniques, sequences or procedures,
� or for safety precautiorn and programs in cennection with the Work, for the acts or �
omissions of the Contractor, Subcontractors, or any other persons performing any of �
�� the Work, or for the failure of any of them to carry out the 41ork in accordance �.,

� 1.7.6 The Architect shall at all times have access to the Work wherever it is
�S in preparation or progress.
� 1.7.7 The Architect shall determine the amounts aving to the Contractor based '
�, on observations at the site and on evaluations of the Cor�tractor's Applications for i
', Payment, and shall issue Certificates for Payment in such amounts, as provided in �
r� the Contract Documents.

� 1.7.8 The issuance of a Certificate for Payment shall constitute a representa- �.

prior to completion, and to any specific qualifications stated in the Certificate

representation that the Architect has made any examination to ascertain how and for I.

1.7.9 The Architect shall be the irrterpreter of the requirements of the (
Contract Documents and the judge of the performance thereunder by both the Owner I
and Contractor. The Architect shall render interpretatior�s necessary for the
proper execution or progress of the Work with reasonable promptness on written 1
request of either the Owner or the Contractor, and shall render written decisions, �
within a reasonable time, on all claims, disputes, and other matters in question
between the Owner and the Contractor relating to the execution or progress af the `
Work or the interpretation of the Contract Documents. �

1.7.10 Interpretations and decisions of the Architect sha71 be consistent with �
the inter�t of and reasonably inferable from the Contract Documents and shall be in
written or graphic form. In the capacity of interpreter and judge, tfie Architect
' shall endeavor to secure faithful performance by both the Owner and the Co�ractor, �
and shall not show partiality to either, and shall not be liable for the result of
any ir�terpretation or decision rendered in good faith in such capacity.
1.7.11 The Architect's decisions in matters relating to artistic effect shali be �
� final if consistent with the irrtent of the Contract Documents.
1.7.12 The Architect shall notify the Owner of any work which he observes does "
not conform to the Contract Documents and, upon instruction of the Owner, may ;
reject such Work on the Owner's behalf. Whenever, in the Architect's reasonable ;
opinion, it is necessary or advisable for the implementation of the irttent of the ;
; Contract Documents, the Architect will have authority to require special inspection i
or testing of the Work in accordance with the provisions of the Corrt ract Documents, !�3
�� whether or not such Work be then fabricated, installed or complete. �,

1.7.13 The Architect shall review or take other appropriate action upon the �
�� required Contractor's submittals, such as Shop �rawings, Product Oata and Samples, �

tion giver in the Contract Documents. Such action shall be taken with reasonable
" promptness so as to not cause unreasonable delay. The Architect's review or �
� comments, as respects a specific item, shall not indicate approval of an assembly ;
i: of which the item is a component, nor shall it reiieve the Contractor of his ��f

�-i 3.1.1 The Project Dfrector, the Architect and its consultants shall estimate
the amourrt of all non-construction costs of the project and deduct this sum, with
E an appropriate contingency, from the Program Budget to arrive at a net amount : '.

cooperation of the Project Director will then adjust, according to his best
judgement, the basic building program and building size to conform to the funds •
available for project construction. This revised program and project scope will be

- documents will identify additive alternate prices for additional building spaces
which will augment the basic program if funds are available for their inclusion.

�' 3.1.2 If substantial changes occur in the construction industry or in the
national economy which would have a significant effect on the probable constr.uction !'

TERMINATION OF AGREEMENT j
� 12.1 The Owner reserves the wight to terminate this A�REEhENT, whole or in �

reproducible copies of all finished or unfinished documents, data, studies, �

furnished him by the Owner. These record drawings will be based on information �
furnished by the General Contractor for project construction who shall retain �
�� responsibility for its accuracy. The Architect shall not be responsible for any
errors or omissions which may fiave been incorporated irrto these documents as a •
