County Airport, hereinafter referred to as "the Airport�'; and, t�.

WHEREAS, Concessionaire is enqaged in the business of �, �,
�. operating Public Pay Telephone faci2ities similar in nature to
that proposed at the Airport and other municipal locations; and ^��"- �

AHEREAB, County wishes to grant to Concessionaire the right
to operate the Public Pay Telephone Concession at the Airport and •:,;s?
other County 2oaations Under an agreement containing mutually
satisfactory terms and covenants.
NOW, THEREFORE, in considerat3on of the mutual cove�ants, �
terms, conditions, privileges, obligations and agreements herein
' contained, County and Concessionaire hereby mutually �ndertake, •°
promise and agree, each for itself, and its successors and r.ij��

Article I
' DEFINITIONS
Z.1 "Agreement", as used herein, contemplates and includes the ��
lease on County-owned property (referred to henceforth as
':'+�: "Assiqned Area") and obligation of Concessionaire to use such -` �.
-.-`� County-owned property for the conduct of a Public Pay Telephone
x Concession within said Assigned Area under the terms and �:

1.2 "AiYport TeTminal" and "Terminal" shall mean the Commercial 5
� Passenger Terminal Building at the Aspen/Pitkin County Airport as � � �
it exists on the date hereof, and any additions made thereto `� j

� 1.3 "Assigned Area" is the area defined as the area or areas of p't�

1.8 "Cents per Passenger" is the sum of money due County monthly •��43
from Concessionaire for each enplaned and deplaned passenger at
the Terminal euilding of Pitkin County. �

2. This Agreement between the parties shall consist of this
instrument and the following documents, which are attached hereto
and incorporated herein by reference, as if copied verbatim:
a) Request for Proposals for Operation of the Public Pay
Telephone Concession at Pitkin County, Aspen, Colorado, `t�.
dated June 13, 1994, and all attachments thereto.
b) Questions 5, 6, 7, & 8 of Section III, and Sections IV, '.
�:�_ ` V, and VII, in their entirety, of the Proposal submitted "
by Concessionaire.

c) MCI's Tariff FCC No. 1 and applicable state tariffs. .�
d) All insurance policies, letters of credit, or other � j ,

i PRIVILEGES AND OBLIGATIONS OF CONCESSIONAIRE . �' S�;'

� 4.1 Concessionaire shall have the right, privilege and obligation f •
� to operate the Public Pay Telephone Concession within Assigned r� '`� •
Area of the Airport Terminal and other County locations, as '"-�'�
' depicted on Exhibit "A", attached hereto and made a part hereof, :,','..�.y:}'
according to the terms and conditions of this Agreement.

4.2 Notice of any actual degradation in Concessionaire's level of ' • +:�

service shall be conveyed to Concessionaire in writing by County. � ��
Concessionaire shall reinstate products and/or upgrade `"�""a- �=

specifications, to County's reasonable satisfaction, within ten ••� .-
- --- - (10) days of notification. �F��;,.�

4.3 Public telephone service charges shall conform to all `.``:�';��-
applicable Federal Communications Commission (FCC) and applicable ;;;
state regulatory commission rulings and tariffs. County may 1`!'�`:
terminate this Agxeement without penalty or liability to -�. ,
Concessionaire if Concessionaire fails to comply with these ,��
applicable rulings and tariffs. Further and to the extent that
Concessionaire is found by the FCC or applicable state regulatory `� `
� commissions to have violated applicable rulings and tariffs with
� respect to rate restrictions, Concessionaire shall refund the �} .
amount of any overcharges in accordance with the rulings of the '
FCC or state regulatory commission. Questions or complaints .:;�
regarding the quality of services and/or prices, whether raised by
patrons or County�s o�an initiative or otherwise, may be submitted
- , to Concessionaire for response. At County request, Concessionaire
shall meet with the Director of Aviation to review any complaints �
or concerns and to correct any deficiencies promptly. County's
determination as to quality of operation or services shall be ��
conclusive and curative measures shall be implemented by ��
Concessionaire as expeditiously as possible. However, County�s
determination shall be reasonable and shall be in accordance with
Concessionaire's applicable legal and regulatory requirements.
4.4 During the term hereof, Concessionaire shall have the right,
subject to approval of County, to provide intralata, local, and/or
local bypass service, should the regulatory laws concerning , .
intralata and/or local service provisions be altered such that si '
non-Bell participation is encouraged and allowed. �

--— 4.5 County and each County tenant shall have the right to •�
establish and operate, either through a separate contract with ,
Concessionaire, directly, or through a third party, a separate �
telecommunications system in the Airport for �
- airline/airport/tenant employees only. Telephones connected to r� I
such employees telecommunications systems which are not available .�' .`.�
for public use shall not constitute Public Pay Telephones subject
to this Agreement. '

4.6 Concessionaire shall provide high quality service for County �'v,
� and the traveling public via the installed public telephones. All _; ?�°:
items purchased for Concessionaire's operation must come from .�;
( reliable sources. All items used in Concessionaire's operation •=� ` �_'

� � state and local laws, orders and regulations which shall be in �:

� written notice from County, shall be cause for termination of this
� Agreement by County. �s •;,
� 4.7 County may request, based upon reasonable grounds,'a survey, {•f;����
by random sample regarding the public pay telephones operated by ��>,
1 Concessionaire at the Airport. The contents, size, and �

responsibility for payment of such survey shall be as mutually � s:
agreed upon between the parties. Concessionaire's report of �.�,���' �
survey results must be sent directly to the Director o£ Aviation ,�:�J;,�. .:;
.. ._ _. or his/her designated representative. The parties will mutually
detertttine what changes, modifications, or actions need to be .;i��"�':�.
taken, if atty, as a result of the survey. :,"_:,'.:, .
4.8 Concessionaire agrees to provide only service of the type �
identified in its Proposal for public pay telephone services. �.i:n'r,. .
Should a conflict.arise between Concessionaire and other service �3
operators at the �ounty regarding the scope of service privileges,
County shall resolve the conflict. Concessionaire agrees to abide
� by County's decision. Concessionaire shall use Assigned Area �'c-
" solely for the operation of a Public Pay Telephone Concession.
4.9 The Public Pay Telephone Service shall be operated twenty
four (24} hours per day, seven days per week. �#

. 4.10 Concessionaire is hereby granted the rights of ingress and ''�
egress from its Assigned Area over Airport roadways, inciuding
common use roadways, subject to any rules or regulations which may �
have been established or shall be established in the future by Y
County, or the Sta'te of Colorado. Such rights of ingress and
egress shall apply to Concessionaire's employees, guests, patrons, '"•
invitees, suppliers, and other authorized individuals.
� 4.11 Tf space is available, and at the option of County,
' Concessionaire may lease additional storage and office space
identified by County as available for such purposes, at an annual
rate to be paid monthly in an amount at least equal to the then �
current rate on a per square foot basis for simi2ar or equivalent
space. �; :�.

��-- - 4.12 Concessionaire is hereby granted the right to install and
' maintain appropriate signs on County owned property provided that � •
the design, installation and maintenance of such signs, shall have
received the advance written approval of the Director of Aviation
� prior to installation or modification.
4.13 The Director of Aviation may, at his discretion, request the ;��i ,
name of all purveyors used by Concessionaire in connection with
its operation on the airport and other municipal locations, z'
4.14 Concessionaire shall, at its own expense, identify, provide
and maintain in force any and all licenses and permits for the
legal operation of all aspects of the Conoession. °�'

'�; operation of a Public Pay Telephones Concession in a first class '°ic`s
'} manner, as set forth in Concessionaire's proposal and in i��'�9
� conformity with County's Request for Proposals. ���; -; .
fi 6.2 All structural improvements, equipment and interior design ��,.� ,
� and decor constructed or installed by Concessionaire, its agents, �}'' Y•
or contractors, including the plans and speciEications, shall
" conform to all applicable statutes, ordinances, building codes, ••�=
and rules and regulations.
6.3 No stru�tural alterations or improvements shall be made to or ;r
upon Assigned Area without the prior written approval of the .
Director of Aviation, which approval may be withheld for any �
reason. One reproducible final copy of the plans as-built for all #i�°•
improvements or subsequent changes therein or alterations thereof
to Assigned Area shall be signed by Concessionaire and submitted
to the Director of Aviation within thirty (30) days following a.
corapletion of any project. These plans, and any subsequent
modifications or alterations, shall also be furnished to County on
- computer discs as electronic files in a format compatible with the �{•.
CADD system used by County to enable County to upgrade its
existing files to reflect the as-constructed changes made by ,
Concessionaire.

6.4 All improvements made by Concessionaire to Assigned Area t
shall be of high quality. Furthermore, they shall be safe, fire ;�
resistant, attractive in appearance, and shall require written �
approval of the Director of Aviation prior to installation. '

� 6.5 Concessionaire shall submit to the Director of Aviation, �� '
. after submittal of plans and/or specifications, a schedule �� � `
depicting the estimated time required to complete the construction
or installation of approved improvements and equipment for the
public pay telephone Concession herein granted, or any ,r�
modifications thereto.

specifications, and in strict compliance with all applicable
building codes, laws, rules, ordinances and regulatiohs, and (3)

6.10 Concessionaire shall not remove or demolish, in whole or in
part, any improvements upon Assigned Area without the prior •
written consent of the Director of Aviation, which may be •

clean, and orderly appearance at all times. Concessionaire shall � ;

personal protective equipment whiYe working on Assigned Area.

" 7.6 Employees of Concessionaire providing services on Assigned
, Area shall qualify for a security clearance by Concessionaire if
so required by the Airport. Personnel who are refused security
clearance sha12 not be permitted by Concessionaire to perform work �}
on Assigned Area under this Agreement. Concessionaire shall
, conduct such security checks on all its employees, subcontractors,
and agents in a manner and format which is acceptable to County.
7.7 Conaessionaire shall select and appoint a Manager or
designated single Point of Contact (POC) to fulfill the
requirements of the operation of the Public Pay Telephone
. Concession. County reserves the right to approve the selection of
;� Concessionaire�s Manager.
� ° ' 7.8 The Manager shall be in complete charge of Concessionaire's .
operation in the Assigned Area and shall be a qualified and
- experienced manager with documented experience in a Public Pay
Telephone supervisory position vested with full power with respect
to the conduct of Concessionaire's operation hereunder. The i''.•
?;� _ Manager shall provide a means of contact, if not located on the
Assigned Area, where the Manager can be contacted and ordinarily
� be available during regular business hours; and at all time during °
his/her absence, a designated representative shall be in charge
and available in the same manner as the Manaqer.

above. Concessionaire shall pay County on the lst day of the �

8.4 Fees and charges paid to County shall not include any taxes,
fees or license charges that may be levied, assessed or charged by
any governmental entity on Concessionaire or County.
Concessionaire agrees to pay, or in good faith contest, such �„
taxes, fees or license charges directly to the appropriate taxing
Agency, without involving County.
� � 8.5 In addition to the fees required in Article VIII of this
,; Agreement, Concessionaire shall pay as the same respectively
become due, all taxes and governmental charges of any kind
whatsoever that may at any time be lawfully assessed or levied ' '
against or with respect to the Assigned Area.

� 8.6 Concessionaire shall provide County an initial inspection to '

"� final review during the last year of the Agreement. The review ',
will consist of usage data normally released by Concessionaire and
may include such summaries as cash and non-cash, intra and �

assume all financial responsibility for dishonored credit cards

month period. If during any review, it is determined that the ��
number of enplaned and deplaned passengers for the previous twelve
months was less that Two Hundred Ninety Seven Thousand Three
• Hundred Twenty (297,320) or 60.0� of the enplanement/deplanement
figures for calendar year 1993 as listed in Addendum 2 to the RFP � .�
dated June 23, 1994, for the Operation of the Public Pay Telephone �

open discussion to amend this Agreement, if necessary, as mutually r : -
agreed upon between the parties to potentially reduce the Minimum ;, �

possible, shall make deliveries between 5 a.m. and 7 a.m. A21

13.8 If Concessionaire or its insu�ance company fails to promptly

• 13.11 Performance Bond - Prior to execution of this Agreement,
concessionaire shall provide County, and shall maintain in effect
.: throughout the term hereof, A Performance Bond to guarantee
concessionaire's performance under this agreement, in the amount �,,
of the first year's MAG, or S21,420. County .shall be an obligee �

on such bond in the full amounts thereof and on forms satisfactory

13.12 Before commencing any work or construction in its Assigned �
Area, Concessionaire agrees to provide County, or cause to be
provided, a Construction Performance Sond and Labor and Material �'�.
. Payment Sond or Irrevocable Letter of Credit, for any
. construction or capital improvements undertaken by Concessionaire
during the term of this Agreement, in the full amount of the
const7ruction contract award. County shall be an obligee on each
such bond in the full amounts thereof and on forms satisfaotory to
County.

TERMINATION BY CONCESSIONAIRE ' �,

withstanding any waiver, license or indulgence granted to County

.: Concessionaire, the County shall ascertain the facts and
£ailure, and, if the County shall determine that any failura
to perform constituted a valid commercial excuse, the �

15.2 Notice of Termination. In the event of termination for the
convenience of the County, the County shall deliver to the �
Concessionaire a written notice of termination, specifying the
reasons therefor, and the effective date of such termination. The ��
effective date shall not be earlier than the date of hand-delivery �,.�
� or the date of mailing of the notice, plus three (3) business
days. The notice of termination shall be sent by certified mail
to the address of the Concessionaire herein provided.
Article XVI
SECURITY !
16.1 Concessionaire shall observe all security requirements of � ,'.
Federal Aviation Regulations Part 107, and Airport Security ,
__��� Program, applicable parts, as the same may be from time to time :
amended, which will be furnished to Concessionaire as approved by i�
the Federal Aviation Administration, and to take such steps as may ;�
� be necessary or directed by County to ensure that sublessees, �
� employees, invitees, and guests observe these requirements. � ; ,
.� 16.2 If County incurs any fines and/or penalties imposed by the ' �'�

Clause: The airport sponsor shall notify the Concessionaire in ,r �

Transportation (DOT) implementing section 511(h) of the Airport J�
and AiTway Improvement Act (AAIA) of 1982, as amended. Following �
such notification, the Concessionaire shall be required to take ''

� � Business Enterprise (DBE) goal of TBD percent throughout the ' •
remaining term of this Agreement. The goal shall be measured as a "' �����.-:

with the regulations relative to nondiscrimination in Federally-
assisted programs of the Department of Transportation (hereinafter

be amended from time to time (hereinafter referred to as the
"Regulations"), which are herein incorporated by reference and '
made a part of this Agreement. .

parties hereto further understand and agree that the other party
and its agents have made no representations or promises with
respect to this Agreement or the making or entering into of this
Agreement, except as ia this Agreement expressly set forth, and
- that no claim or liability or cause for termination shall be
asserted by either party against the other and such party shall
not be liable by reason of the making of any representations or
promises not expressly stated in this Agreement, any other written
or parol agreement with the other being expressly waived.

that they have full authority County to execute this Agreement on
behalf oP the entity for which they are acting herein. ,

Procurement Code," (Section 8.5 of the Pitkin County Home Rule -, 's:

Procurement Code, and such requirements are incorporated herein by •

Further, such failure to notify the County of violation of the
Procurement Code or statutes within five (5) days of knowledge
shall be deemed as a waiver of any action or defense that the '
Concessionaire may have against the County by reason of such
violation of the Procurement Code or statutes.
26.3 Aareement made in Colorado: The parties agree that this
Agreement was made in accordance with the laws of the State of
Colorado and shall be so construed. Venue is agreed to be
- exclusively in the courts of Pitkin County, Colorado.
Article XXVII
_n WARRANTIES AGAINST CONTINGENT FEES, GRATUITIES, KICKBACKS AND
CONFLICT OF INTEREST
27.1 Covenant Against Contingent Fees. The Concessionaire �
warrants that no person or selling agency has been employed or
retained to solicit or secure this Agreement upon an agreement or �' �
understanding for a commission, percentage, brokerage, or � �.

fees, gratuities, kickbacks and conflict of interest prescribed in
