Company"), SNOWMASS CLUB ASSOCIriTES,SNOWI�IASS LAND COMPANY(hereinafter �: �' ¢ "SLC"),and SNOWMASS WATER&SANITATION DTSTRICT(hereinafter"District"). � '„ __. : ___ . .. ._.1 C�.: s WHEREAS,the parties are negotiating ro settle la�vsuits under Case No. 94 CV 211-2, ' ` : � and Case No. 9S CV 15-3 in the District Court of Pickin Councy, Colorado(collectively, "the �:;? . � lidgacion"); and C�� y r; y� WHEREAS,the parties to this Memorandum desire[o settle the litigation; x WHEREAS, it is[he intention of the par[ies thac chis Memorandum shall not be binding r-. • on any of them untess and until it is incorporaced into a formal settlement agreement. In executing , �� such agreement, each party will comply on or before February 27, 1995 with such formaliues , � as are required by its charter,bylaws,articles of or;anizacion,or other agreemen[s;and � WHEREAS, each of the parties hereto ne�otiating in�ood faith beiieves that a formal ' �' settlement agreement which incozporates the following terms will be duly authorized.approved, ' � and executed by the enaty they represent; . � NOW THEREFORE,the parries joindy suppoa rhe following settlement of the litigation: ' k _ - � 1. The Intergovernmentai Agreement be�ween che Councy and Snowmass dated�lugusc 2. 1984(rhe "Intergovemmental Agreemenc")shall be limiced ro tuture applications to expand slding capacity above 13,500 skiers per day as calculated under the United States Forest Service Record of Decision dated March S, 1994,as amended and supplemented("IZOD"). The execution of [he Settlement Agreemen[ shall constim�e the County's full and final acceptance of the development approvals under Ordinance 9.Series of 1994 sought by the Sld Company and shall �. end the approval process under the In�ergovernmen[al Agreement. The parties agree[o accepc � ; � and not ro contest the condidons imposed in Snowmass Ordinance 9, Series of 1994 as ; a'� supplemented by che Settlement Agreement, to miugate all of the on-site and off-site impacu arising from rhe upgrading and expansion of the Snowmass Ski Area[0 13,500 skiers per day as , � � approved by the ROD. For ttus purpose the development oE the Eastern Pod on Burat Mountain ' will be treatcd as if approved by the ROD. All Parcies to this Memorandum heceby recognize, �!� � actmowledge and accept che terms of the ROD and agree noc to challenge said decision in any way �' $ or to seek any further modificauons or amendmencs of said decisioa, except that che Skiing � Company may seek minor modifications oP said ROD from time to time. On the latter of(1)the dace of closing of the Counry's purchase of the Seven 5rar �- :�`�� Ranch; (2)the commencement of the East Village lift improvements;or(3)two years from the ��' � � date of the execution by all parties of the setttement agreement resolving the lidgatioa SLC agrees ':� ' � to underwrite the payment of$1,000,000 to the counry(the"Settlement Payment"). Nothing in j"�.•.� the settlement agreement shall preclude SLC from soliciting or obtaining contributions towards z • i the Settlement Payment from any other persons or enticies, inciuding, without limitauon, the j Skiing Company,Snowmass,or the Snowmass Resort Association. The Settlement Payment shall '' I `' r be conditional upon the County compiying with ail of its obligations under the settlement .,q_ : _ agreemen[and upon the dismissal with prejudice within thirty(30)days after the execudon of that agreemenc of all existing challenges by the Counry to�he use of the District's water rights in Snowmass Creek to provide water to the Skiing Company for snowmaking in accordance with tfie _ Settlement Agreemen[ and all appticable permirs. It is further conditional upon no fiinher �'`� challenges being initiated or instigaced by any party to this Agreement to the Following:[he use of Snowmass Creek for snowmaking in accordance with rhe 5ettlement Agreement and all �. applicable permits; the upgrading and expansion of[he Snowmass ski area as approved by the � Forest Service on March 3, 1994 and by 5nowmass in Ordinance No. 9,Series of 1994;and the ' z : ,, � developmen[of the Eastern Pod on Burnt Mountain as approved by the Fores�Service. Further, + � - the County shali refrain from any challenge[o the Forest Service ROD as to Burnt Mountain,the ' - � Snowmass Ski Area and the development approved thereunder and under Ordinance�9. � ., � . . . 3. The Counry will spend up to 51,600,000 to purchase three lots on the north portion I � � of Seven Star Ranch,and Snowmass will spend up to�500,000 ro purchase the 12-acre triangle g � � � _ parcr.l that is west and north of Brush Creek Road. The Counry will not oppose the annexation i � by Snowmass of parcels in Seven Star acquired by Snowmass and that portion of the Seven Star ! Properry which is located south and east of Brush Creek Road. 5nowmass agrees that it shall not �� undertake the annesadon of the properry in rhe Brush Creek Valley Imown as rhe Drosce Properry without[he prior consenc of the Counry. Snowmass and[he County hereby agree to enter into an � - f Inrergovernmental Agreemen�for joint review pursuant to che Counry's Land Use Code of any � developmenc proposal for all of the lands wichin che Droste Property. �' � 3 . 4. If requested by Snowmass,SLC will lift the deed restrictions on the Hidden Valley ; Property previously conveyed co Snowmass to provide for one homesite and access thereco to be + ;;�, � located on rhis properry. Snowmass will provide an easemen[through[he property for up to two � _ --y'- homesites. � # �.
