- WHEREAS, the COUNTY intends to accomplish the design of the � �
F+ remodel of the Pitkin County Courthouse ("PROJECT"), in accordance f �
� with the terms and conditions herein and the CONSULTANT's proposal

WHEREAS, the CON&ULTANT hereby agrees to complete its portion
�n oE the PROJECT according to the Contract Documents; �,:`:

� NOW, TAEREFORE, the COUNTY and CONSULTANT, in consideration
��,, oi Che mutual covenants, terms and conditions hereina£ter set �',
� forth, agree as follows:

, 1. CONSULTANT's Oblicrations. CONSULTANT agrees to furnish -„ i
•• all o£ the prozessional services, sub-consultants, materials,
equipment, plans, drawings, calculations, reports and documents �,�
.-.� specified or necessarily implied to complete a11 tasks required
for the completion oz the CONSULTANT's portion of the PROJECT, as a
set out in and in strict compliance with the CONSULTANT's proposal i'?
herein below listed, to the standards for its profession in
Colorado.
2, Contract Time. Services under this Agreement shall be �
commenced by January 13, 1995, and shall be completed no later than
July 31, 1995.
3. Pavment. The County agrees to pay, and the CONSULTANT
' agrees to accept, in full payment for the completion and
per£ormance of this Contract, a top set of $17,000 (Seventeen
Thousand Dollars and No/cents) as listed within the CONSULTANT's
proposal. It is understood that this amount may be increased by �i•
Change Order solely in accordance with the provisions of the
Contract Documents. r 'j •

5. Sub-COnsultants. The CONSULTANT agrees to bind every �' ,. r

contractual relationship between any sub-contractor and the COUNTY. �

decide any and all questions that may arise as to the quality and

.. : :� tfie compliance with the Contract on the part of the CONSUI,TANT but
�� shall have no responsibiliCy to direct or supervise the work or the
�� CONSULTANTS means, methods and procedures not in conflict with this �

�� 7. Successors and Assians. This Agreement and a11 of the ".�-;
covenants hereof shall inure to the benezit of and be binding upon
� � the COUNTY and the CONSULTANT respectively and their agents,
� representatives, empioyees, successors, assigns and legal
� representatives. Neither the COLNTY nor the CONSULTANT shall have ;�
the right to assign, transfer, or sublet his interest or ;�
obligations hereunder without the written consent of the other
party.
9. NO WAIVER OF TERMS. No waiver of default by either party �3 .
. oE any of the terms, covenants or conditions hereof to be •
.. performed, kept and observed by the other party shall be constru- ►,
ed, or operate as, a waiver of any subsequent default of any of �
the terms, covenants or conditions herein contained, to be 5

9. WAIVER OF PRESUMPTION. This Agreement was negotiated
and reviewed through the mutual effozts of the parties hereto and
`; the parties agree that no construction shall be made or presumpt- �,,
' `.i ion shall arise for or against either party based on any alleged � .
� unequal status of the parties in the negotiation, review or � -.
_''� _ drafting of this Agreement. � ;

10. AUTHORIZED REPRESENTATIVE. The undersigned representa- � ,�
tive of the CoNSULTANT, as an inducement to the COUNTY to execute � :
this Agreement, represents that he/she is an authorized represen-
tative of CONSULTANT for the purposes of executing this Agreement i �
and that he/she has full and complete authority to enter into this � �?.1�
Agreement for the terms and conditions specified herein.
