`�� the PITKIN COUNTY BOARD OF COUNTY COMMISSIONERS, hereafter referred `.,t

referred to as "Contractor." Provisions of this contract are " "'
" � pursuant to the authority of the Colorado Department of Health and -
include not only basic services which are to be provided by all .
local health units organized under the C�lorado revised statute CRS '`� >'��
�- 25-1-501 through 25-1-516 (COUnty and District Health Departments) ^'
and CRS 25-1-601 through 25-1-667 (Local Board of Health), but also � '�"
those optional services deemed basic in Pitkin County. � '
WHEREAS, the County is by statute authorized to provide basic I�
and optional services to the residents of Pitkin County subject to I?;
the other provisions, the term of this contract shall be from the � `
� ist day of January, 1995 through the 31st day of December, 1995, .
and,
WHEREAS, the Contractor is a certified public health agency
under technical program direction of the Colorado Department of
Health and is qualified to provide said services, and,
, WHEREAS, each party is authorized to contract with one
another, .
' NOW, THEREFORE, it is hereby agreed that in consideration of
the mutual responsibilities and agreements hereinafter set forth,
the County and the Contractor agree as follows:
Section I.

A. County agrees to purchase and Contractor agrees to furnish the

2. Preventive Health Services. Provide health consultation,
� education and services to promote optimal health of persons in �,
all age groups in the community.
a) Parent and Child Health. Provide consultation, 1
educational and health services {nursing, nutritional,
medical and social) for children, their parents and the
coaQnunity to promote the optimal growth and development
of children.
i) Newborn, Infant and Preschool Child Health Program.
';� Provide a system of health services designed for '
the prevention, early detection, treatment and
follow-up of childhood diseases, including
= I metabolic disorders, handicapping conditions and .
birth defects; counsel and teach basic nutrition, 1
fluoride supplementation; provide appropriate � .
� follow-up for children with� health problems. .
�� � Programs included are Child Protection Team, SIDS
,- - (Sudden Infant Death Syndrome), EPSDT (Early
Periodic Screening, Diagnosis and Treatment),
' . : Handicapped Childrens Program, WIC (Women, Infants .

b. Maternal Health. Provide medical, nursing, social, ��i
- nutritional and educational services during prenatal and
postparCum periods to reduce the risks of adverse outcome '
of pregnancy. Prenatal Clinics will be held at Ieast once '�

injuries, premature disability and death and provide for'

programs and resources; ,

iii) provide technical assistance in program design and �
evaluation to community programs; .

Special education and health promotion efforts are i� �
offered as needed to update the medical community, to �
- train caregivers and to educate the general population. '�

B. , County agrees to pssrchase these services for the following ' '
targeted groups: Low income residents of Pitkin County, i,' ''' `
transienG or permanent, including visitors, and the
communities of Redstone and Lenado. (Low income is defined as ,
150� of poverty level and these people pay less than 25� of � ,
cost of services.) County agrees to pay the cost of AIDS �
' publications required by the County Health Officer. `��`'

' Contractor shall: �
ie;�:�-
1. Strictly adhere to all applicable federal., state, and local
laws or regulations (including County Procurement Code) that � �
have been or may hereafter be eatablished. � ��`}
- 2. Hold and maintain for the term hereof the necessary licenses �
and certifications as specified under State law which permit �
the performance of the services to be purchased herein. �
3. Maintain a sliding-scale fee schedule for its services in
! order to aceomodate low income individuals.
' 4. Utilize subcontractors who shall be subject to the S. %f"
requirements of the Contraat as listed here, and be
. responsible for the performance of any subcontractor.
5. Abide by all applicable provisions of the Title VI and VII of �-�
� the Federal Civil Rights Act of 1964, Section 504 of the ��
.� Rehabilitation Act of 1973, and Title XX of the Social
Security Act o£ 1975 as revised. �+ �•
6. Maintain written requirements for safeguarding client
information and comply with said requirements. ; � .
:� , 7. Indemnify County and the State of Colorado against any
-" - liability and loss against all claims and actions based upon s

persons or property caused or sustained in connection with the �'
performance of this eontract or by conditions created thereby, `j
, _ or based upon any violations of any statute, ordinance, or
regulation and the defense of any such claims or actions; �
maintain insurance in such types and amounts as are necessary „• ;;', .
to fund this indemnity; provide proof of such insurance to the �
county upon demand therefor. '
e. Maintain service program records, fiscal records, documenta-
tion and other records relevant to this contract for a period ���,
of five years. The above shall be subject at all reasonable � k-
times to inspections, review or audit by Federal, State or ,,� ''

employees, servants and sub-contractors during the performance � �i�;;

2. Payment pursuant to this ContraCt, if in County, State, or �i. �
Federal funds, whethez in whole or in part, is subject to and
contingent upon the continuing availability and appropriation 1�
of County funds for the purpose thereof. �e
3. This contract constitutes the full anc2 complete agreement of �
! ,� the parties and supercedes or incorporates any prior written
and oral agreements of the parties. In addition, contractor ''. °
. understands that no County official or employee, other than 4 ; �;�e
the Board of County Commissioners acting as a body at a Board ' Fx.�
meeting, has authozity to enter into a contract or to modify �
- the terms of this contract on behalf of the County. Any such
contract or modification to this contract must be in writing `

by giving the other party ninety days notice by registered ': y

effective upon mailing. If notice is so given, this Contract

liability of the parties hereunder for further performance of K �

5. In the event this Contract is terminated, final payment to the
Contractor may be withheld at the discretion of the County _
