This lease agreement is made and entered into on the ist day t�i,.
� of 3anuary, 1995, by and between City o£ Aspen (Kids First, Child �i..�•�
, :� Care Aesource & Information Service) and the County of Pitkin in
the State of Colorado hereinafter re�erred to as the "County". '

� Whereas, from January 1, 1995 - Dececnber 31, 1995, Kids First
� desires to rent an office space in the Health and Human Services
� building approximately 150 aq feet at $16.00/sq ft per year
g totaling $2400.00 for one year.
Whereas, Kids First: A Chi1d Care Aesource and Information
F Service, is providing access to child care information and
resources and promoting the availability of quality, affordable i
child care services for all residents and visitors of the Roaring
Fork Valley by providing support services to parents, childzen, �e`�
employers and child care providers. k
Whereas, the County wishes to support the City's efforts i.n this
area by offering the Kids First an in-kind contribution rent of
one year. � .
. Now therefore, in consideration of the mutual covenants and
promises contained herein, the parties agree as follows: " �
1. Period of Operation: The County hereby 2eases and demises
for Lhe calendar year 1995 to Kids First that area
;;? i � , . designated office A in the Schultz Building. Said space r ,
shall be available at 8:00 a.m., Friday, Januazy 1, 1995_ �
Kids First will be prepared to vacate the office by 5:00 �
j p.m, on Friday, December 31, 1995, unless a new lease has
been signed. �
2. Regairs and MainCenance: During the period of this lease `
_.�� � agreement Kids First shall maintain this office in good
� �; shape and repair and return it to the County in
,.;: substantially the same condition received normal wear e:
excepted. The County shall provide regular office cleaning a : �
_ _ Monday - Thursday. s :
3. Payment: The County shaZl provide an in-kind rent �� .
contribution of $2400.00 Co Kids First City of Aspen. �� .

4. Governin,g Law: This lease agreement has been entered into ii
I in the State of Colorado, and the validity, interpretation i
� and legal effect of this agreement shall be govezned by the �`

5. Non-Assicxnment: This lease agreement and the rights arising i.� ; '��
' under iC shall not be assigned or transferred by Kids First.

, 6. Binding Fsffect: This lease agreement shall be binding upon ''`�
+� the parties hereto, their respective heirs, successors and � ;;''a

' f� 7. MisceZlaneous Services: All other services, copier, phone, _
a etc, will be charged to the City at the rate determined for • s
<j all tenants of the building. Copier access will be i';: f
� available upon donation of copier paper. =-`?' ��
-- - - -� 8. xids First agrees to undertake its activities in the leased �"'
• �Q premises in a manner which will not interfere with other � :
� tenants and activities in the building.
9_ The County shall supply heating and electricity to the
leased premises at no additional charge.
10. In the event the building or leased premises become damaged
or untenantable for any reason during the term hereof, the � '
, County shall have the right to declare this lease terminated
and require Kids First to vacate the premises, whereupon the
parties shall have no further obligations hereunder.
11. Maintenance and cleaning shall be the responsibility of the
County with general office cleaning (vacuuming and trash
removal) Sunday - Thursday evening, annual carpet cleaning
and semi annual. window cleaning.
12. Kid's First hereby releases and indemnifies the County from
any liability for property loss or damage and personal or
bodily injury to the property or in connection with the
use, storage, movement or maintenance of the property �
-� = provided that this indemnity shall not be considered to
indemnify the County from damage or injury caused by the
willful misconduct o£ the County or its employees. ,
�� 13. This agreement may be terminated at any time for any cause �;;�
by either party by 30 day written notice to the other party - �;
�•� at the addresses set forth below.

r" � 14. It shall be the responsibility of Kid's First at its own
sole cost and expense, within five days after the expiration
of this Agreement, to remove said vehicles from the j �;.
_ premises. Any vehicles not removed within this period of �
time shall be conclusively deemed to be abandoned by Kid's '•'1
First and shall become the property of the County. ?`:i_
