1. Grantor desires to convey to Grantee a non-exclusive 60 foot wide pedestrian, ,,., r•:
vehiculu and utility easement as described in Exhibits A and B,for vehicular ingress and egress
to the Williams Rxnch residential subdivision. Dy execution of this Agreement,Grantee desires +�
to accept the easement as provided herein.

- _ 1: In consideration of the terms and conditions stated in this Agreement, Grantor �`

- conveys to Grantee,its successors and assigns,a perpetual,non-exclusive road easement for the
construction, maintenance, repair and use of a roadway across Grantor's property for ease of
access to Grantee's property to the use of the real proper[y described in E:chibit A for vehicular ��
ingress and egress across GranYOr's propetty fot the beneft of the Grantee and the general public
to access Grantee's property.
- TERMS AND CONDTTIONS
i. Conditions. The road easement shall be appurtenant to Grantee's property and �
shall be of perpetual duradon. The easement will be revokable based on failure of Grantee or
successors to perform any of the terms and conditions required herein.
2. Consideration. This orant of easement is made in consideration of Grantee's

� be necessary to satisfy existing codes, conditions and requirements of Pitkin County or such � �''�
x� other governmental agency with appropriate jurisdiction.

"� 5. Use. The road easement is non-exclusive and may be used by Grantor, its heirs, ;;�:.;(
'' successors and assigns. The easement shall be used by Grantee, its successors, assigns for
��— � purposes stated in the Grant above. Grantee accepts this easement on behalf of the generat
public and its acceptance serves to ensure the use of this easement by members of the general � ,
_ � public to access Grantee's property.
� 6. Construction and Maintenance. Grantee agrees to pay for all repairs and
maintenance wsts and expenses attributable to Grantee's use of the road easement. Grantee
agrees to prepare a temporary constcuction access plan for vehicular and pedestrian traffic.
Grantee further agrees that all costs of surveying, engineering, consuucYion, repairing and ��_�

} maintaining the road easement shall be paid solely by Grantee, its successors or assigns. r •
7. Construction of Improvements to Mollie Gibson Park. Grantee agrees to �',
construct at Grantee's expense, improvements to the Mollie Gibson Park on a sub-contractor j#
basis for Pitkin County. ,�

8. Soil RemovaL Grantee will remediate the Mollie Gibson Park at the minimum �
level to satisfy requirements of the United States Environmental Protection Agency contained �
in its record of decision, including, at a minimum, providing one foot of cover material and �
revegetation of the area. Gran[ee will permanently allow the storage of soil and assume ��.
ownership of soil removal from the Environmental Protection Agency Operation Unit 1 and the � °
`'�` Smuggler Mine pursuant to the United States EPA record of decision.
�- � 9. Warranties. Each party warrants that it is the owner of the property identified in
[he recitais and described in the exhibits as grantors and grantee's property. Grantor warrants
that he will cause all liens and encumbrances to be released or subordinated with respect to the
�� ' easement granted herein and that he will warrant and defend Grantee's title and use of the road
,;�.' and driveway or of the road easement from any and all claims to the mad easement by third
parties made by, on, or behalf of Grantor.
_ 10. Default. Either party shall have the right to enforce the obligations of
� • performance of the other party as contained herein through litigation seeking an award of � '
damages or injunctive relief. The prevailing party in such litigation shall be entitled to recover '�IR..'
_ all costs including reasonable attorney's fees. ' �1
11. Amendment. This Agreement shall not be amended,modified,or supplemented
except by written instrument signed and acknowledged by the parties. '�;
